  3. Cross-Reference Check: Verify that all internal references (e.g., to Exhibit A, other sections) are accurate.
  4. Review with Counsel: Strongly recommended to have independent legal counsel from each Party review the completed document before signing.

PART 2: EXECUTION PROCESS

  1. Verify Signatory Authority:
    • For Corporations/LLCs: Ensure the individuals signing on behalf of each Party have the requisite corporate authority (e.g., are officers, directors, or specifically authorized by a board resolution or operating agreement) to bind their respective entity to the Agreement. Request and review corporate resolutions or other proof of authority if unsure.
    • For Individuals: The individual themselves must sign.
  2. Signature Blocks:
    • Ensure all signature blocks are filled out accurately with the printed name, title, and company of the authorized signatory.
    • [Date] fields in the signature blocks should reflect the actual date each Party signs the Agreement. The "Effective Date" stated at the top of the Agreement typically dictates when the terms commence, even if signatures occur on different dates.
  3. Method of Execution:
    • Digital Signature (Recommended): Utilize secure digital signature platforms like DocuSign, Adobe Sign, or similar services. These platforms provide an audit trail, enhance security, and ensure the integrity of the document. Ensure the platform chosen complies with applicable e-signature laws (e.g., U.S. ESIGN Act).
    • Wet-Ink Signature: If digital signatures are not used, print two (2) original copies of the Agreement. Each authorized signatory must sign both copies with "wet ink."
  4. Exchange of Originals/Copies:
    • If wet-ink signed, each Party retains one fully executed original.
    • If digitally signed, ensure both Parties receive a final, fully executed digital copy (PDF is standard).

PART 3: POST-EXECUTION & RECORD RETENTION

  1. Distribution: Distribute fully executed copies to all relevant internal stakeholders (e.g., Legal, Finance, Project Management, Sales) within each Party.
  2. Record Retention:
    • Electronic Copy: Store a secure, unalterable electronic copy (e.g., PDF) of the fully executed Agreement in a designated contract management system or secure shared drive. Ensure it's backed up regularly.
    • Physical Copy (if applicable): File any wet-ink original copies in a secure, fire-proof location, typically with the Legal or Finance department.
  3. Calendar Key Dates:
    • Add the Effective Date, Initial Term expiration date, renewal notice dates, and any critical milestone dates (from Exhibit A) to relevant calendars (e.g., contract management system, project management software) to ensure timely action and avoid missed deadlines or automatic renewals if not desired.
  4. Monitor Compliance: Designate individuals or teams responsible for monitoring compliance with the terms of the Agreement, particularly regarding deliverables, payment schedules, and confidentiality obligations.

By following these instructions, you can help ensure that this Partnership Agreement is properly completed, legally executed, and effectively managed throughout its lifecycle.
