DISCLAIMER: This document is provided for professional informational purposes and constitutes a legal template. It does not constitute attorney-client privilege. 2. PARTIES & RECITALS

This Organizational Conflict of Interest Policy (the “Policy”) is entered into by and between:

[Company Full Legal Name], a corporation organized under the laws of [State/Country], having its principal place of business at [Company Principal Address] (“Company”), and

[Client/Counterparty Full Legal Name], a [Entity Type] organized under the laws of [State/Country], having its principal place of business at [Client Principal Address] (“Counterparty”).

WHEREAS, the parties desire to establish a transparent framework to identify, mitigate, and neutralize potential or actual Organizational Conflicts of Interest that may arise during the course of their professional engagement;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration in the amount of [Amount in USD], the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES

SECTION 1: DEFINITIONS AND SCOPE

"Organizational Conflict of Interest" (OCI) exists when, because of other activities or relationships with other persons or entities, a party is unable or potentially unable to render impartial assistance or advice to the other party, or the party’s objectivity in performing the engagement is or might be otherwise impaired, or a party has an unfair competitive advantage. This Policy applies to all employees, consultants, and subcontractors of the Company.

SECTION 2: DISCLOSURE OBLIGATIONS

Parties maintain an affirmative, ongoing duty to disclose any financial interest, business relationship, or contractual obligation that could reasonably be construed as an OCI. Such disclosure must be made in writing to the other party’s General Counsel or Compliance Officer within five (5) business days of the discovery of such interest.

SECTION 3: MITIGATION AND NEUTRALIZATION

Upon identification of an OCI, the parties shall negotiate in good faith a mitigation plan. Mitigation measures may include, but are not limited to: (a) firewalls/information barriers; (b) recusal of conflicted personnel; (c) third-party audits; or (d) formal divestiture of conflicting interests. Failure to reach an agreement on a mitigation plan within fifteen (15) days constitutes a material breach.

SECTION 4: INTELLECTUAL PROPERTY AND WORK PRODUCT

All work product, deliverables, and associated intellectual property generated by the Company during this engagement shall be deemed "Work Made for Hire." The Company hereby irrevocably assigns all right, title, and interest in such work product to the Client upon full payment of the compensation amount.

SECTION 5: CONFIDENTIALITY

Each party shall maintain all proprietary, non-public information disclosed by the other party in strict confidence. This obligation survives the termination of this agreement for a period of five (5) years. Disclosure is permitted only as required by law, provided the disclosing party gives prompt notice to the non-disclosing party.

SECTION 6: TERM AND TERMINATION

This agreement shall commence on the Effective Date and remain in effect until the completion of the engagement, unless terminated earlier by either party upon thirty (30) days’ written notice for convenience. In the event of a breach of the OCI policy, the non-breaching party may terminate immediately for cause, subject to a ten (10) day cure period if the breach is curable.

SECTION 7: LIMITATION OF LIABILITY AND INDEMNIFICATION

Except for gross negligence or willful misconduct, the total liability of either party for any claims arising out of this agreement shall not exceed the total compensation paid under this contract. Each party agrees to indemnify and hold harmless the other from any third-party claims arising from a breach of this OCI policy.

SECTION 8: DISPUTE RESOLUTION AND GOVERNING LAW

Any dispute, controversy, or claim arising out of or relating to this agreement shall be settled by binding arbitration in [City, State] in accordance with the rules of the American Arbitration Association. This agreement shall be governed by the laws of [Jurisdiction], without regard to its conflict of law principles.

SECTION 9: MISCELLANEOUS

This document constitutes the entire agreement between the parties. No amendment shall be effective unless in writing and signed by both parties. If any provision is found unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
