OREGON COMMERCIAL LEASE AGREEMENT

This Oregon Commercial Lease Agreement (the "Agreement") is entered into as of [Effective Date] (the "Effective Date"), by and between [Landlord Name], a [State of Organization] [Entity Type] ("Landlord"), and [Tenant Name], a [State of Organization] [Entity Type] ("Tenant").

1. PREAMBLE & RECITALS

WHEREAS, Landlord is the fee simple owner of the real property located at [Property Address], including the building and improvements thereon (the "Premises"); and

WHEREAS, Landlord desires to lease the Premises to Tenant, and Tenant desires to lease the Premises from Landlord, subject to the terms, covenants, and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

2. OPERATIONAL DEFINITIONS

1. "Base Rent" means the sum of $[Dollar Amount] per month, payable in advance on the first day of each calendar month.
2. "Common Areas" means those areas of the building or property designated by Landlord for the common use of tenants, including parking lots, lobbies, and walkways.

4. "Operating Expenses" means all costs related to the ownership, operation, maintenance, and repair of the Premises, including property taxes, insurance, and utilities.

3. SUBSTANTIVE TERMS & OBLIGATIONS

1. Grant of Lease. Landlord leases the Premises to Tenant, and Tenant leases the Premises from Landlord, for the Lease Term and Permitted Use, subject to the provisions herein.
2. Rent Payments. Tenant shall pay Base Rent and all Additional Rent (as defined in Section 4) to Landlord at the address provided in Section 8 without deduction or setoff.
3. Use and Compliance. Tenant shall operate its business in a professional manner and comply with all applicable Oregon state laws, municipal ordinances, and environmental regulations.
4. Maintenance. Tenant shall maintain the interior of the Premises in good order and repair. Landlord shall maintain the structural components, roof, and foundation.
5. Alterations. Tenant shall not make any structural alterations, additions, or improvements to the Premises without the prior written consent of Landlord.
6. Insurance. During the Lease Term, Tenant shall maintain, at its sole cost, Commercial General Liability insurance with limits of not less than $[Dollar Amount] per occurrence.

4. DEFAULT, TERMINATION, AND REMEDIES

1. Events of Default. An event of default occurs if: (a) Tenant fails to pay Rent when due and such failure continues for five (5) business days after written notice; or (b) Tenant breaches any other obligation herein and such breach continues for thirty (30) business days after written notice.
2. Remedies. Upon an Event of Default, Landlord may: (a) terminate this Agreement; (b) re-enter the Premises and remove all persons and property; (c) recover damages for all unpaid rent and losses incurred; or (d) pursue any other remedy available under Oregon law.
3. Late Fees. If any payment is not received within [Number] days of the due date, Tenant shall pay a late fee equal to [Percentage]% of the overdue amount.

5. BOILERPLATE LEGAL PROVISIONS

1. Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
2. Entire Agreement. This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings, whether oral or written.
3. Force Majeure. Neither party shall be liable for delays in performance caused by strikes, acts of God, war, or other causes beyond their reasonable control, excluding payment of Rent.
4. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon.
5. Dispute Resolution. Any dispute arising from this Agreement shall be submitted to binding arbitration in [County], Oregon, in accordance with the rules of the Arbitration Service of Portland, Inc.
