SECTION 5: STEP-BY-STEP EXECUTION & FILING GUIDE

Follow this operational protocol to ensure complete legal enforceability, compliance, and proper document archiving:

  1. Document Customization (Drafting Phase):

    • Open this document template in Microsoft Word, Google Docs, or an equivalent enterprise word processor.
    • Utilize the "Find & Replace" function to populate all bracketed fields (e.g., [Company Full Legal Name], [Client Full Legal Name], [Effective Date], [Amount in USD], [State]) with exact, verified legal data. Do not leave any placeholder fields unpopulated.
  2. Signatory Authority Verification:

    • Confirm that the individual executing on behalf of the Company and the Client possesses verified corporate authority (e.g., Chief Executive Officer, President, Managing Member, or designated corporate officer with board-delegated signing authority). Review corporate resolutions or operating agreements if executing transactions of significant financial value.
  3. Digital Execution (Signing Phase):

    • Upload the finalized document into an institutional-grade electronic signature platform (e.g., DocuSign, Adobe Sign, or HelloSign).
    • Configure signing routing to ensure audit-trail tracking (capturing IP addresses, timestamps, and cryptographic hashes). Ensure that signature blocks are assigned to the correct authorized signatories.
  4. Post-Execution Record Retention & Archiving:

    • Upon full execution by both Parties, download the cryptographically sealed PDF containing the completed certificate of completion.
    • Store the executed agreement in the organization's secure, centralized Contract Lifecycle Management (CLM) repository or encrypted cloud archive.
    • Set automated calendar reminders for key milestone dates, including agreement renewal windows ([Sixty (60)] days prior to expiration) and periodic SOW reviews.
