NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
ARTICLE I: COMPANY FORMATION, NAME, AND PRINCIPAL PLACE OF BUSINESS
1.1 Formation. The Company has been organized as a Florida limited liability company by the filing of its Articles of Organization under and pursuant to the Act. Except as otherwise provided herein, the rights, duties, and liabilities of the Members shall be determined pursuant to the Act and this Agreement. To the extent this Agreement is inconsistent with the Act, this Agreement shall govern to the extent permitted by law.
1.2 Name. The name of the Company is [Company Full Legal Name]. The business of the Company may be conducted under that name or such other names as the Manager or Members may select from time to time, subject to compliance with applicable fictitious name registration statutes.
1.3 Principal Place of Business. The principal office and place of business of the Company shall be located at [Principal Address], or such other place within or outside the State of Florida as the Manager may designate from time to time upon written notice to the Members.
1.4 Registered Office and Registered Agent. The name and address of the registered agent for service of process on the Company in the State of Florida shall be [Registered Agent Name], located at [Registered Agent Street Address, City, FL Zip]. The Manager may change the registered agent or office by complying with the applicable provisions of the Act and filing the requisite notice with the Florida Department of State.
1.5 Term. The term of the Company shall be perpetual unless and until the Company is dissolved in accordance with the provisions of this Agreement or the Act.
1.6 Purpose and Scope. The purpose of the Company is to engage in any lawful act or activity for which limited liability companies may be formed under the Act, including, without limitation, [Specific Business Purpose, e.g., software development, real estate acquisition, consulting services], and any and all activities necessary, advisable, or incidental thereto.
ARTICLE II: MEMBERSHIP INTERESTS, CAPITAL CONTRIBUTIONS, AND CAPITAL ACCOUNTS
2.1 Initial Capital Contributions. Each Member has contributed, or shall contribute concurrently with the execution of this Agreement, cash, property, or services in the amounts and of the value set forth opposite such Member’s name on Exhibit A (the "Initial Capital Contribution"). Upon the making of such contribution, each Member shall own the Percentage Interest or number of Units set forth on Exhibit A.
2.2 Capital Accounts. A separate capital account (a "Capital Account") shall be maintained for each Member in accordance with Section 704(b) of the Internal Revenue Code of 1986, as amended (the "Code"), and Treasury Regulations promulgated thereunder.
- A Member’s Capital Account shall be increased by: (a) the amount of cash and the fair market value of any property contributed by such Member to the Company (net of liabilities secured by such property that the Company assumes or takes subject to); and (b) allocations to such Member of Company income and gain (or items thereof).
- A Member’s Capital Account shall be decreased by: (a) the amount of cash and the fair market value of any property distributed to such Member by the Company (net of liabilities secured by such property that such Member assumes or takes subject to); and (b) allocations to such Member of Company loss and deduction (or items thereof).
2.3 Additional Capital Contributions. Members shall not be required to make any additional capital contributions to the Company unless unanimously agreed upon in writing by all Members. If the Manager determines that additional capital is required to conduct the business of the Company, the Manager may issue a written call for additional capital contributions to all Members pro rata in proportion to their respective Percentage Interests. If any Member declines to make their pro rata contribution, the contributing Members may advance such funds as a loan to the Company or elect to adjust the Percentage Interests of the Members in accordance with commercially reasonable dilution formulas set forth in an amendment to this Agreement.
2.4 Liability of Members. Except as otherwise provided under the Act, the debts, obligations, and liabilities of the Company, whether arising in contract, tort, or otherwise, shall be solely the debts, obligations, and liabilities of the Company, and no Member, Manager, or officer of the Company shall be obligated personally for any such debt, obligation, or liability of the Company solely by reason of being a Member, Manager, or officer.
2.5 Interest on Capital Contributions. No Member shall be entitled to interest or any other return on their capital contributions to the Company, except as otherwise explicitly provided herein.
ARTICLE III: ALLOCATIONS AND DISTRIBUTIONS
3.1 Allocations of Profits and Losses. For each fiscal year of the Company, net profits and net losses of the Company (and, to the extent necessary, individual items of income, gain, loss, deduction, or credit) shall be allocated among the Members in proportion to their respective Percentage Interests as set forth on Exhibit A.
3.2 Distributions of Cash Flow. Available Cash Flow, as determined by the Manager in its sole discretion, shall be distributed to the Members at such times as the Manager deems appropriate, pro rata in proportion to their respective Percentage Interests. "Available Cash Flow" means the gross cash receipts of the Company derived from its operations, financing, or sale of assets, less operating expenses, debt service, taxes, and reasonable reserves established by the Manager for working capital, contingencies, and capital improvements.
3.3 Limitation Upon Distributions. No distribution shall be made if, after giving effect to the distribution:
- The Company would not be able to pay its debts as they become due in the usual course of business; or
- The total assets of the Company would be less than the sum of its total liabilities plus, unless the operating agreement permits otherwise, the amount that would be needed, if the Company were to be dissolved at the time of the distribution, to satisfy the preferential rights upon dissolution of Members whose preferential rights are superior to those receiving the distribution.
ARTICLE IV: MANAGEMENT AND VOTING
4.1 Management Structure. The Company shall be managed by a Manager (a "Manager-Managed" limited liability company pursuant to Florida Statutes § 605.0407). The initial Manager shall be [Manager Name or "The Members collectively as a Board of Managers"]. The Manager shall have full, exclusive, and complete authority, power, and discretion to manage and control the business, affairs, and properties of the Company, to make all decisions regarding those matters, and to bind the Company.
4.2 Appointment and Removal of Manager. The Manager shall serve until a successor is appointed, or until the Manager's earlier resignation, incapacity, disability, or removal. A Manager may be removed, with or without cause, by the affirmative vote of Members holding a majority of the Percentage Interests. In the event of a vacancy in the office of Manager, a successor Manager shall be elected by the affirmative vote of Members holding a majority of the Percentage Interests.
4.3 Authority of Officers. The Manager may appoint officers of the Company (such as a President, Chief Executive Officer, Chief Financial Officer, or Secretary) with such titles, powers, and duties as the Manager may delegate. Any officer so appointed shall have the authority to sign documents and bind the Company to the extent authorized by the Manager.
4.4 Member Voting Rights. Except as otherwise expressly provided in this Agreement or required by the Act, all decisions requiring a vote of the Members shall be decided by the affirmative vote of Members holding a majority of the Percentage Interests ([e.g., 50.1% or greater]).
4.5 Matters Requiring Unanimous Member Consent. Notwithstanding anything to the contrary in this Agreement, the following actions shall require the unanimous written consent of all Members:
- The amendment or modification of this Agreement or the Articles of Organization;
- The merger, consolidation, conversion, or domestication of the Company with or into any other entity;
- The sale, lease, exchange, or other disposition of all or substantially all of the property or assets of the Company outside the ordinary course of business;
- The voluntary dissolution, winding up, or bankruptcy filing of the Company; and
- The admission of any new Member.
ARTICLE V: TRANSFERABILITY OF INTERESTS AND WITHDRAWAL
5.1 Restriction on Transfers. No Member may directly or indirectly sell, assign, transfer, pledge, encumber, hypothecate, or otherwise dispose of ("Transfer") all or any part of their Membership Interest in the Company without the prior written consent of all non-transferring Members, which consent may be withheld in their sole and absolute discretion. Any attempted Transfer in violation of this Section 5.1 shall be null and void ab initio and of no legal effect.
5.2 Right of First Refusal. If a Member (the "Transferring Member") receives a bona fide written offer from a third party to purchase all or part of their Membership Interest that the Transferring Member desires to accept, the Transferring Member shall first offer such Interest to the Company and the remaining Members in writing (the "Notice of Sale"), setting forth the price, terms, and identity of the prospective purchaser.
- The Company shall have thirty (30) days from receipt of the Notice of Sale to elect to purchase all or part of the offered Interest on the same terms and conditions.
- If the Company declines, the remaining Members shall have fifteen (15) additional days to elect to purchase their pro rata share of the offered Interest.
- If neither the Company nor the remaining Members exercise their rights of first refusal within the specified timeframes, the Transferring Member may Transfer the Interest to the third party, strictly subject to Section 5.3.
5.3 Admission of Transferee as a Member. A transferee of a Membership Interest shall have the right to become a Member only if: (a) the Transfer is approved by the unanimous written consent of all non-transferring Members; (b) the transferee executes and delivers to the Company an instrument agreeing to be bound by all the terms and conditions of this Agreement; and (c) the transferee pays all reasonable legal and administrative expenses incurred by the Company in connection with such admission.
5.4 Withdrawal and Resignation. No Member may resign, retire, or voluntarily withdraw from the Company prior to the dissolution and winding up of the Company, except in connection with an approved Transfer of their entire Membership Interest pursuant to this Article V.
ARTICLE VI: DISSOLUTION, LIQUIDATION, AND TERMINATION
6.1 Dissolution Events. The Company shall dissolve, and its affairs shall be wound up, upon the first to occur of the following:
- The written determination of all Members to dissolve the Company;
- The entry of a judicial decree of dissolution under Florida Statutes § 605.0703; or
- The occurrence of any other event that makes it unlawful, impossible, or impracticable to continue the business of the Company.
6.2 Liquidation. Upon the dissolution of the Company, the Manager (or a liquidating trustee appointed by the Members) shall proceed to wind up the business and affairs of the Company. The assets of the Company shall be applied and distributed in the following order of priority:
- First, to the payment and discharge of all claims and debts of the Company (including debts owed to Members who are creditors) and the expenses of liquidation;
- Second, to the establishment of any reasonable reserves deemed necessary by the liquidating trustee for contingent or unforeseen liabilities or obligations of the Company; and
- Third, to the Members in proportion to their positive Capital Account balances, until such balances are reduced to zero, and thereafter in proportion to their respective Percentage Interests.
6.3 Articles of Dissolution. Upon completion of the winding up of the Company, the Company shall execute and file Articles of Dissolution with the Department of State of the State of Florida in accordance with the Act.
ARTICLE VII: BOOKS, RECORDS, TAX MATTERS, AND FISCAL YEAR
7.1 Books and Records. The Company shall maintain true and accurate books and records of its accounts and financial transactions at its principal place of business, including a current list of the full name and last known business, residence, or mailing address of each Member and Manager, a copy of the Articles of Organization, and this Agreement (as amended from time to time).
7.2 Fiscal Year. The fiscal year of the Company shall begin on the 1st day of January and end on the 31st day of December of each calendar year.
7.3 Tax Designation. The Company shall be classified as a partnership for federal income tax purposes unless it elects to be classified as a corporation by filing Form 8832 with the Internal Revenue Service. [If applicable: The Members authorize the Company to make an S-Corporation election if deemed advantageous by the tax accountant.] [Member Name] is hereby designated as the "Partnership Representative" (or "Tax Matters Representative") pursuant to Section 6223 of the Code and corresponding provisions of state law.
ARTICLE VIII: EXCULPATION, INDEMNIFICATION, AND LIABILITY PROTECTION
8.1 Exculpation of Members and Managers. No Member, Manager, or officer of the Company shall be liable to the Company or to any other Member for monetary damages for breach of any duty arising out of management or membership, except for liability resulting from: (a) conduct involving bad faith, willful misconduct, or knowing violation of law; or (b) a transaction from which the Member or Manager derived an improper personal benefit.
8.2 Indemnification. The Company shall indemnify, defend, and hold harmless each Member, Manager, and officer (each, an "Indemnified Party") from and against any and all losses, claims, damages, liabilities, expenses (including reasonable attorneys' fees and disbursements), judgments, fines, and settlements incurred by such Indemnified Party in connection with any threatened, pending, or completed action, suit, or proceeding, whether civil, criminal, administrative, or investigative, arising out of or relating to the business or affairs of the Company, provided that such Indemnified Party acted in good faith and in a manner reasonably believed to be in, or not opposed to, the best interests of the Company, and, with respect to any criminal action or proceeding, had no reasonable cause to believe their conduct was unlawful.
8.3 Advancement of Expenses. Expenses incurred by an Indemnified Party in defending any proceeding shall be paid by the Company in advance of the final disposition of such proceeding upon receipt of an undertaking by or on behalf of the Indemnified Party to repay such amount if it shall ultimately be determined that they are not entitled to be indemnified by the Company.
ARTICLE IX: DISPUTE RESOLUTION AND GOVERNING LAW
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of Florida, specifically including the Act, without regard to its conflict of laws principles.
9.2 Negotiation and Mediation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement (a "Dispute"), the parties shall first attempt in good faith to resolve the Dispute through direct negotiations between the affected Members or Managers. If the Dispute is not resolved within thirty (30) days of written notice of the Dispute by any party, the parties agree to submit the Dispute to non-binding mediation administered by a mutually agreed-upon commercial mediation service in [City, Florida].

The place of arbitration shall be [City, Florida]. The arbitration shall be conducted by a single neutral arbitrator. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.

10.2 Entire Agreement.
