ARTICLE III: CAPITAL CONTRIBUTIONS AND CAPITAL ACCOUNTS
3.1 Initial Capital Contributions. Concurrently with the execution of this Agreement, each Member has contributed to the capital of the Company cash, property, or services in the exact amounts and values set forth opposite such Member’s name on Schedule A attached hereto, representing such Member's initial Capital Contribution and corresponding Percentage Interest.
3.2 Additional Capital Contributions. If the Managers determine that additional capital is required for the operations of the Company, the Managers shall issue a written capital call notice to all Members detailing the total amount required, the business justification, and each Member's pro-rata share based on their respective Percentage Interests. If any Member fails to fund their pro-rata share of a required capital call within thirty (30) days of receiving notice, the non-defaulting Members may elect to fund the shortfall as a loan or adjust the Capital Accounts and Percentage Interests of all Members to reflect the actual capital contributions made, as determined by the Managers.

4.2 Distributions of Cash Flow. Except as otherwise provided herein, available cash flow—defined as the net cash revenues of the Company derived from operations, refinancing, or sales of assets, after reasonable reserves for working capital, debt service, and capital expenditures as determined by the Managers—shall be distributed periodically to the Members in proportion to their respective Percentage Interests as set forth on Schedule A.
4.3 Tax Distributions. Notwithstanding Section 4.2, to the extent the Company has available cash, the Company shall distribute to each Member, prior to the date quarterly estimated federal and state income tax payments are due, an amount sufficient to cover the tax liability of the Member resulting from the allocation of Company taxable income, calculated using the highest marginal individual federal, state, and local income tax rates applicable to any Member.
4.4 Limitations on Distributions. No distribution shall be made if, after giving effect to the distribution: (a) the Company would not be able to pay its debts as they become due in the usual course of business; or (b) the Company's total assets would be less than the sum of its total liabilities plus the amount that would be needed, if the Company were to be dissolved at the time of the distribution, to satisfy the preferential rights upon dissolution of Members whose preferential rights are superior to those receiving the distribution, all in accordance with Section 605.0406, Florida Statutes.
ARTICLE V: MANAGEMENT AND GOVERNANCE

5.4 Major Decisions Requiring Member Approval. Notwithstanding anything to the contrary in this Agreement, the Managers shall not take any of the following "Major Decisions" without the prior written consent or affirmative vote of Members holding at least [e.g., 51% or 100%] of the Percentage Interests:

Written notice stating the place, date, and hour of any meeting of Members, and the purpose or purposes for which the meeting is called, shall be delivered not less than ten (10) nor more than sixty (60) days before the date of the meeting, either personally, by electronic mail, or by certified mail, to each Member of record.
6.4 Quorum and Voting. A quorum at any meeting of Members shall consist of Members holding a majority of the Percentage Interests, present in person or represented by proxy. Except as otherwise expressly required by this Agreement or Chapter 605, Florida Statutes, the affirmative vote of Members holding a majority of the Percentage Interests present at a meeting with a quorum shall be required to approve any matter.
6.5 Action Without a Meeting. Any action required or permitted to be taken at a meeting of the Members may be taken without a meeting if a consent in writing, setting forth the action so taken, is signed by all Members whose vote would be required to authorize or take such action at a meeting.
ARTICLE VII: TRANSFERS OF INTERESTS AND WITHDRAWAL
7.1 Restrictions on Transfer. No Member may sell, assign, transfer, pledge, hypothecate, encumber, or otherwise dispose of all or any part of their Percentage Interest in the Company (whether voluntarily, involuntarily, or by operation of law) without the prior written consent of all non-transferring Members, which consent may be withheld in their sole and absolute discretion. Any attempted transfer in violation of this Section 7.1 shall be null and void ab initio and of no legal effect.
7.2 Right of First Refusal. If a Member desires to sell or transfer all or any portion of their Percentage Interest to a third party and has received a bona fide written offer from an unaffiliated third party, the transferring Member shall first give written notice to the Company and the other Members, disclosing the identity of the prospective transferee, the purchase price, and all material terms and conditions of the offer. The Company shall have the first option, for thirty (30) days following receipt of the notice, to purchase all (but not less than all) of the offered interest on the same terms. If the Company declines, the non-transferring Members shall have a secondary option for an additional fifteen (15) days to purchase their pro-rata share of the offered interest.

7.4 Admission of Transferee as Member. A transferee of a Percentage Interest shall become a substituted Member only if: (a) the transfer is permitted under this Agreement; (b) the transferee executes and delivers to the Company a written joinder agreement assuming all obligations of the transferor; and (c) the admission is approved by the unanimous written consent of all non-transferring Members.
7.5 Voluntary Withdrawal. No Member shall have the right to voluntarily resign or withdraw as a Member of the Company prior to the dissolution and winding up of the Company, except upon a permitted transfer of their entire Percentage Interest in compliance with this Article VII.
