OPERATING AGREEMENT
FOR A FLORIDA LIMITED LIABILITY COMPANY
Document ID: OA-FL-202X-V1.0
Effective Date: [Effective Date]
Version: 1.0
Governing Jurisdiction: State of Florida (Chapter 605, Florida Statutes)
1. STATUTORY & LEGAL COMPLIANCE NOTICE
CRITICAL LEGAL NOTICE: This document is an institutional-grade legal template designed to establish the internal affairs and governance structure of a limited liability company organized under the Florida Revised Limited Liability Company Act (Chapter 605, Florida Statutes). Operating agreements are foundational governance instruments that carry profound legal, tax, and fiduciary consequences.
The drafting of this document assumes a specific operational model (Member-Managed or Manager-Managed) and must be customized to reflect the precise capital contributions, economic arrangements, and management structures agreed upon by the Members. Failure to accurately complete bracketed fields or to adapt this text to unique commercial realities may result in unintended statutory defaults under Florida law, loss of limited liability protections, or adverse federal tax consequences.
The parties acknowledge that legal counsel should be retained to review this instrument prior to execution to ensure alignment with specific corporate objectives, federal tax classifications (e.g., partnership, S-corporation, or C-corporation taxation), and evolving statutory mandates.
2. PARTIES & RECITALS
This Operating Agreement (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and among [Company Full Legal Name], a Florida limited liability company (the "Company"), and the initial members set forth on Exhibit A attached hereto (each a "Member" and collectively, the "Members").
RECITALS:
WHEREAS, the Company was formed as a limited liability company on [Date of Formation] by the filing of Articles of Organization with the Department of State of the State of Florida pursuant to Chapter 605 of the Florida Statutes;
WHEREAS, the parties desire to set forth their respective rights, duties, obligations, and relationships with respect to the Company, its management, its financial operations, and the governance of its business affairs pursuant to the terms of this Agreement and the Florida Revised Limited Liability Company Act; and

2.2 Capital Accounts. A separate capital account shall be maintained for each Member in accordance with the rules of Treasury Regulation Section 1.704-1(b)(2)(iv). Each Member’s capital account shall be: (a) increased by the amount of cash and the fair market value of any property contributed by such Member to the Company (net of liabilities secured by such property that the Company assumes or takes subject to) and the amount of Company net income allocated to such Member; and (b) decreased by the amount of cash and the fair market value of any Company property distributed to such Member (net of liabilities secured by such property that the Member assumes or takes subject to) and the amount of Company net losses allocated to such Member.

3.2 Distributions of Cash Flow. Except as otherwise provided herein, available cash flow from operations, as determined solely by the [Members / Manager], shall be distributed periodically to the Members in proportion to their respective Percentage Interests.
3.3 Limitations on Distributions. No distribution shall be made if, after giving effect to the distribution: (a) the Company would not be able to pay its debts as they become due in the usual course of business; or (b) the total assets of the Company would be less than the sum of its total liabilities plus the amount that would be needed, if the Company were to be dissolved at the time of the distribution, to satisfy the preferential rights upon dissolution of members whose preferential rights are superior to those receiving the distribution (pursuant to Section 605.0406 of the Act).
ARTICLE IV: MANAGEMENT AND VOTING
4.1 Management Structure. (Select one option below by executing the appropriate governance posture; default is Member-Managed)
- [OPTION A - MEMBER-MANAGED]: The business and affairs of the Company shall be managed by its Members. Each Member shall have the authority to bind the Company in the ordinary course of business.

ARTICLE V: TRANSFERS AND WITHDRAWALS OF MEMBERSHIP INTERESTS
5.1 Restrictions on Transfer. No Member may sell, assign, transfer, pledge, hypothecate, encumber, or otherwise dispose of all or any part of its Membership Interest (a "Transfer"), whether voluntarily, involuntarily, or by operation of law, without the prior written consent of all non-transferring Members. Any attempted Transfer in violation of this Section 5.1 shall be null and void ab initio and of no legal effect.
5.2 Right of First Refusal. If a Member (the "Selling Member") receives a bona fide written offer from a third party to purchase all or any portion of its Membership Interest, and the non-transferring Members consent to consider such Transfer, the Selling Member shall first offer such interest to the remaining Members pro rata in proportion to their existing Percentage Interests, on the same terms and conditions as set forth in the third-party offer.
5.3 Withdrawal. No Member may voluntarily resign or withdraw from the Company prior to the dissolution and winding up of the Company, except as a result of a permitted Transfer of such Member's entire Membership Interest pursuant to this Article V.

The assets of the Company shall be applied and distributed in the following order of priority:
- (a) First, to the payment and discharge of all claims and debts of the Company (including debts owed to Members who are creditors, to the extent permitted by law);
- (b) Second, to the establishment of any reasonable reserves deemed necessary by the liquidating agent for contingent or unforeseen liabilities or obligations of the Company; and
- (c) Third, to the Members in proportion to their positive capital account balances, with any remainder distributed in accordance with their respective Percentage Interests.
ARTICLE VII: INDEMNIFICATION AND EXCULPATION
7.1 Exculpation. No Member, Manager, officer, employee, or agent of the Company shall be liable to the Company or any Member for monetary damages for breach of fiduciary duty arising from any act or omission performed in good faith on behalf of the Company, except for acts involving intentional misconduct, fraud, or a knowing violation of law.
7.2 Indemnification. The Company shall indemnify, defend, and hold harmless each Member, Manager, and officer (each an "Indemnitee") against any and all losses, claims, damages, liabilities, expenses (including reasonable attorneys' fees and disbursements), judgments, fines, and settlements incurred by such Indemnitee in connection with any threatened, pending, or completed action, suit, or proceeding, whether civil, criminal, administrative, or investigative, arising out of or relating to the management or operations of the Company, provided that such Indemnitee acted in good faith and in a manner reasonably believed to be in, or not opposed to, the best interests of the Company.
ARTICLE VIII: BOOKS, RECORDS, AND TAX MATTERS
8.1 Books and Records. The Company shall maintain accurate and complete books and records of accounts, minutes of the proceedings of its Members and Managers, and a current list of the full name and last known business address of each Member, at its principal place of business. Each Member shall have the right to inspect and copy such records during normal business hours for any purpose reasonably related to such Member’s interest in the Company.
8.2 Fiscal Year. The fiscal year of the Company shall begin on the 1st day of January and end on the 31st day of December of each calendar year.

ARTICLE IX: GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of Florida, specifically including the Act, without regard to its conflict of laws principles.
9.2 Dispute Resolution & Arbitration. Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, validity, binding effect, interpretation, performance, breach, or termination, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, Florida]. The arbitration shall be conducted by a single arbitrator appointed in accordance with such rules.
