SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Pre-Existing Intellectual Property. 7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Liability. EXCEPT FOR BREACHES OF CONFIDENTIALITY (SECTION 5), INTELLECTUAL PROPERTY INFRINGEMENT (SECTION 4), OR GROSS NEGLIGENCE/WILLFUL MISCONDUCT, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL UNDER NO CIRCUMSTANCES EXCEED THE TOTAL FEES ACTUALLY PAID OR PAYABLE BY THE CLIENT TO THE COMPANY UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
7.3 Indemnification by Company. The Company agrees to defend, indemnify, and hold harmless the Client, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising out of or resulting from:
(a) The Company's gross negligence, willful misconduct, or fraud; or
(b) Any claim that the Work Product infringes, misappropriates, or violates any third-party intellectual property right.
7.4 Indemnification by Client. The Client agrees to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising out of or resulting from:
(a) The Client's gross negligence, willful misconduct, or breach of this Agreement; or
(b) Materials, instructions, or data provided by the Client to the Company for incorporation into the Services.
SECTION 8: DISPUTE RESOLUTION & ARBITRATION
8.1 Negotiation and Escalation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement (a "Dispute"), the Parties shall first attempt in good faith to resolve the Dispute through informal negotiation between senior executives of each Party for a period of not less than thirty (30) days.
8.2 Binding Arbitration. If the Dispute is not resolved through informal negotiation within thirty (30) days, the Dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in [City, State]. The arbitrator's award shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
8.3 Injunctive Relief. Notwithstanding anything to the contrary in this Section 8, either Party may seek temporary, preliminary, or permanent injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or Confidential Information without first engaging in arbitration.
SECTION 9: GOVERNING LAW & JURISDICTION
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State Name], without regard to its conflict of laws principles.

10.2 Counterparts. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. 10.3 Entire Agreement. This Agreement, including any Exhibits and Statements of Work attached hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations, and understandings, whether written or oral.
10.4 Force Majeure. Neither Party shall be liable for any failure or delay in performance under this Agreement (excluding payment obligations) to the extent such failure or delay is caused by acts of God, natural disasters, war, terrorism, civil unrest, labor strikes, epidemic, pandemic, utility failures, or other causes beyond the reasonable control of the affected Party ("Force Majeure Event"), provided that the affected Party gives prompt written notice to the other Party and uses reasonable efforts to resume performance.
10.5 Independent Contractors. The relationship of the Parties established by this Agreement is that of independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, franchise, or employment relationship between the Parties.
