ARTICLE I: COMPANY FORMATION, NAME, AND PRINCIPAL OFFICE

Section 1.1 Formation

The Company has been organized as a limited liability company by the filing of its Articles of Organization with the Secretary of State of the State of [State of Formation] pursuant to and in accordance with the [State Name] Limited Liability Company Act (the "Act"). The rights and liabilities of the Members shall be determined pursuant to the Act and this Agreement. To the extent that any provision of this Agreement conflicts with the non-waivable provisions of the Act, this Agreement shall govern to the maximum extent permitted by law.

Section 1.2 Name

The name of the Company is [Company Full Legal Name], and its business shall be conducted under that name or such other trade names as the Board of Managers may select from time to time in compliance with applicable laws.

Section 1.3 Principal Place of Business and Registered Office

The name and address of the registered agent for service of process on the Company in the State of [State of Formation] is [Registered Agent Name], located at [Registered Agent Address].

Section 1.4 Purpose and Scope

The primary purpose of the Company is to act as a holding entity. The Company is authorized to engage in any lawful act or activity for which limited liability companies may be formed under the Act, including, without limitation:

  1. Acquiring, holding, owning, voting, selling, transferring, exchanging, or otherwise dealing in shares, stock, partnership interests, membership interests, bonds, debentures, notes, or other securities or obligations created or issued by any domestic or foreign corporation, partnership, trust, limited liability company, or other entity (collectively, "Portfolio Companies");

Section 1.5 Term

The term of the Company commenced upon the filing of its Articles of Organization with the Secretary of State of [State of Formation] and shall continue in perpetual existence until dissolved in accordance with the provisions of this Agreement or the Act.

ARTICLE II: CAPITAL CONTRIBUTIONS AND MEMBERSHIP INTERESTS

Section 2.1 Initial Capital Contributions

Concurrently with the execution of this Agreement, each Member has contributed to the capital of the Company cash, property, or enforceable promissory notes in the amounts and percentages set forth opposite their respective names on Schedule A attached hereto. Upon receipt of such contributions, each Member shall be deemed to own the Membership Units and Percentage Interest set forth in Schedule A.

Section 2.2 Capital Accounts

A separate Capital Account shall be maintained for each Member in accordance with the rules of Treasury Regulation Section 1.704-1(b)(2)(iv). Each Member's Capital Account shall be:

  1. Increased by: (a) the amount of cash and the fair market value of any property contributed by the Member to the Company (net of liabilities secured by such property that the Company assumes or takes subject to); and (c) allocations to the Member of Company taxable income and gain (or items thereof); and
  2. Decreased by: (a) the amount of cash and the fair market value of any Company property distributed to the Member (net of liabilities secured by such property that the Member assumes or takes subject to); and (b) allocations to the Member of Company deductions, losses, and credits (or items thereof).

Section 2.3 Additional Capital Contributions

Members shall not be required to make any additional capital contributions to the Company beyond their initial capital contributions set forth in Schedule A, except as expressly agreed upon in writing by unanimous vote of the Members. If the Managers determine that additional capital is required to fund holding company operations, debt service, or capital calls of Portfolio Companies, the Managers may issue a written Capital Call Notice to all Members setting forth the total amount required, the purpose of the call, and each Member's pro-rata share based on their Percentage Interests.

Section 2.4 Failure to Contribute Additional Capital

If any Member fails to fund their pro-rata share of a duly authorized Capital Call within thirty (30) days of receiving written notice, such Member shall be deemed a "Defaulting Member." In the event of a default, the non-defaulting Members may elect to:

  1. Fund the defaulted amount on behalf of the Defaulting Member as a demand loan bearing interest at the rate of twelve percent (12%) per annum, compounded monthly, repayable from the Defaulting Member's future distributions; or
  2. Dilute the Percentage Interest of the Defaulting Member in accordance with a standard industry dilution formula, adjusting the capital accounts and ownership percentages of all non-defaulting Members accordingly.

Section 2.5 Nature of Membership Interests

A Membership Interest in the Company shall be personal property for all purposes. No Member shall have any interest in specific Company property. Certificates representing Membership Units may be issued by the Company, and if issued, shall bear a conspicuous legend noting that the units are unregistered securities subject to transfer restrictions under this Agreement and applicable federal and state securities laws.

ARTICLE III: ALLOCATIONS AND DISTRIBUTIONS

Section 3.1 Allocation of Profits and Losses

For each fiscal year of the Company, all items of income, gain, loss, deduction, and credit shall be allocated among the Members in proportion to their respective Percentage Interests as set forth in Schedule A, subject to any mandatory regulatory allocations required by Section 704(b) of the Internal Revenue Code of 1986, as amended (the "Code") and the Treasury Regulations promulgated thereunder (including minimum gain chargebacks and qualified income offsets).

Section 3.2 Distributions of Available Cash

"Available Cash" means all cash revenues and funds received by the Company from dividends, distributions from Portfolio Companies, interest, sale of assets, or other operations, less the sum of:

  1. Payment of all operating expenses, debt service, taxes, and other obligations of the Company as they become due; and
  2. Establishment of reasonable reserves for working capital, contingent liabilities, capital expenditures, and future investments, as determined in the sole discretion of the Managers.

Available Cash shall be distributed to the Members at such times as the Managers shall determine, but not less frequently than annually, in exact proportion to their respective Percentage Interests set forth in Schedule A.

Section 3.3 Tax Distributions

To the extent that Available Cash is insufficient to do so, the Company shall, subject to the availability of cash and applicable debt covenants, use commercially reasonable efforts to make tax distributions to the Members no later than ten (10) days prior to the date quarterly estimated federal and state income tax payments are due. The tax distribution to each Member shall equal such Member's allocable share of the Company's taxable income multiplied by the highest combined marginal federal, state, and local individual or corporate income tax rate applicable to any single Member. Any tax distributions received by a Member shall be treated as an advance against future distributions of Available Cash under Section 3.2.

Section 3.4 Withholding

The Company is authorized to withhold from payments, distributions, or allocations to any Member, and to pay over to any federal, state, or local tax authority, any amounts required to be withheld pursuant to the Code or any provisions of foreign, state, or local law. All amounts withheld pursuant to this Section shall be treated as distributions to the affected Member.

The business, property, and affairs of the Company shall be managed exclusively by or under the direction of a Board of Managers (the "Managers"). Except as otherwise expressly provided in this Agreement or by non-waivable provisions of the Act, the Members shall have no power to participate in the day-to-day management, control, or operation of the Company, nor shall they have any apparent or actual authority to bind the Company in contract or tort.

Section 4.4 Powers and Authority of Managers

The Managers shall have full, exclusive, and complete authority, power, and discretion to manage and control the business, affairs, and properties of the Company, to make all decisions regarding the holding company's portfolio, and to bind the Company to contracts and obligations. Without limiting the generality of the foregoing, the Managers are specifically authorized to:

  1. The sale, exchange, lease, pledge, mortgage, or other transfer of all or substantially all of the assets of the Company in a single transaction or a series of related transactions;
  2. The merger, consolidation, conversion, reorganization, or structural restructuring of the Company with or into any other entity;
  3. The voluntary dissolution, winding up, or bankruptcy filing of the Company;
  4. The admission of any new Member or the issuance of any new Membership Units or derivative securities;
  5. The amendment of the Articles of Organization or this Operating Agreement; and
  6. The incurrence of any indebtedness, guarantee, or financial liability by the Company exceeding [Amount in USD, e.g., $500,000] that is not in the ordinary course of business or set forth in an approved annual budget.

Section 4.6 Meetings of Managers and Members

Meetings of the Board of Managers or the Members may be called by any Manager or by any Member holding at least twenty percent (20%) of the Percentage Interests upon at least five (5) business days' written notice. Meetings may be conducted in person, by telephone conference, or by other electronic communication means where all participants can hear and communicate with each other simultaneously. Action may be taken without a meeting if a consent in writing, setting forth the action so taken, is signed by all Managers or Members, as applicable, required to approve such action.

The Transfer Notice shall set forth the identity of the prospective transferee, the purchase price, payment terms, and all other material terms of the offer.

  1. Company Option: The Company shall have the first option, exercisable within thirty (30) days following receipt of the Transfer Notice, to purchase all or any portion of the Offered Interest on the same terms and conditions set forth in the Transfer Notice.
  2. Member Option: If the Company declines or fails to exercise its option within such thirty (30) day period, the non-transferring Members shall have the right, exercisable for an additional thirty (30) days, to purchase their pro-rata share of the Offered Interest.
  3. Third-Party Transfer: If neither the Company nor the non-transferring Members purchase the entirety of the Offered Interest within the prescribed periods, the Transferring Member may, within sixty (60) days thereafter, transfer the Offered Interest to the named third party strictly on the terms set forth in the Transfer Notice, subject to Section 5.4.

Section 5.3 Permitted Transfers
