3.2 Term

The Lease Term shall commence on the Commencement Date and shall end on the Expiration Date, unless sooner terminated pursuant to the provisions hereof. If Landlord is unable to deliver possession of the Premises to Tenant on or before the Commencement Date due to construction delays or holdover by a prior tenant, this Agreement shall not be void or voidable, nor shall Landlord be liable to Tenant for any resulting loss or damage; provided, however, that the Commencement Date and the obligation to pay Base Rent shall be abated until possession of the Premises is tendered to Tenant.

3.3 Rent and Payment Mechanics

  1. Base Rent: Tenant shall pay to Landlord, without prior notice, demand, deduction, or offset, the initial monthly Base Rent in the amount of [Dollar Amount] on or before the first (1st) day of each calendar month during the Lease Term.

3.4 Security Deposit

Upon the execution of this Agreement, Tenant shall deposit with Landlord the Security Deposit as security for the full and faithful performance of every provision of this Agreement. If Tenant defaults with respect to any provision of this Agreement, Landlord may use, apply, or retain all or any portion of the Security Deposit for the payment of any rent or other sum in default, or for the payment of any amount that Landlord may spend or become obligated to spend by reason of Tenant's default. If Landlord uses any portion of the Security Deposit, Tenant shall, within ten (10) days after written demand therefor, restore the Security Deposit to its original amount.

4.1 Events of Default

The occurrence of any of the following shall constitute an "Event of Default" by Tenant under this Agreement:

Except for monetary defaults where the cure period is strictly five (5) business days, the defaulting Party shall have thirty (30) business days from receipt of written notice of default within which to cure any non-monetary breach; provided, however, that if such non-monetary breach cannot reasonably be cured within thirty (30) business days, the defaulting Party shall not be in Default if it commences to cure within said period and diligently and continuously prosecutes the same to completion.

4.3 Landlord's Remedies

Upon the occurrence of an Event of Default, Landlord shall have the right, at its sole election, to pursue any one or more of the following remedies without further notice or demand:

  1. Terminate this Agreement and Tenant's right to possession of the Premises, and recover from Tenant all damages incurred by Landlord as a result thereof, including the loss of future rent;
  2. Terminate Tenant's right to possession of the Premises without terminating this Agreement, re-enter the Premises, and re-let the same on such terms as Landlord may deem advisable, holding Tenant liable for any deficiency in rent;
  3. Cure the Default on behalf of Tenant, at Tenant’s sole expense, with all costs incurred by Landlord bearing interest at the maximum rate permitted by law from the date of expenditure until paid;
  4. Exercise any other legal or equitable right or remedy available to Landlord under the laws of [Jurisdiction].

5. Boilerplate Legal Provisions

5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the affected provision shall be deemed severed from this Agreement, and the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

5.2 Entire Agreement

This Agreement, including any exhibits, addenda, and schedules attached hereto, constitutes the entire agreement between Landlord and Tenant with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, representations, and agreements, whether written or oral. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument executed by authorized representatives of both Parties.

5.3 Force Majeure

Neither Party shall be held liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts beyond the affected Party's reasonable control, including Force Majeure events; provided, however, that the party claiming Force Majeure shall use diligent efforts to resume performance as soon as practicable. Financial hardship or inability to pay shall under no circumstances constitute a Force Majeure event.

5.4 Governing Law and Jurisdiction

This Agreement shall be construed, interpreted, and governed by the laws of the State of [Jurisdiction], without regard to its conflict of laws principles. Each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located within [County, State] for the resolution of any dispute arising out of or relating to this Agreement.

5.5 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be resolved first through good-faith negotiations between designated executive officers of the Parties. If such negotiations fail to resolve the dispute within thirty (30) days, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
