OFFICE LEASE AGREEMENT

THIS LEASE AGREEMENT (the "Agreement") is made and entered into this [Day] day of [Month], [Year] (the "Effective Date") by and between:

LANDLORD: [Landlord Full Legal Name], a company incorporated under the laws of England and Wales with company number [Company Number], having its registered office at [Registered Address] ("Landlord"); and

Collectively referred to as the "Parties."

1. OPERATIONAL DEFINITIONS

1.1 "Premises" means the office space located at [Full Property Address including Floor/Suite number], comprising approximately [Square Footage] square feet. 1.2 "Term" means the period commencing on [Start Date] and expiring on [End Date], unless terminated earlier in accordance with this Agreement. 1.3 "Rent" means the sum of [Currency Amount] per annum, payable in equal monthly installments of [Currency Amount]. 1.4 "Service Charge" means the Tenant’s proportional share of costs incurred by the Landlord for the maintenance, repair, and insurance of the building structure and common areas. 1.5 "Business Day" means any day other than a Saturday, Sunday, or public holiday in England and Wales. 1.6 "Permitted Use" means use as general office space falling within Class E(g)(i) of the Town and Country Planning (Use Classes) Order 1987.

2. SUBSTANTIVE TERMS AND OBLIGATIONS

2.1 Grant of Lease. The Landlord hereby leases the Premises to the Tenant for the Term, subject to the covenants, conditions, and provisions herein. 2.2 Rent Payment. The Tenant shall pay the Rent in advance on the first day of each calendar month via electronic funds transfer to the account designated by the Landlord. 2.3 Security Deposit. Upon execution, the Tenant shall deposit with the Landlord the sum of [Currency Amount] as security for the performance of the Tenant’s obligations. 2.4 Tenant Obligations. The Tenant shall: (a) Keep the interior of the Premises in good and tenantable repair; (b) Comply with all applicable statutory requirements and environmental regulations; (c) Not permit any nuisance or disturbance to other tenants of the building. 2.5 Landlord Obligations. The Landlord shall: (a) Maintain the structural integrity of the building and the common parts; (b) Provide reasonable access to utility services, including heating, water, and electricity. 2.6 Insurance. The Landlord shall maintain building insurance. The Tenant shall be responsible for insuring its own trade fixtures, fittings, and contents.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1 Events of Default. An event of default occurs if: (a) The Tenant fails to pay Rent within 14 days of the due date; (b) The Tenant breaches any material term of this Agreement and fails to remedy such breach within 30 business days of receiving written notice from the Landlord; (c) The Tenant enters into insolvency, liquidation, or administration. 3.2 Remedies. Upon the occurrence of an Event of Default, the Landlord may: (a) Re-enter the Premises and terminate the Lease (subject to applicable relief from forfeiture provisions); (b) Recover any outstanding Rent as a debt; (c) Utilize the Security Deposit to satisfy any outstanding financial obligations. 3.3 Notice of Termination. Either party may terminate this Agreement prior to the expiration of the Term only upon express written mutual consent or as otherwise provided by a specific break clause included herein.

4. BOILERPLATE LEGAL PROVISIONS

4.1 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. 4.2 Entire Agreement. This Agreement constitutes the entire agreement between the Parties and supersedes all prior negotiations, representations, or agreements, whether written or oral. 4.3 Force Majeure. Neither party shall be liable for any failure to perform its obligations where such failure results from any cause beyond its reasonable control, including, but not limited to, acts of God, strikes, or governmental restrictions. 4.4 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of England and Wales. 4.5 Dispute Resolution. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales. The parties shall first attempt to resolve any dispute through good-faith negotiation for a period of 20 business days before initiating formal litigation.
