2. PURPOSE OF DISCLOSURE
The Disclosing Party desires to disclose certain confidential and proprietary information to the Receiving Party for the following business purpose (the "Purpose"):

3. DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" means any and all technical and non-technical information disclosed by the Disclosing Party to the Receiving Party, in any form or medium (oral, written, electronic, visual, or otherwise), that is designated as confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure. This includes, but is not limited to:
a. Culinary Secrets: Recipes, proprietary ingredients, sourcing strategies, cooking methods, plating techniques, supplier lists, cost of goods data, and menu development plans. b. Business Operations: Operational manuals, inventory control systems, kitchen workflow designs, staffing models, employee training materials, performance metrics, and service protocols. c. Financial Data: Sales figures, profit margins, financial projections, pricing strategies, vendor contracts, marketing budgets, and investor information. d. Marketing & Customer Data: Marketing plans, advertising campaigns, branding strategies, customer lists, loyalty program details, and market research. e. Technology & Systems: Point-of-Sale (POS) system configurations, reservation systems, software, databases, and any other proprietary technology. f. Trade Secrets: Any information that derives economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use. g. Other: Any information specifically designated as confidential in writing by the Disclosing Party or outlined in "Exhibit A" attached hereto.
Confidential Information does not include information that: i. Is or becomes publicly available through no fault of the Receiving Party; ii. Was in the Receiving Party's possession prior to disclosure by the Disclosing Party; iii. Is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information; or iv. Is rightfully obtained by the Receiving Party from a third party without restriction on disclosure.
4. OBLIGATIONS OF RECEIVING PARTY
The Receiving Party agrees to: a. Maintain Confidentiality: Hold all Confidential Information in strict confidence and take all reasonable steps to protect it from unauthorized disclosure or use. b. Limited Use: Use the Confidential Information solely for the Purpose stated in Section 2. c. Limited Disclosure: Not disclose, publish, or disseminate Confidential Information to any third party without the prior written consent of the Disclosing Party. The Receiving Party may disclose Confidential Information to its employees, agents, or contractors who have a legitimate need to know for the Purpose, provided such individuals are bound by confidentiality obligations at least as restrictive as those contained herein. d. Safeguard: Implement and maintain reasonable security measures to protect the Confidential Information, no less stringent than those used to protect its own proprietary information of a similar nature. e. Compelled Disclosure: If legally compelled (by subpoena, court order, or other legal process) to disclose any Confidential Information, the Receiving Party shall provide prompt written notice to the Disclosing Party, if legally permissible, to allow the Disclosing Party to seek a protective order or other appropriate remedy. The Receiving Party shall cooperate with the Disclosing Party in any such efforts.
5. TERM OF AGREEMENT
This Agreement shall become effective on the Effective Date and shall remain in effect for a period of [__________] ([__________]) years from the Effective Date, or until such time as the Confidential Information legitimately enters the public domain through no fault of the Receiving Party, whichever occurs first. The obligations of confidentiality hereunder shall survive any termination of this Agreement indefinitely with respect to trade secrets.
6. RETURN OR DESTRUCTION OF CONFIDENTIAL INFORMATION
Upon the Disclosing Party's written request, or upon termination of this Agreement, the Receiving Party shall promptly:
a. Return to the Disclosing Party all originals and copies of any Confidential Information, including any notes, analyses, or summaries created by the Receiving Party containing or reflecting Confidential Information; or
b. Destroy all such Confidential Information and certify its destruction in writing to the Disclosing Party within [__________] days of the request.
Electronic copies shall be purged from all systems, drives, and storage media.
7. NO LICENSE OR OWNERSHIP
Nothing in this Agreement shall be construed as granting any right, title, interest, license, or option in or to any of the Disclosing Party's Confidential Information, patents, copyrights, trademarks, or other intellectual property. All Confidential Information shall remain the sole property of the Disclosing Party.
8. REMEDIES
The Receiving Party acknowledges that unauthorized disclosure or use of Confidential Information could cause irreparable harm to the Disclosing Party, for which monetary damages alone may be an insufficient remedy. Therefore, the Disclosing Party shall be entitled to seek injunctive relief to prevent actual or threatened breaches of this Agreement, in addition to any other remedies available at law or in equity.
9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of [__________], without regard to its conflict of laws principles.
10. ENTIRE AGREEMENT
