2. Recitals

3. Consideration

4. Confidential Information
4.1. Definition: "Confidential Information" means any data or information that is proprietary to Employer and not generally known to the public, whether in tangible or intangible form, whenever and however disclosed, including but not limited to:
- Trade secrets, inventions, product designs, processes, formulas, techniques, schematics, engineering data.
- Customer lists, client data, contact information, purchasing history, pricing strategies.
- Business plans, marketing strategies, financial information, sales data, revenue forecasts.
- Proprietary software, source code, data algorithms, methodologies, internal procedures.
- Employee lists, compensation data, performance reviews, training materials.
- Any other information designated as confidential or proprietary by Employer.
4.2. Non-Disclosure: Employee agrees that during and after the term of employment, Employee will not disclose, directly or indirectly, any Confidential Information to any third party, nor use it for any purpose other than for the benefit of the Employer.
5. Non-Compete Covenants
Employee agrees that during the term of employment and for a period of one (1) year following the termination of Employee's employment with Employer for any reason, Employee shall not, directly or indirectly, for Employee's own benefit or for the benefit of any third party:
5.1. Restricted Activities:
- Own, manage, operate, control, be employed by, participate in, or be connected in any manner with any business or enterprise that engages in

- Solicit, divert, or appropriate any of Employer’s customers, clients, or prospects with whom Employee had direct contact or about whom Employee obtained Confidential Information during the last

8. Remedies
Employee acknowledges that a breach of this Agreement would cause irreparable harm to Employer for which monetary damages alone would not be an adequate remedy. Therefore, Employer shall be entitled to seek injunctive relief to prevent such breach, in addition to any other remedies available at law or in equity, including the recovery of reasonable attorneys' fees and costs incurred in enforcing this Agreement.
9. Severability
If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, it shall be severed, and the remainder of the Agreement shall remain in full force and effect. The parties agree that in the event any non-compete provision is found to be overbroad, the court shall have the authority to reduce the scope, duration, or geographic area of the restriction to make it enforceable.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles.
11. Entire Agreement
This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior discussions, agreements, and understandings, whether oral or written.
12. Amendment
