RECITALS
WHEREAS, the Company is engaged in the business of [____________________];
WHEREAS, the Company desires to protect its legitimate business interests, including but not limited to its trade secrets, confidential information, customer relationships, and goodwill;
WHEREAS, the Employee's position with the Company will involve access to highly sensitive and confidential information, training, and strategic business intelligence;
WHEREAS, the Employee acknowledges that the consideration for employment (or continued employment, promotion, compensation, and/or other benefits) provided by the Company is sufficient and adequate consideration for the covenants and agreements contained herein;
NOW, THEREFORE, in consideration of the foregoing premises, the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
ARTICLE 1: DEFINITIONS
1.1. "Confidential Information" shall mean any data or information, whether oral, written, graphic, or electronic, that is proprietary to the Company or its affiliates and not generally known to the public, including but not limited to: * a. Trade secrets, inventions, product designs, and technical data. * b. Business plans, marketing strategies, financial information, and pricing structures. * c. Customer lists, supplier lists, and contractual arrangements. * d. Employee records, compensation data, and organizational structures. * e. Software, source code, algorithms, and processes. * f. Any information designated as confidential or proprietary.
1.2. "Competitive Business" shall mean any business or enterprise that directly competes with the Company's business activities as defined in Recital 1, or any segment thereof, in which the Company or its affiliates are engaged at any time during the Employee's employment.

1.4. "Restricted Period" shall mean the period commencing on the Effective Date and continuing until [____] months following the termination of Employee's employment with the Company for any reason.
ARTICLE 2: CONFIDENTIALITY OBLIGATIONS
2.1. Non-Disclosure. During and after the term of Employee's employment, Employee shall not, directly or indirectly, use, disclose, disseminate, or otherwise make available to any third party any Confidential Information, except as required in the performance of duties for the Company or as legally compelled with prior notice to the Company.
2.2. Safeguarding Information. Employee shall take all reasonable steps to safeguard the Confidential Information and prevent its unauthorized use or disclosure.
ARTICLE 3: NON-COMPETITION COVENANT
3.1. Covenant Not to Compete. During the Restricted Period, Employee shall not, directly or indirectly, for Employee's own benefit or the benefit of any third party, engage in, be employed by, consult for, own, manage, operate, control, or participate in the ownership, management, operation, or control of, any Competitive Business within the Restricted Territory.

ARTICLE 4: NON-SOLICITATION COVENANTS
4.1. Non-Solicitation of Customers. During the Restricted Period, Employee shall not, directly or indirectly, solicit, divert, or appropriate, or attempt to solicit, divert, or appropriate, any customers, clients, or accounts of the Company with whom Employee had direct contact or about whom Employee obtained Confidential Information during the [____] year(s) prior to termination of employment.
4.2. Non-Solicitation of Employees. During the Restricted Period, Employee shall not, directly or indirectly, solicit, induce, or encourage any employee of the Company to leave the Company's employment, or hire or attempt to hire any such employee. ARTICLE 5: RETURN OF COMPANY PROPERTY
5.1. Upon termination of employment for any reason, or at any time upon the Company's request, Employee shall immediately return to the Company all Company property, including but not limited to keys, access cards, computers, mobile devices, software, documents, and all copies of Confidential Information, regardless of format.
ARTICLE 6: REMEDIES
6.1. Injunctive Relief. Employee acknowledges that a breach or threatened breach of any of the covenants contained in Articles 2, 3, or 4 would result in irreparable harm to the Company for which monetary damages alone would be an inadequate remedy. Therefore, in the event of any such breach or threatened breach, the Company shall be entitled to seek, in addition to any other remedies available at law or in equity, injunctive relief (without the necessity of posting bond or other security) to prevent such breach or threatened breach.
6.2. Attorneys' Fees. In the event of litigation relating to the enforcement of this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.
ARTICLE 7: GENERAL PROVISIONS
7.1. Governing Law. This Agreement shall be construed in accordance with and governed by the laws of the State of [____________________], without regard to its conflict of laws principles.
7.2. Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or, if such modification is not possible, deleted, and the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

7.4. Amendments. This Agreement may not be modified or amended except by a written instrument signed by both the Company and the Employee.
7.5. Assignment. This Agreement is personal to the Employee and may not be assigned by Employee. The Company may assign this Agreement to any successor or affiliate without the consent of the Employee.
7.6. Acknowledgement. Employee acknowledges that Employee has carefully read and understands this Agreement, has been given the opportunity to consult with legal counsel of Employee's choosing, and enters into this Agreement voluntarily and without duress.
