3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
Section 1. Principal Sum and Interest Rate
1.1 Promise to Pay. For value received, Maker unconditionally promises to pay to the order of Payee the Principal Sum of $[Amount in Numeric Format], in lawful money of the United States of America, together with interest on the unpaid principal balance from the Effective Date until paid in full, at the fixed annual rate of [Interest Rate Percentage]% (the "Interest Rate"). 1.2 Calculation of Interest. Interest shall be calculated on the basis of a 360-day year consisting of twelve (12) thirty-day months and charged for the actual number of days elapsed. In no event shall the interest rate charged hereunder exceed the maximum rate permitted by applicable law (the "Maximum Rate"). If any interest is paid in excess of the Maximum Rate, such excess shall be credited against the Principal Sum or refunded to Maker if the Principal Sum has been paid in full.
Section 2. Repayment Terms and Schedule
2.1 Maturity Date. The entire outstanding Principal Sum, together with all accrued and unpaid interest and any other fees or charges due hereunder, shall be due and payable in full on [Maturity Date] (the "Maturity Date"), unless accelerated earlier pursuant to the terms of this Note. 2.2 Installment Payments. Maker shall repay the Principal Sum and interest in [Number of Installments] consecutive [monthly / quarterly / annual] installments of $[Installment Amount in USD] each, commencing on [First Payment Date], and continuing on the same day of each successive period thereafter until the Maturity Date, at which time all remaining sums due under this Note shall be paid in full. 2.3 Application of Payments. All payments made on this Note shall be applied first to the payment of any late charges or collection costs incurred by Payee, second to the payment of accrued and unpaid interest, and third to the reduction of the Principal Sum. 2.4 Manner of Payment. All payments shall be made in immediately available funds via wire transfer to an account designated in writing by Payee, or by check delivered to Payee’s principal address set forth above, or to such other place as Payee may from time to time designate in writing.
Section 3. Prepayment Privileges
3.1 Right to Prepay. Maker shall have the right to prepay this Note, in whole or in part, at any time and from time to time, without premium or penalty. 3.2 Application of Prepayments. Any partial prepayment shall be applied against the principal installments last maturing and shall not relieve Maker of the obligation to continue making the regular installment payments required under Section 2.2 until the Principal Sum is paid in full.
Section 4. Default and Acceleration
4.1 Events of Default. The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note: (a) Failure of Maker to pay any installment of principal or interest, or any other sum due under this Note, within [Number of Grace Period Days, e.g., ten (10)] days after the date when due; (b) The filing of a petition by or against Maker under any bankruptcy, insolvency, reorganization, or moratorium law, or any other law for the relief of debtors; (c) The appointment of a receiver, trustee, custodian, or liquidator for Maker or for any substantial part of Maker’s property; (d) The making by Maker of a general assignment for the benefit of creditors; (e) Any representation or warranty made by Maker in connection with this Note proves to have been materially false or misleading when made; or (f) Default in the performance of any other covenant, term, or condition contained in this Note, which default is not cured within [Number of Cure Days, e.g., thirty (30)] days after written notice thereof from Payee to Maker. 4.2 Acceleration. Upon the occurrence of any Event of Default, and at any time thereafter, Payee may, at its sole option, declare the entire unpaid Principal Sum of this Note, together with all accrued and unpaid interest and all other sums due hereunder, immediately due and payable, without presentment, demand, protest, or notice of any kind (including notice of intent to accelerate), all of which are hereby expressly waived by Maker.
Section 5. Default Interest and Late Charges
5.1 Default Interest Rate. Upon the occurrence of an Event of Default, and regardless of whether Payee has accelerated the maturity of this Note, the outstanding Principal Sum shall bear interest at the lesser of (a) the maximum rate permitted by applicable law, or (b) the Interest Rate plus [Default Interest Markup Percentage, e.g., five percent (5.0%)] per annum (the "Default Rate"), from the date of default until the default is cured or this Note is paid in full. 5.2 Late Charge. If any payment of principal or interest is not received by Payee within [Number of Days, e.g., fifteen (15)] days after its due date, Maker shall pay to Payee a late charge equal to [Late Charge Percentage, e.g., five percent (5.0%)] of the overdue payment, or the maximum amount permitted by applicable law, to cover the administrative expenses of handling late payments.
Section 6. Costs of Collection and Enforcement
6.1 Legal Fees and Expenses. If this Note is placed in the hands of an attorney for collection, or if suit is filed hereon, or if proceedings are instituted in bankruptcy, receivership, reorganization, or other legal proceedings, Maker agrees to pay to Payee all reasonable costs and expenses of collection incurred, including, without limitation, reasonable attorneys' fees, court costs, and expert witness fees.
Section 7. Waivers by Maker
7.1 Waiver of Presentment and Protest. Maker and all endorsers, sureties, guarantors, and other persons who may become liable for all or any part of this obligation severally waive presentment for payment, demand, protest, notice of protest, notice of dishonor, notice of intent to accelerate, notice of acceleration, and all other notices or demands in connection with the delivery, acceptance, performance, default, or enforcement of this Note. 7.2 Waiver of Statute of Limitations. Maker hereby waives the benefit of any statute of limitations affecting the liability hereof or the enforcement of this Note to the fullest extent permitted by law. 7.3 Course of Dealing. No failure or delay on the part of Payee in exercising any right, power, or privilege under this Note shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.
Section 8. Governing Law, Jurisdiction, and Venue
8.1 Governing Law. This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, and enforced in accordance with, the internal laws of the State of [State], without regard to its conflict of laws principles. 8.2 Consent to Jurisdiction. Maker irrevocably and unconditionally agrees that any legal action, suit, or proceeding arising out of or relating to this Note shall be instituted in the state or federal courts located in [County] County, [State]. Maker hereby irrevocably submits to the exclusive jurisdiction of such courts and waives any objection which Maker may now or hereafter have to the laying of venue of any such action, suit, or proceeding.
Section 9. Miscellaneous Provisions
9.1 Amendments and Waivers. No amendment, modification, or discharge of this Note, and no waiver of any provision hereof, shall be valid unless in writing and signed by the party against whom such amendment, modification, discharge, or waiver is sought to be enforced. 9.2 Severability. If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of this Note. 9.3 Successors and Assigns. This Note shall be binding upon Maker and Maker's successors and permitted assigns, and shall enure to the benefit of Payee and Payee's successors and assigns. Maker may not assign or transfer its obligations under this Note without the prior written consent of Payee. Payee may freely assign or transfer this Note, in whole or in part, without notice to or consent from Maker. 9.4 Entire Agreement. This Promissory Note constitutes the entire agreement between Maker and Payee with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, understandings, and negotiations, whether oral or written. 9.5 Headings. The section headings contained in this Note are for reference purposes only and shall not affect in any way the meaning or interpretation of this Note. 9.6 Time of Essence. - Download or copy the text of this template into your word processing application (Microsoft Word or Google Docs).
- Locate all bracketed placeholders (e.g.,
[Amount in USD],[State],[Interest Rate Percentage]) and replace them with the exact agreed-upon business terms. Ensure that bracketed prompts are completely removed and replaced with clean text. - Verify that all cross-references (such as payment dates, amounts, and maturity dates) match accurately across all sections.
Step 2: Verification of Signatory Authority
- Confirm that the individuals executing the document on behalf of the Maker (Borrower) and Payee (Lender) possess the legal authority to bind their respective corporate entities.
- For corporate entities, check corporate bylaws, resolutions, or operating agreements to ensure appropriate authorization (e.g., Board of Directors resolution approving the incurrence of debt).
Step 3: Execution via Digital Signature or Wet Ink
- Digital Execution: Upload the finalized document into an enterprise-grade digital signature platform (such as DocuSign or Adobe Sign). Route the document to the authorized signatories with designated signature, title, and date fields.

Step 4: Record Retention and Compliance Filing
- Store the fully executed promissory note in a secure, centralized digital repository (e.g., enterprise contract lifecycle management system or secure corporate vault) with restricted access.
- Ensure that accounting and finance departments enter the repayment schedule, interest accrual parameters, and maturity milestones into the corporate financial ledger.
- If required under local state law or UCC Article 9, file any associated security agreements or financing statements (UCC-1) to perfect collateral interests, if applicable.
