MENTORING AGREEMENT TEMPLATE

This Mentoring Agreement (the "Agreement") is entered into as of [Date] (the "Effective Date") by and between [Mentor Name/Entity], located at [Address] ("Mentor"), and [Mentee Name/Entity], located at [Address] ("Mentee"). Mentor and Mentee may be collectively referred to herein as the "Parties" and individually as a "Party."

1. RECITALS

WHEREAS, Mentor possesses specialized knowledge, professional experience, and expertise in [Field/Industry]; and WHEREAS, Mentee desires to engage the services of Mentor for professional development, guidance, and strategic consultation; and WHEREAS, the Parties wish to set forth the terms and conditions under which the Mentorship Services will be provided.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

2. OPERATIONAL DEFINITIONS

1. "Mentorship Services" shall mean the advisory, coaching, and strategic guidance sessions provided by Mentor to Mentee, as described in Exhibit A.
2. "Confidential Information" shall mean all non-public, proprietary, or sensitive information disclosed by one Party to the other, whether oral or written, marked as confidential or reasonably understood to be confidential.
3. "Term" shall mean the period commencing on the Effective Date and continuing for [Number] months, unless terminated earlier in accordance with the provisions herein.
4. "Work Product" shall mean all deliverables, notes, strategic plans, or materials created by Mentor specifically for Mentee during the performance of this Agreement.
5. "Business Day" shall mean any day other than a Saturday, Sunday, or a day on which commercial banks in [Jurisdiction] are authorized or required by law to be closed.

3. SUBSTANTIVE TERMS & OBLIGATIONS

1. Scope of Services: Mentor shall provide Mentorship Services for a duration of [Number] hours per [Month/Week]. The Parties agree to adhere to the schedule established in the [Calendar/Platform].
2. Mentee Obligations: Mentee shall provide timely feedback, complete assigned developmental tasks, and compensate Mentor in the amount of [Dollar Amount] per [Period], payable within [Number] days of receipt of invoice.
3. Representations and Warranties: Each Party represents that they have the full power and authority to enter into this Agreement and that the performance of their obligations will not conflict with any other legal agreements.
4. Non-Guarantee of Results: Mentor does not guarantee specific professional or financial outcomes. Mentorship Services are advisory in nature, and Mentee remains solely responsible for all business decisions.
5. Relationship of Parties: Mentor acts as an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employer-employee relationship.

4. DEFAULT, TERMINATION, AND REMEDIES

1. Termination for Convenience: Either Party may terminate this Agreement upon [Number] days’ prior written notice to the other Party.
2. Termination for Cause: Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any obligation hereunder.
3. Cure Period: In the event of a breach, the breaching Party shall have thirty (30) Business Days following receipt of written notice to cure such breach. If the breach remains uncured, the non-breaching Party may exercise its right of termination.
4. Remedies: Upon termination, Mentee shall pay all outstanding fees for services rendered through the date of termination. The Parties reserve all rights and remedies available at law or in equity for breach of this Agreement.

5. BOILERPLATE LEGAL PROVISIONS

1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
2. Dispute Resolution: Any dispute arising out of or related to this Agreement shall be submitted to binding arbitration in [City, State] in accordance with the rules of the [Arbitration Association].
3. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
