MENTAL HEALTH ASSESSMENT FORM

This Mental Health Assessment Form (the "Agreement") is entered into as of this [Day] day of [Month], [Year] (the "Effective Date"), by and between:

[Company/Provider Name], a corporation organized and existing under the laws of [Jurisdiction], with its principal place of business at [Address] (hereinafter referred to as the "Provider"), and

[Client/Employee Name], an individual residing at [Address] (hereinafter referred to as the "Subject").

RECITALS

WHEREAS, the Provider is engaged in the professional assessment of psychological and mental health status; and WHEREAS, the Subject desires to undergo a mental health assessment (the "Assessment") for the purposes of [Purpose, e.g., workplace fitness, clinical evaluation, insurance compliance]; NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. OPERATIONAL DEFINITIONS

1.1 "Assessment" means the professional psychological evaluation, diagnostic interviewing, and clinical reporting conducted by the Provider. 1.2 "Confidential Information" means all data, clinical notes, and personal health information disclosed by the Subject, subject to legal disclosure requirements. 1.3 "Authorized Disclosure" means the release of records pursuant to a signed HIPAA authorization, court order, or statutory reporting requirement. 1.4 "Effective Date" is the date first set forth above. 1.5 "Services" means the clinical acts performed by the Provider in furtherance of the Assessment.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1 Scope of Services. The Provider agrees to perform a mental health evaluation commensurate with industry standards for the identified Purpose. 2.2 Subject Cooperation. The Subject agrees to provide full, honest, and accurate disclosures to the Provider. Any material omission or misrepresentation by the Subject shall render the Assessment results void. 2.3 Payment Terms. The Subject or their designate shall remit a fee of [Dollar Amount] for the Services, payable within [Number] days of the invoice date. 2.4 Representations. The Provider represents that they hold all required licenses and certifications in [Jurisdiction]. The Subject represents that they have the legal capacity to enter into this Agreement. 2.5 Limitation of Liability. Except in cases of gross negligence or willful misconduct, the Provider’s total liability for claims arising out of this Agreement shall not exceed the fees paid for the Assessment.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1 Breach of Contract. A party shall be in default if they fail to perform any material obligation under this Agreement. 3.2 Cure Period. The non-breaching party shall provide written notice of default. The breaching party shall have a period of thirty (30) business days from receipt of such notice to remedy the breach. 3.3 Termination. Either party may terminate this Agreement upon [Number] days’ prior written notice. Upon termination, the Subject remains liable for all Services rendered up to the date of termination. 3.4 Remedies. In the event of an uncured breach, the non-breaching party may seek equitable relief, specific performance, or monetary damages as permitted by law.

4. BOILERPLATE LEGAL PROVISIONS

4.1 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 4.2 Entire Agreement. This document constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or agreements, whether written or oral. 4.3 Force Majeure. No party shall be liable for failure to perform due to acts of God, war, pandemic, or other events beyond their reasonable control. 4.4 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. 4.5 Dispute Resolution. Any dispute arising out of this Agreement shall be submitted to mandatory binding arbitration under the rules of the [Arbitration Association] located in [Jurisdiction].
