MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement (the "Agreement") is made and entered into this [___________] day of [___________], 20[____] at [___________], Philippines, by and between:

The DEPARTMENT OF EDUCATION, a government agency of the Republic of the Philippines, with principal office address at DepEd Complex, Meralco Avenue, Pasig City, represented herein by its [___________], [___________], hereinafter referred to as the "DEPED";

(Collectively referred to as the "Parties")

WITNESSETH:

WHEREAS, the DEPED is mandated to protect and promote the right of all citizens to quality education and to take appropriate steps to make such education accessible to all;

WHEREAS, the PARTNER has expressed its intent to support the DEPED in the implementation of [______________________________________________________________________] (the "Project");

WHEREAS, the Parties recognize the importance of their collaboration in achieving the objectives of the Project for the benefit of the learners and the personnel of the DEPED;

NOW, THEREFORE, for and in consideration of the foregoing premises and the mutual covenants herein contained, the Parties agree as follows:

ARTICLE I: OBJECTIVES

ARTICLE II: OBLIGATIONS OF THE PARTIES

ARTICLE III: TERM OF AGREEMENT

ARTICLE IV: NON-PROFIT AND NON-PARTISANSHIP

The PARTNER warrants that the Project is non-profit and shall not be used for any political or partisan activities. No part of the funds or resources provided herein shall be used for purposes other than those specified in this Agreement.

ARTICLE V: CONFIDENTIALITY

The Parties shall maintain the confidentiality of any information or data accessed or exchanged during the term of this Agreement, subject to the provisions of the Data Privacy Act of 2012 (Republic Act No. 10173).

ARTICLE VI: DISPUTE RESOLUTION

Any dispute arising from or in connection with this Agreement shall be settled amicably through negotiation or mediation. Should such efforts fail, the venue for any legal action shall be exclusively in the courts of [___________], Philippines.

ARTICLE VII: AMENDMENTS

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless made in writing and signed by both Parties.
