PARTIES & DEFINITIONS:

This MEMORANDUM OF AGREEMENT OF LEASE (the "Memorandum") is made and entered into on this [Day] day of [Month], [Year] (the "Execution Date"), by and between:

OPERATIVE CLAUSES & TERMS:

WHEREAS, Landlord is the fee simple owner of the real property described herein; and WHEREAS, Landlord and Tenant have entered into the Lease Agreement dated [Date of Lease Agreement], under which Landlord has agreed to lease the Premises to Tenant, and Tenant has agreed to lease the Premises from Landlord; and WHEREAS, the parties desire to execute this Memorandum for the purpose of placing of record their entry into the Lease Agreement and providing constructive notice of the Tenant's leasehold interest in the Premises, without disclosing the full terms and conditions of the Lease Agreement.

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

1. ACKNOWLEDGMENT OF LEASE AGREEMENT. Landlord and Tenant hereby acknowledge and declare that they have entered into the Lease Agreement dated [Date of Lease Agreement], for the lease of the Premises described below. The Lease Agreement is a legally binding contract between the parties.

2. DESCRIPTION OF PREMISES. The real property subject to the Lease Agreement, hereinafter referred to as the "Premises," is located at [Street Address of Premises], [City], [State], [Zip Code], and is more particularly described as follows:
