INSTRUCTIONS FOR USE

• Completion: This document is to be completed by the authorized representative of the Service Provider in consultation with the Client’s legal or procurement department.
• Filing & Retention: Both parties must retain a fully executed digital or physical copy for a minimum of 7 (seven) years from the date of agreement expiration or termination.
• Mandatory Attachments: Any engagement under this MSA must be governed by a specific Statement of Work (SOW) referencing this Document ID.

1. PARTIES

This Agreement is entered into by and between: Service Provider: [] having its registered office at [] (hereinafter "Provider"). Client: [] having its registered office at [] (hereinafter "Client").

2. SCOPE OF SERVICES

The Provider shall perform the services described in individual Statements of Work (SOWs) executed by the parties. Each SOW shall form an integral part of this Agreement. In the event of a conflict between this MSA and an SOW, the terms of this MSA shall prevail unless explicitly stated otherwise.

3. TERM AND TERMINATION

• Initial Term: This Agreement shall be valid for a period of [__________] months/years.
• Termination for Convenience: Either party may terminate this Agreement by providing [__________] days’ written notice.

• Pre-existing IP: Each party retains ownership of their respective pre-existing Intellectual Property.

6. CONFIDENTIALITY

7. LIMITATION OF LIABILITY

Neither party shall be liable for any indirect, incidental, or consequential damages. The total aggregate liability of the Provider under this Agreement shall not exceed the total fees paid by the Client in the [__________] months preceding the claim.

8. GOVERNING LAW AND DISPUTE RESOLUTION

• Jurisdiction: This Agreement is governed by the laws of India.
