OPERATIVE CLAUSES AND TERMS

1. SCOPE OF SERVICES 1.1. Service Provider shall perform the Services and provide the Deliverables as mutually agreed upon and detailed in individual Statements of Work executed by both Parties under this Agreement. 1.2. Each SOW shall reference this Agreement and be deemed incorporated into this Agreement by reference. In the event of a conflict between the terms of an SOW and this Agreement, the terms of this Agreement shall control, unless the SOW explicitly states an intent to supersede a specific provision of this Agreement for that particular SOW.

2. STATEMENTS OF WORK 2.1. Client may from time to time request Service Provider to perform Services by submitting a proposed SOW. Service Provider shall review and respond to such proposals promptly. 2.2. Each SOW shall include, at a minimum: (a) a description of the Services; (b) the Deliverables; (c) the schedule for performance and delivery; (d) the Fees and payment terms; (e) any specific Client responsibilities; and (f) any other terms relevant to the specific project. 2.3. No Services shall commence and no obligation to pay for such Services shall arise until an SOW has been duly executed by authorized representatives of both Parties. 2.4. Any changes, additions, or modifications to an executed SOW shall be made only through a written Change Order, signed by authorized representatives of both Parties.

3. FEES AND PAYMENT TERMS 3.1. Fees: Client shall pay Service Provider the Fees specified in each SOW for the Services and Deliverables provided. 3.2. Invoicing: Service Provider shall invoice Client in accordance with the billing schedule set forth in the applicable SOW or, if not specified, [e.g., monthly in arrears]. Invoices shall include sufficient detail to justify the charges. 3.3. Payment Due Date: Unless otherwise specified in an SOW, all undisputed invoices are due and payable [e.g., thirty (30)] days from the invoice date. 3.4. Late Payments: Any undisputed amounts not paid when due shall be subject to interest at the rate of [e.g., 1.5%] per month or the maximum rate permitted by law, whichever is less, calculated from the due date until the date paid. Client shall also be responsible for all reasonable costs (including attorneys' fees) incurred by Service Provider in collecting any overdue amounts. 3.5. Taxes: All Fees are exclusive of any sales, use, excise, value-added, or other similar taxes, duties, and charges imposed by any governmental authority, all of which shall be the sole responsibility of Client, except for taxes based on Service Provider’s net income. 3.6. Expenses: Client shall reimburse Service Provider for all reasonable, pre-approved, out-of-pocket expenses incurred by Service Provider in connection with the performance of the Services, provided such expenses are supported by appropriate documentation.

4. TERM AND TERMINATION 4.1. Term: This Agreement shall commence on the Effective Date and shall continue in effect for an initial term of [e.g., one (1) year] ("Initial Term"), unless terminated earlier in accordance with this Section 4. Thereafter, this Agreement shall automatically renew for successive [e.g., one (1) year] periods (each, a "Renewal Term"), unless either Party provides written notice of non-renewal to the other Party at least [e.g., sixty (60)] days prior to the expiration of the then-current term. 4.2. Termination for Convenience: Either Party may terminate this Agreement, or any individual SOW, for convenience by providing [e.g., sixty (60)] days' prior written notice to the other Party. In the event of such termination: a. Client shall pay Service Provider for all Services performed and Deliverables provided up to the effective date of termination, plus any non-cancelable commitments and reasonable wind-down costs. b. Service Provider shall promptly return any Client property and Confidential Information. 4.3. Termination for Cause: a. Either Party may terminate this Agreement or any SOW immediately upon written notice if the other Party materially breaches any of its obligations hereunder and fails to cure such breach within [e.g., thirty (30)] days after receiving written notice thereof. b. Either Party may terminate this Agreement immediately upon written notice if the other Party: (i) files a petition for bankruptcy; (ii) has a petition for bankruptcy filed against it that is not dismissed within [e.g., sixty (60)] days; (iii) becomes insolvent or makes an assignment for the benefit of creditors; or (iv) discontinues its business. 4.4. Effect of Termination: a. Upon termination or expiration of this Agreement, all outstanding SOWs shall automatically terminate. b. Sections [e.g., 3.4 (Late Payments), 4.4 (Effect of Termination), 5 (Representations and Warranties), 6 (Confidentiality), 7 (Intellectual Property), 8 (Indemnification), 9 (Limitation of Liability), 13 (Governing Law and Dispute Resolution), and 16 (Entire Agreement)] shall survive any termination or expiration of this Agreement. c. Termination of this Agreement shall not relieve Client of its obligation to pay any Fees accrued hereunder prior to the effective date of termination.

5. REPRESENTATIONS AND WARRANTIES 5.1. Mutual Warranties: Each Party represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation/formation; (b) it has the full corporate power and authority to enter into this Agreement and to perform its obligations hereunder; (c) the execution and delivery of this Agreement and the performance of its obligations hereunder do not conflict with or violate any other agreement to which it is a party; and (d) this Agreement constitutes a legal, valid, and binding obligation enforceable against it in accordance with its terms. 5.2. Service Provider Warranties: Service Provider represents and warrants that: a. The Services will be performed in a professional and workmanlike manner, in accordance with generally accepted industry standards and practices. b. The Services will be performed by qualified personnel. c. The Deliverables will conform to the specifications set forth in the applicable SOW. d. The Deliverables will not infringe upon the Intellectual Property Rights of any third party. 5.3. Disclaimer: EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, SERVICE PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6. CONFIDENTIALITY 6.1. Obligations: The Receiving Party shall: (a) use the Disclosing Party's Confidential Information only for the purposes of performing its obligations or exercising its rights under this Agreement; (b) protect the Disclosing Party's Confidential Information with the same degree of care it uses to protect its own confidential information of a similar nature, but in no event less than reasonable care; and (c) not disclose the Disclosing Party's Confidential Information to any third party, except to its employees, agents, subcontractors, or advisors who have a need to know such information for the purposes of this Agreement and who are bound by confidentiality obligations at least as restrictive as those contained herein. 6.2. Exclusions: Confidential Information shall not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was known to the Receiving Party prior to disclosure by the Disclosing Party without breach of any confidentiality obligation; (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; or (d) is rightfully obtained by the Receiving Party from a third party without restriction on disclosure. 6.3. Compelled Disclosure: If the Receiving Party is required by law or court order to disclose Confidential Information, it shall provide prompt written notice to the Disclosing Party, unless prohibited by law, to allow the Disclosing Party to seek a protective order or other appropriate remedy. 6.4. Return of Information: Upon termination or expiration of this Agreement, or at the Disclosing Party's request, the Receiving Party shall promptly return or destroy all copies of the Disclosing Party's Confidential Information, except for copies retained for archival purposes in accordance with legal or regulatory requirements, subject to continuing confidentiality obligations. 6.5. Duration: The obligations of confidentiality set forth in this Section 6 shall survive the termination or expiration of this Agreement for a period of [e.g., three (3) years], or indefinitely for trade secrets.

7. INTELLECTUAL PROPERTY 7.1. Pre-existing IP: Each Party shall retain all Intellectual Property Rights in its own pre-existing materials and technology ("Pre-existing IP"). 7.2. Client IP: Client shall retain all Intellectual Property Rights in any materials or information provided by Client to Service Provider for the purpose of Service Provider performing the Services ("Client IP"). Client grants Service Provider a non-exclusive, royalty-free, worldwide license to use Client IP solely as necessary to perform the Services under this Agreement. 7.3. Developed IP: a. Unless otherwise explicitly stated in an SOW, all Intellectual Property Rights in the Deliverables created specifically for Client under an SOW (excluding Service Provider's Pre-existing IP incorporated therein) shall be owned by Client upon full payment of the applicable Fees. Service Provider hereby assigns, and agrees to assign, all right, title, and interest in and to such Deliverables to Client. b. Service Provider shall assist Client, at Client's expense, in obtaining and enforcing such Intellectual Property Rights, including executing all necessary documents. 7.4. Service Provider Tools: Notwithstanding Section 7.3, Service Provider shall retain all Intellectual Property Rights in any general tools, methodologies, software, or components developed by Service Provider that are not unique to Client or widely applicable across multiple clients ("Service Provider Tools"). To the extent such Service Provider Tools are incorporated into Deliverables, Service Provider grants Client a perpetual, non-exclusive, royalty-free, worldwide license to use, reproduce, and modify such Service Provider Tools solely as necessary to use the Deliverables for their intended purpose.

8. INDEMNIFICATION 8.1. Service Provider Indemnification: Service Provider shall indemnify, defend, and hold harmless Client and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) any claim that the Deliverables (excluding any Client IP or third-party materials incorporated at Client's direction) infringe or misappropriate any third party's Intellectual Property Rights; (b) any breach by Service Provider of its representations or warranties under this Agreement; or (c) the gross negligence or willful misconduct of Service Provider or its personnel. 8.2. Client Indemnification: Client shall indemnify, defend, and hold harmless Service Provider and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) any claim that Client IP provided to Service Provider infringes or misappropriates any third party's Intellectual Property Rights; (b) any breach by Client of its representations or warranties under this Agreement; or (c) the gross negligence or willful misconduct of Client or its personnel. 8.3. Procedure: The indemnified Party shall provide prompt written notice of any claim for which indemnification is sought and shall provide reasonable cooperation to the indemnifying Party, at the indemnifying Party's expense, in the defense and settlement of such claim. The indemnifying Party shall have sole control over the defense and settlement of any claim, provided that it shall not settle any claim in a manner that requires the indemnified Party to admit liability or pay any amount without the indemnified Party's prior written consent.

9. LIMITATION OF LIABILITY 9.1. EXCLUSION OF CERTAIN DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, REVENUES, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 9.2. CAP ON LIABILITY: EXCEPT FOR (A) CLAIMS FOR BREACH OF CONFIDENTIALITY OBLIGATIONS UNDER SECTION 6, (B) INDEMNIFICATION OBLIGATIONS UNDER SECTION 8, OR (C) DAMAGES ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY CLIENT TO SERVICE PROVIDER UNDER THE APPLICABLE SOW OR, IF NO SOW IS APPLICABLE, UNDER THIS AGREEMENT DURING THE [e.g., TWELVE (12)] MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. DATA PROTECTION AND PRIVACY 10.1. Compliance: Each Party shall comply with all applicable data protection and privacy laws and regulations in its performance of this Agreement. 10.2. Client Data: To the extent Service Provider processes personal data on behalf of Client, the Parties shall execute a separate Data Processing Addendum ("DPA") or similar agreement, which shall be incorporated by reference into this Agreement. Client represents and warrants that it has all necessary rights and consents to provide any personal data to Service Provider for processing hereunder.

11. INDEPENDENT CONTRACTOR 11.1. Service Provider is an independent contractor and not an employee, partner, or joint venturer of Client. Nothing in this Agreement shall be construed to create any partnership, joint venture, employment, or agency relationship between the Parties. Service Provider shall have exclusive control over the manner and means of performing the Services. Service Provider shall be solely responsible for all taxes, withholdings, and other similar statutory obligations arising from its performance of the Services.

12. FORCE MAJEURE 12.1. Neither Party shall be liable for any delay or failure to perform its obligations hereunder (excluding payment obligations) if such delay or failure is caused by an event of force majeure, including but not limited to acts of God, war, terrorism, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics or pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials. The affected Party shall promptly notify the other Party of the force majeure event and use reasonable efforts to mitigate its impact.

13. GOVERNING LAW AND DISPUTE RESOLUTION 13.1. Governing Law: This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of [Governing Law State/Country] without regard to its conflict of laws principles. 13.2. Dispute Resolution (Optional Mediation/Arbitration): a. Negotiation: The Parties agree to attempt to resolve any dispute arising out of this Agreement by good faith negotiation between senior management of each Party within [e.g., thirty (30)] days of one Party's written request for negotiation. b. Mediation (Optional): If the dispute is not resolved through negotiation, the Parties agree to endeavor to resolve the dispute through mediation conducted by a mutually agreeable mediator in [City, State/Country] within [e.g., sixty (60)] days of the commencement of negotiations. The costs of mediation shall be shared equally by the Parties. c. Arbitration (Optional): If the dispute is not resolved through negotiation or mediation, the Parties agree that any unresolved dispute shall be finally settled by binding arbitration administered by [e.g., the American Arbitration Association (AAA)] in accordance with its [e.g., Commercial Arbitration Rules]. 15. ASSIGNMENT 15.1. Neither Party may assign, transfer, or delegate any of its rights or obligations under this Agreement, whether by operation of law or otherwise, without the prior written consent of the other Party, which consent shall not be unreasonably withheld or delayed. Notwithstanding the foregoing, either Party may assign this Agreement in its entirety, without the other Party's consent, to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

16. ENTIRE AGREEMENT 16.1. This Agreement, together with all SOWs, exhibits, and schedules attached hereto or incorporated by reference, constitutes the sole and entire agreement of the Parties with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

17. AMENDMENTS 17.1. No amendment to or modification of this Agreement or any SOW is effective unless it is in writing, identified as an amendment to this Agreement or the relevant SOW, and signed by an authorized representative of each Party.

18. SEVERABILITY 18.1. If any term or provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement, and this Agreement shall be construed as if such invalid, illegal, or unenforceable term or provision had never been contained herein.

19. WAIVER 19.1. No waiver by any Party of any of the provisions hereof shall be effective unless explicitly set forth in writing and signed by the Party so waiving. No waiver by any Party shall operate or be construed as a waiver in respect of any failure, breach, or default not expressly identified by such written waiver, whether of a similar or different character, and whether occurring before or after that waiver. No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from this Agreement shall operate or be construed as a waiver thereof; nor shall any single or partial exercise of any right, remedy, power, or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.

20. COUNTERPARTS 20.1. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall be deemed to be one and the same agreement. A signed copy of this Agreement delivered by facsimile, email, or other means of electronic transmission shall be deemed to have the same legal effect as delivery of an original signed copy of this Agreement.

21. SUBCONTRACTING 21.1. Service Provider may, with Client's prior written consent (not to be unreasonably withheld or delayed), subcontract certain portions of the Services to qualified third parties. Service Provider shall remain fully responsible for the performance of its subcontractors and for their compliance with the terms and conditions of this Agreement.

STEP-BY-STEP EXECUTION GUIDE

This guide outlines the critical steps for effectively executing, filing, and enforcing this Master Services Agreement.

  1. Review and Customize Thoroughly:

    • Legal Counsel: DO NOT proceed without having a qualified attorney review, customize, and approve this template for your specific jurisdiction and business needs. This template is a starting point, not a final legal document.
    • Business Alignment: Ensure all clauses (especially Scope, Fees, IP, Liability) accurately reflect the commercial terms agreed upon by both parties.
  2. Fill All Blanks:

    • Carefully replace all bracketed placeholders (e.g., [Company Name], [Effective Date], [Governing Law State/Country]) with the accurate and complete information. Incomplete blanks can render clauses unenforceable.
    • Pay close attention to dates, addresses, legal entity types, contact information, and specific numbers/percentages.
  3. Negotiate Specifics (If Applicable):

    • This template provides standard clauses. Commercial negotiations may require modifications to specific terms (e.g., payment terms, limitation of liability caps, notice periods). Any changes MUST be agreed upon in writing by both parties.
  4. Prepare for Signature:

    • Authorized Signatories: Identify the individuals authorized to sign on behalf of each company (e.g., CEO, President, Managing Director, authorized corporate officer). Verify their authority.
    • Print Copies: Print two identical original copies of the complete, filled-out, and agreed-upon document.
  5. Execute the Agreement:

    • In-Person Signing: Ideally, both authorized signatories sign both original copies in the presence of each other or witnesses.
    • Remote Signing: If signing remotely, use a reputable electronic signature service (e.g., DocuSign, Adobe Sign) that provides an audit trail, or scan and email signed copies. Ensure your jurisdiction recognizes electronic signatures as legally binding.
    • Date: Ensure the date of signing (the "Date" field under each signature) is accurate. The "Effective Date" at the top of the document may precede or coincide with the signing date.
  6. Distribute Fully Executed Copies:

    • Each Party must receive one fully executed original (or legally recognized electronic copy) of the Agreement for their records.
  7. File the Document:

    • Centralized Repository: Store the original signed Agreement in a secure, centralized legal or contract management system.
    • Accessibility: Ensure key personnel (e.g., legal, finance, project management) have access to the document and understand its terms.
  8. Initiate Statements of Work (SOWs):

    • This MSA is a framework. Services are initiated via separate SOWs. Ensure each SOW references this MSA and is properly executed following similar signature protocols.
    • File SOWs with the corresponding MSA.
  9. Monitor and Enforce Compliance:

    • Terms Adherence: Regularly review payment terms, deliverables, timelines, and confidentiality obligations to ensure ongoing compliance by both parties.
    • Performance Tracking: For Service Provider, track service delivery against SOW requirements. For Client, track payments and provision of necessary inputs.
    • Renewal/Termination: Note key dates for renewal or termination. Provide timely notice as per Section 4.1 if non-renewal is desired.
  10. Amendments and Changes:

    • Any changes to this MSA or an SOW must be made via a formal written amendment or Change Order, signed by authorized representatives of both Parties (Section 17.1). Verbal agreements are generally not enforceable.
