7.2. Right of First Refusal. 7.2.1. Offer to Company and Other Members. If any Member ("Selling Member") desires to sell, assign, or otherwise transfer all or any portion of their Interest to a third party, the Selling Member shall first provide written notice ("Offer Notice") to the Company and the other Members ("Non-Selling Members") of their bona fide intention to sell, specifying the proposed terms and conditions, including the identity of the prospective transferee, the purchase price, and other material terms. 7.2.2. 9.3. Prior Intellectual Property. Nothing in this Agreement shall be construed to grant the Company any rights to any intellectual property owned by a Member or Manager prior to the Effective Date or developed entirely independently of their association with the Company and outside the scope of the Company's business. 10.3. Permitted Disclosures. A Member may disclose Confidential Information if legally compelled to do so by a court of competent jurisdiction or a governmental agency, provided that the Member first provides prompt written notice to the Company, allowing the Company a reasonable opportunity to seek a protective order or other appropriate remedy.

10.4. Return of Confidential Information. Upon termination of a Member's association with the Company, or upon the Company's request at any time, the Member shall promptly return to the Company all documents, records, data, software, and other materials, including all copies thereof, containing or embodying Confidential Information, whether tangible or intangible, in their possession or control.

10.5. Remedies. Each Member acknowledges that any breach of this Article X would cause irreparable harm to the Company for which monetary damages alone would not be an adequate remedy. Therefore, in the event of any actual or threatened breach of this Article X, the Company shall be entitled to seek injunctive relief, specific performance, and any other available equitable remedies, in addition to any other remedies at law.

(b) Advancement of Expenses. The Company may, with the unanimous consent of the Members (excluding any Member seeking advancement), advance expenses incurred by an Indemnified Party in defending any proceeding described in Section 12.2(a), provided that the Indemnified Party undertakes to repay the advanced amounts if it is ultimately determined that the Indemnified Party is not entitled to indemnification. STEP-BY-STEP EXECUTION & FILING GUIDE

This guide provides actionable instructions for completing and formalizing your Alabama LLC Operating Agreement. Please remember the "STATUTORY & LEGAL COMPLIANCE NOTICE" at the beginning of this document; professional legal and tax advice is highly recommended.

STEP 1: Customize Bracketed Fields [ ]

  1. Open the Document: Open this template in Microsoft Word, Google Docs, or your preferred word processor.
  2. Review and Fill: Carefully go through the entire document and replace all bracketed placeholders [ ] with your specific information.
    • [Company Full Legal Name]: The exact legal name of your LLC as registered with the Alabama Secretary of State.
    • [Effective Date]: The date you want this Agreement to become legally binding. This can be the date of formation or a later date.
    • [Company Principal Address]: The primary business address of your LLC.
    • [Member Name X]: The full legal name of each individual or entity Member.
    • [Member Address X]: The principal address of each Member.
    • [Amount in USD]: The initial capital contribution from each Member.
    • [Date of Formation of LLC]: The date your Certificate of Formation was filed with the Alabama Secretary of State.
    • [Registered Agent Name] and [Registered Agent Address]: As listed on your Certificate of Formation.
    • [Clearly and precisely describe the primary business purpose...]: Be specific about what your LLC will do.
    • [Number, e.g., ten (10)]: For notice periods.
    • [Check One: [ ] Member-Managed OR [ ] Manager-Managed]: Crucial decision. Select one and delete the other, ensuring to also delete the irrelevant sub-sections (4.1.1 or 4.1.2) and adjust Section 4.2 and 4.3 titles accordingly.
    • [Name of Manager 1], [Name of Manager 2] (if Manager-Managed): List the full legal names of your appointed Managers.
    • [Majority / Unanimous]: For voting thresholds. Unanimous is more protective but can lead to deadlocks. Majority offers more flexibility. Choose consistently throughout the document.
    • [e.g., calendar year, ending December 31]: Your LLC's fiscal year.
    • [partnership OR disregarded entity (if only one Member)]: Select your desired federal tax classification. A single-member LLC is usually a disregarded entity; a multi-member LLC is usually a partnership. Consult a tax advisor.
    • [Name of Tax Matters Partner/Partnership Representative or "the Manager(s)"]: Required for partnership taxation.
    • [City, Alabama]: The city where arbitration will take place.
    • [Name of Arbitration Association, e.g., the American Arbitration Association ("AAA")] and [e.g., Commercial Arbitration Rules]: Choose a reputable arbitration body and their specific rules.
    • [Number, e.g., one (1)]: For the number of arbitrators.
    • [e.g., ten (10)]: For arbitrator experience.
    • [e.g., three (3rd)]: For notice delivery.
  3. Review Consistency: Ensure that chosen options (e.g., Member-Managed vs. Manager-Managed, voting thresholds) are consistent throughout the entire document.

STEP 2: Verify Signatory Authority

  1. Individuals: For individual Members, ensure they are of legal age and mental capacity to enter into contracts.
  2. Entities: If any Member is an entity (e.g., another LLC, corporation), verify that the person signing on behalf of that entity has the legal authority (e.g., by board resolution, corporate bylaws, or prior operating agreement) to bind that entity to this Agreement. Request proof of authority if necessary.
  3. LLC Representation: For the signature block "FOR THE COMPANY," ensure the person signing (typically a Member or Manager, depending on your chosen management structure) is authorized to sign on behalf of [Company Full Legal Name].

STEP 3: Execute the Document

  1. Print Clean Copies: Print a clean copy of the fully customized Agreement for each signatory.
  2. Physical Signatures:
    • Each signatory should sign their respective signature block in blue or black ink.
    • Ensure the "Printed Name," "Title," and "Date" fields are accurately filled beneath each signature.
  3. Digital Signatures (DocuSign/Adobe Sign/Etc.):
    • Platforms: Utilize secure and legally recognized digital signature platforms like DocuSign, Adobe Sign, or similar services.
    • Process: Upload the finalized PDF of the Agreement to the platform. Designate signature fields for each party. Send the document to all signatories.
    • Legality: Digital signatures executed through such platforms are generally legally binding under the E-SIGN Act (Electronic Signatures in Global and National Commerce Act) and Alabama's Uniform Electronic Transactions Act.
  4. Witnesses/Notarization (Optional but Recommended for Certainty):
    • While usually not legally required for an LLC Operating Agreement in Alabama, having signatures witnessed by a neutral third party or notarized can provide additional proof of authenticity and intent, especially in closely held businesses or when significant capital is involved.
    • If you choose to use witnesses or notarization, add appropriate signature lines for them.

STEP 4: Record Retention

  1. Original Copies: Ensure that each signatory receives an original (or digitally signed original) copy of the fully executed Agreement.
  2. Company Records: The Company must maintain an original executed copy of this Operating Agreement in its official records at its principal office. This is a crucial internal document.
  3. No Filing with Secretary of State: IMPORTANT: The Operating Agreement is an internal governance document. DO NOT FILE THIS AGREEMENT WITH THE ALABAMA SECRETARY OF STATE. Only the Certificate of Formation (and any amendments thereto) is filed with the Secretary of State.

By following these steps, you will have a fully executed and properly maintained Alabama LLC Operating Agreement.
