3. TENANT COVENANTS

The Tenant covenants with the Landlord throughout the Term:

3.3 Alienation:

  • (a) Not to assign, underlet, charge, or part with possession of part only of the Property.
  • (b) Not to assign or underlet the whole of the Property without the prior written consent of the Landlord, such consent to be subject to statutory reasonableness tests under the Landlord and Tenant Act 1988.

3.4 Use and Nuisance: To use the Property solely for the Permitted Use and not to permit any illegal, immoral, or noisy trade or business, nor to cause any actionable nuisance, annoyance, or disturbance to the Landlord or occupiers of neighboring properties.

3.5 Statutory Compliance: To comply with all statutes, statutory instruments, planning permissions, and European Union laws (where applicable) relating to the Property and the Tenant's specific use thereof, including fire safety, environmental protection, and Health and Safety at Work legislation.


4. LANDLORD COVENANTS

The Landlord covenants with the Tenant:

4.1 Quiet Enjoyment: That the Tenant, paying the Rent and performing the covenants herein, shall quietly hold and enjoy the Property throughout the Term without any interruption by the Landlord or any person lawfully claiming through, under, or in trust for the Landlord.

4.2 Insurance: To keep the Property (excluding the Tenant's trade fixtures) insured against loss or damage by fire, tempest, flood, and other standard commercial risks under a comprehensive policy with a reputable insurance office.


5. DEFAULT, FORFEITURE & TERMINATION

5.1 Right of Re-entry: If the Rent remains unpaid for twenty-one (21) days after becoming due (whether formally demanded or not), or if the Tenant breaches any covenant herein, or enters into liquidation (compulsory or voluntary, except for solvent restructuring), administration, or makes any composition with creditors, the Landlord may at any time thereafter re-enter the Property or any part thereof in the name of the whole, and thereupon the Term shall absolutely determine, without prejudice to any antecedent claims or remedies.

5.2 Exclusion of 1954 Act: The parties confirm that sections 24 to 28 of the Landlord and Tenant Act 1954 are excluded in relation to the tenancy created by this Lease, pursuant to the procedure authorized by the Regulatory Reform (Business Tenancies) (England and Wales) Order 2003.


6. JURISDICTION & MISCELLANEOUS

6.1 Notices: Any notice required to be given under this Lease shall be validly served if sent by recorded delivery post or delivered by hand to the registered office of the receiving party.
