2. GRANT AND TERM
- Demise: Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, the Premises, together with the non-exclusive right to use common areas of the Building, subject to the terms and conditions of this Agreement.
- Holding Over: If Tenant retains possession of the Premises after the Expiration Date without Landlord’s express written consent, Tenant shall pay

3. RENT, ESCALATIONS, AND SECURITY DEPOSIT
- Base Rent: Tenant shall pay to Landlord Base Rent in advance on the first (1st) day of each calendar month without demand, deduction, or offset. If the Term commences on a day other than the first day of a month, Base Rent shall be prorated accordingly.
- Rent Escalation: Base Rent shall increase annually on each anniversary of the Commencement Date by
[3]%or the Consumer Price Index (CPI), whichever is greater. - Additional Rent: All other sums, charges, or amounts payable by Tenant under this Agreement, including utilities, maintenance costs, and taxes, shall be deemed "Additional Rent." Base Rent and Additional Rent are collectively "Rent."

- Utilities: Tenant shall independently contract and pay for all utilities consumed at the Premises, including electricity, gas, water, telecommunications, and waste management.
5. USE, MAINTENANCE, AND REPAIRS
- Permitted Use: The Premises shall be used strictly for the Permitted Use and for no other purpose without Landlord’s prior written consent. Tenant shall comply with all local, state, and federal laws, ordinances, and zoning codes.
- Tenant Maintenance: Tenant shall, at its sole cost and expense, maintain the interior of the Premises in good, clean, and safe condition, including non-structural walls, flooring, doors, and interior electrical/plumbing fixtures.
- Landlord Maintenance: Landlord shall maintain the structural elements of the Building, including the foundation, exterior walls, load-bearing columns, roof, and base building mechanical systems.
6. ALTERATIONS AND IMPROVEMENTS
Tenant shall not make any structural alterations, additions, or improvements to the Premises without Landlord’s prior written consent, which shall not be unreasonably withheld. All approved alterations shall become the property of Landlord upon installation, unless Landlord requires their removal upon the expiration of the Term at Tenant’s sole expense.
7. INSURANCE AND INDEMNIFICATION
- Tenant’s Insurance: Tenant shall maintain, at its own expense, Commercial General Liability (CGL) insurance with minimum limits of
[$1,000,000]per occurrence and[$2,000,000]aggregate, naming Landlord as an additional insured. Tenant shall also maintain property insurance covering all personal property and trade fixtures. - Waiver of Subrogation: Landlord and Tenant mutually release each other from liability for any loss or damage covered by respective property insurance policies, to the extent covered by insurance.

8. DEFAULT AND REMEDIES
- Events of Default: Each of the following shall constitute an Event of Default:
- Failure of Tenant to pay Rent or Additional Rent within

- Subassignment: Tenant shall not assign, sublet, or transfer the Premises, in whole or in part, without Landlord's prior written consent.
- Estoppel Certificates: Tenant shall, within
