  2. Acceleration of Rent: Declare the entire balance of Rent for the remainder of the Term to be immediately due and payable.
  3. Cure on Behalf of Tenant: Landlord may, but shall not be obligated to, perform any obligation defaulted by Tenant, and the cost incurred by Landlord, plus interest at the maximum rate permitted by law, shall be immediately due and payable by Tenant as Additional Rent.
  4. Injunctive Relief: Seek injunctive relief to restrain any actual or threatened breach of this Agreement.

4.3 Mitigation of Damages

Landlord shall use commercially reasonable efforts to mitigate any damages resulting from Tenant’s Event of Default, consistent with applicable laws of the Governing Jurisdiction.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be deemed severed from this Agreement, and the remaining provisions shall remain in full force and effect.

5.2 Entire Agreement

This Agreement, including all exhibits and addenda attached hereto, constitutes the entire agreement between Landlord and Tenant with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings, representations, or warranties. No modification or amendment to this Agreement shall be valid unless executed in writing by both Parties.

5.3 Force Majeure

Neither Party shall be held liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts of Force Majeure, provided that the affected Party gives prompt written notice to the other Party and uses commercially reasonable efforts to resume performance.

5.4 Governing Law and Venue

This Agreement shall be construed, interpreted, and governed by the laws of the State of [Jurisdiction], without regard to its conflict of laws principles. 1. Negotiation: In the event of any dispute, claim, or controversy arising out of or relating to this Agreement, the Parties shall first attempt in good faith to resolve the matter through informal negotiations between senior executives or authorized representatives.
  2. Arbitration: If the dispute is not resolved through negotiation within thirty (30) days of the initial notice of dispute, either Party may elect to submit the matter to binding arbitration administered by the [Arbitration Body, e.g., American Arbitration Association] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
