NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: PREMISES & GRANT OF LEASE

1.1 Demised Premises. Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, those certain premises located within the Building, designated as Suite [Suite/Unit Number], comprising approximately [Square Footage] rentable square feet (the "Premises"), as outlined on the floor plan attached hereto as Exhibit A. 1.2 Common Areas. Tenant shall have the non-exclusive right, in common with other tenants, guests, and invitees of the Building, to use the common areas of the Building (the "Common Areas"), which include lobbies, elevators, stairwells, and parking facilities, subject to such reasonable rules and regulations as Landlord may promulgate from time to time. 1.3 Acceptance of Premises. Tenant acknowledges that it has inspected the Premises and accepts the same in its "AS-IS, WHERE-IS" condition, with all faults, as of the Effective Date, except as otherwise expressly set forth in a separate Tenant Work Letter attached hereto as Exhibit B.

SECTION 2: TERM

2.1 Initial Term. The initial term of this Lease (the "Initial Term") shall commence on [Lease Commencement Date] (the "Commencement Date") and shall expire on [Lease Expiration Date] (the "Expiration Date"), unless terminated earlier in accordance with the provisions of this Agreement. 2.2 Holding Over. If Tenant remains in possession of the Premises after the expiration or termination of this Lease without the express written consent of Landlord, Tenant shall be deemed a tenant at sufferance. During such holdover period, Tenant shall pay base rent equal to [150% to 200%] of the rent applicable during the final month of the Term, plus all additional rent and damages sustained by Landlord as a result of such holdover.

SECTION 3: RENT & PAYMENT TERMS

3.1 Base Rent. Tenant covenants and agrees to pay to Landlord base rent for the Premises in the initial amount of [Amount in USD] per month (the "Base Rent"), due and payable in advance on the first (1st) day of each calendar month throughout the Term, without demand, offset, or deduction. 3.2 Additional Rent. In addition to Base Rent, Tenant shall pay all other sums of money as shall become due and payable by Tenant to Landlord under this Lease, including operating expenses, real estate taxes, and utility charges (collectively, "Additional Rent"). Base Rent and Additional Rent are sometimes collectively referred to as "Rent." 3.3 Late Charges & Interest. If Tenant fails to pay any installment of Rent within [e.g., five (5)] days after the date it is due, Tenant shall pay to Landlord a late charge equal to [e.g., five percent (5%)] of the overdue amount to cover administrative costs. In addition, delinquent amounts shall accrue interest at the lesser of [e.g., one and one-half percent (1.5%)] per month or the maximum rate permitted by applicable law, calculated from the date due until paid in full. 3.4 Security Deposit. Concurrently with the execution of this Lease, Tenant shall deposit with Landlord the sum of [Amount in USD] as a security deposit (the "Security Deposit") to secure the faithful performance by Tenant of all terms and conditions of this Lease. Landlord may apply all or part of the Security Deposit to cure any default by Tenant. Upon any such application, Tenant shall restore the Security Deposit to its original amount within [e.g., ten (10)] business days after written demand.

4.1 Permitted Use. The Premises shall be used and occupied solely for [Specific Commercial Purpose, e.g., general executive offices and administrative operations] and for no other purpose whatsoever. 4.2 Compliance with Laws. Tenant shall, at its sole cost and expense, promptly comply with all applicable federal, state, county, and municipal laws, ordinances, rules, regulations, and orders (including the Americans with Disabilities Act) relating to the use, condition, and occupancy of the Premises. 4.3 Nuisance and Waste. Tenant shall not commit, or suffer to be committed, any waste upon the Premises, create or permit any nuisance, or use the Premises in any manner that disturbs other tenants or increases the rate of insurance on the Building.

SECTION 5: UTILITIES & SERVICES

5.1 Tenant Responsibilities. Tenant shall be solely responsible for and shall pay promptly, directly to the utility service provider, all charges for water, gas, electricity, telephone, internet, and other utilities consumed or used on the Premises during the Term. 5.2 Interruption of Services. Landlord shall not be liable in damages or otherwise for any failure or interruption of any utility or service caused by force majeure, repairs, maintenance, or labor disputes, nor shall any such failure relieve Tenant from its obligations under this Lease.

SECTION 6: MAINTENANCE, REPAIRS, AND ALTERATIONS

6.1 Landlord Maintenance. Landlord shall maintain, repair, and replace the structural elements of the Building, the roof, exterior walls, foundation, and the core building systems (plumbing, electrical, and HVAC serving the core) in good working order. 6.2 Tenant Maintenance. Tenant shall, at its sole cost and expense, maintain the interior of the Premises in a clean, safe, and sanitary condition, and make all necessary interior repairs, ordinary and extraordinary, except for those structural elements expressly assigned to Landlord under Section 6.1. 6.3 Alterations. Tenant shall not make any structural alterations, additions, or improvements to the Premises without obtaining Landlord’s prior written consent, which consent shall not be unreasonably withheld, conditioned, or delayed. All alterations made by Tenant shall become the property of Landlord upon the expiration or termination of this Lease, unless Landlord requires their removal pursuant to Section 6.4. 6.4 Mechanic's Liens. Tenant shall keep the Premises and the Building free from any mechanic's, materialman's, or similar liens arising out of any work performed, materials furnished, or obligations incurred by Tenant. Tenant shall discharge any such lien within [e.g., ten (10)] days of notice thereof.

SECTION 7: INSURANCE & INDEMNIFICATION

7.1 Tenant’s Insurance. Tenant shall, at its sole cost and expense, maintain throughout the Term: (a) Commercial General Liability insurance insuring Landlord and Tenant against liability for bodily injury, property damage, and personal injury arising out of the use and occupancy of the Premises, with a combined single limit of not less than [Amount in USD, e.g., $2,000,000] per occurrence; and (b) property insurance covering all of Tenant’s trade fixtures, equipment, and personal property located within the Premises. 7.2 Waiver of Subrogation. Landlord and Tenant each waive any and all rights of recovery against the other, and against the officers, directors, employees, agents, and representatives of the other, for loss of or damage to its property or the property of others under its control, to the extent that such loss or damage is insured against under any property insurance policy in force at the time of such loss or damage. 7.3 Indemnification. Tenant agrees to defend, indemnify, and hold harmless Landlord, its officers, directors, agents, and employees from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Tenant’s use and occupancy of the Premises; (b) any breach or default by Tenant in the performance of its obligations under this Lease; or (c) any negligent act or omission or willful misconduct of Tenant, its agents, employees, or invitees.

SECTION 8: DEFAULT & REMEDIES

8.1 Events of Default. The occurrence of any of the following shall constitute an "Event of Default" by Tenant:

  • (a) Failure by Tenant to pay any installment of Rent or any other sum due hereunder within [e.g., five (5)] days after written notice of delinquency;
  • (b) Failure by Tenant to observe or perform any other covenant, agreement, or condition of this Lease for [e.g., thirty (30)] days after written notice from Landlord specifying the failure;
  • (c) The filing of a petition by or against Tenant under any bankruptcy or insolvency law, or the appointment of a receiver or trustee for all or substantially all of Tenant's assets. 8.2 Landlord’s Remedies. Upon the occurrence of an Event of Default, Landlord shall have the right, at its election, without notice or demand, to pursue any one or more of the following remedies:
  • (a) Terminate this Lease and recover possession of the Premises;
  • (b) Terminate Tenant’s right to possession of the Premises without terminating this Lease, and re-let the Premises on such terms as Landlord may deem advisable, holding Tenant liable for any deficiency in Rent;
  • (c) Cure such default for the account and at the expense of Tenant, and recover the cost thereof from Tenant as Additional Rent;
  • (d) Pursue any other remedy now or hereafter available to Landlord under the laws of the State of [State/Country].

SECTION 9: ASSIGNMENT AND SUBLETTING

9.1 Prohibition. Tenant shall not, voluntarily or by operation of law, assign, transfer, mortgage, pledge, or hypothecate this Lease, or sublet all or any part of the Premises, without obtaining the prior written consent of Landlord in each instance, which consent shall not be unreasonably withheld, conditioned, or delayed. Any attempted transfer without such consent shall be void ab initio and shall constitute a material Event of Default.

SECTION 10: GOVERNING LAW & DISPUTE RESOLUTION

10.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State/Country], without regard to its conflict of laws principles. 10.2 Dispute Resolution & Arbitration. Any dispute, controversy, or claim arising out of or relating to this Lease, including its formation, performance, breach, or termination, shall be settled by binding arbitration administered by the [e.g., American Arbitration Association] in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State], and the proceedings shall be conducted in the English language before a single arbitrator. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

SECTION 11: MISCELLANEOUS PROVISIONS

11.1 Entire Agreement. This Lease, together with the Exhibits attached hereto, constitutes the entire agreement between Landlord and Tenant pertaining to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the parties. 11.2 Amendments. No amendment, modification, or waiver of any provision of this Lease shall be effective unless set forth in a written instrument executed by both Landlord and Tenant. 11.3 Severability. If any provision of this Lease is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect. 11.4 Counterparts & Electronic Signatures. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
