3. OPERATIVE CLAUSES & TERMS

SECTION 1: LEASE OF PREMISES

Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, the Premises, subject to all encumbrances, covenants, conditions, easements, and restrictions of record affecting the Building or the real property.

SECTION 2: TERM

The Term of this Lease shall commence on the Commencement Date and shall end on the Expiration Date, unless terminated earlier in accordance with the provisions of this Lease. If Landlord is unable to deliver possession of the Premises on the Commencement Date due to construction delays or holding over of prior tenants, Landlord shall not be subject to any liability, and the Commencement Date and Expiration Date shall be adjusted correspondingly.

SECTION 3: RENT AND ESCALATION

  1. Base Rent: Tenant shall pay to Landlord Base Rent in advance on or before the first (1st) day of each calendar month without notice, demand, deduction, or offset, delivered to Landlord's designated address or via wire transfer as instructed by Landlord.
  2. Late Charges: If any installment of Base Rent or Additional Rent is not received by Landlord within [Number] days of the due date, Tenant shall pay a late charge equal to [Percentage, e.g., 5]% of the overdue amount to cover administrative costs.

Tenant shall pay, prior to delinquency, all real estate taxes, assessments, and governmental charges levied or assessed against the Premises or the Building (prorated for Tenant’s square footage footprint if part of a multi-tenant building) during the Term.

SECTION 6: UTILITIES AND SERVICES

Tenant shall independently contract for and pay all charges for water, gas, electricity, telecommunications, waste disposal, and any other utilities or services consumed in or supplied to the Premises throughout the Term.

SECTION 7: USE AND COMPLIANCE WITH LAWS

Tenant shall use the Premises strictly for the Permitted Use and for no other purpose. Tenant shall, at its sole cost, comply with all applicable local, state, and federal laws, ordinances, building codes, and environmental regulations (including the Americans with Disabilities Act, ADA). Tenant shall not permit any nuisance, waste, or hazardous material contamination on the Premises.

SECTION 8: MAINTENANCE, REPAIRS, AND ALTERATIONS

  1. Tenant Maintenance: Tenant shall, at its sole expense, maintain the interior, non-structural elements of the Premises in good, clean, and safe working order, including interior glass, doors, electrical fixtures, and plumbing systems located within the Premises.
  2. Landlord Maintenance: Landlord shall maintain the structural elements of the Building, including the foundation, exterior walls, load-bearing columns, and roof.
  3. Alterations: Tenant shall not make any structural alterations, additions, or improvements to the Premises without Landlord’s prior written consent, which shall not be unreasonably withheld. Any approved alterations shall become the property of Landlord upon termination of this Lease, unless Landlord requires their removal.

SECTION 9: INSURANCE AND INDEMNIFICATION

  1.
