WHEREAS, Lessor is engaged in the business of owning, leasing, and selling commercial-grade equipment and desires to lease the Equipment (as defined herein) to Lessee; and
WHEREAS, Lessee desires to lease the Equipment from Lessor for the term set forth herein, subject to and upon the express condition that Lessee shall have the option, and in certain instances the obligation, to purchase the Equipment upon the terms and conditions hereinafter articulated;
NOW, THEREFORE, in consideration of the mutual covenants, promises, representations, and warranties set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, hereby agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: DEFINITIONS AND INTERPRETATION
1.1 Definitions. For purposes of this Agreement, the following terms shall have the meanings ascribed below:
- "Equipment" means the machinery, hardware, vehicles, fixtures, or personal property described in Schedule A attached hereto and incorporated herein by this reference, together with all replacement parts, additions, repairs, accessories, and attachments incorporated therein or affixed thereto.
- "Lease Term" means the initial term specified in Section 3, together with any and all extensions or renewals thereof.
- "Purchase Option Price" means the pre-negotiated residual value or formulaic sum set forth in Schedule B, payable by Lessee to exercise its option to purchase the Equipment.
- "Rent" means the periodic payments due from Lessee to Lessor for the use and possession of the Equipment as set forth in Section 4.
SECTION 2: SCOPE OF LEASE & EQUIPMENT SCHEDULES
2.1 Lease of Equipment. Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor, the Equipment described in Schedule A, subject to the terms and conditions of this Agreement. Each Schedule executed by the Parties shall constitute a separate, distinct, and independent lease of the Equipment listed therein, while remaining fully subject to the master terms and conditions of this Agreement.
2.2 Delivery and Acceptance. Lessor shall deliver the Equipment to Lessee’s designated facility located at [Delivery Address]. Upon delivery and installation (if applicable), Lessee shall immediately inspect the Equipment and execute and deliver to Lessor an Equipment Delivery and Acceptance Certificate in the form attached as Schedule C. Acceptance of the Equipment by Lessee shall conclusively establish that the Equipment is in good repair, operational, undamaged, and entirely fit for Lessee's intended commercial purposes.
SECTION 3: TERM
3.1 Initial Term. The initial term of this Agreement shall commence on the Effective Date and shall continue for a period of [Number] ([#]) months, expiring on [Expiration Date] (the "Initial Term"), unless sooner terminated in accordance with the provisions of this Agreement.
3.2 Holding Over. If Lessee retains possession of the Equipment after the expiration or termination of the Lease Term without the express written consent of Lessor, Lessee shall be deemed a tenant at sufferance, and Lessee shall pay to Lessor holding-over rent equal to [Number] percent ([#]%) of the monthly Rent then in effect, plus all damages sustained by Lessor as a result of such holdover.
SECTION 4: COMPENSATION, RENT & PAYMENT TERMS
4.1 Rent Payments. Lessee shall pay to Lessor periodic Rent in the amount of [Amount in USD] ($[0.00]), payable in advance on the [Day] day of each [month/quarter] during the Initial Term. Payments shall be delivered to Lessor’s designated address or wired to an account specified in writing by Lessor.
4.2 Invoicing. Lessor shall issue an invoice to Lessee at least ten (10) business days prior to each Rent due date. Failure of Lessor to render an invoice shall not relieve Lessee of its absolute and unconditional obligation to pay Rent on the due date.
4.3 Late Charges and Interest. Any Rent or other sum payable under this Agreement that is not paid within five (5) business days of its due date shall incur a late charge of [Number] percent ([#]%) of the overdue amount to cover administrative costs. In addition, delinquent amounts shall accrue interest at the lesser of eighteen percent (18%) per annum or the maximum rate permitted by applicable law, calculated daily and compounded monthly from the due date until paid in full.
4.4 Net Lease. This Agreement is a triple-net lease. Lessee’s obligation to pay Rent and all other sums hereunder is absolute, unconditional, and independent, and shall not be subject to any abatement, reduction, setoff, defense, counterclaim, recoupment, or interruption for any reason whatsoever, including loss, destruction, obsolescence, or damage to the Equipment.
SECTION 5: PURCHASE OPTION AND MECHANICS
5.1 Option to Purchase. Provided that Lessee is not in material default under this Agreement, Lessee shall have the option to purchase the Equipment at the expiration of the Initial Term, or upon any designated installment date, for the Purchase Option Price set forth in Schedule B. 5.2 Exercise Notice. Lessee must provide Lessor with written notice of its irrevocable election to exercise the purchase option at least sixty (60) days prior to the intended closing date. 5.3 Transfer of Title. Upon receipt of the full Purchase Option Price, all accrued and unpaid Rent, and any other outstanding fees or charges, Lessor shall execute and deliver to Lessee a Bill of Sale transferring all of Lessor’s right, title, and interest in and to the Equipment to Lessee on an "AS-IS, WHERE-IS" basis, without any express or implied warranties of merchantability or fitness for a particular purpose, except as expressly set forth herein. 5.4 Application of Prior Payments. Unless expressly designated as a lease-purchase agreement with equity accrual on Schedule B, periodic Rent payments made under this Agreement are compensation for the use of the Equipment and shall not be credited against the Purchase Option Price.
SECTION 6: INTELLECTUAL PROPERTY & PROPRIETARY RIGHTS
6.1 Reservation of Title. The Equipment is and shall at all times remain the sole and exclusive personal property of Lessor. Lessee acquires only the temporary right to use and possess the Equipment in accordance with this Agreement. Lessee shall have no right, title, or interest in the Equipment except as expressly set forth herein. 6.2 Embedded Software and IP. To the extent the Equipment incorporates proprietary software, firmware, trade secrets, patents, or copyrighted materials (collectively, "Embedded IP"), Lessor grants to Lessee a non-exclusive, non-transferable, limited license to use such Embedded IP solely in connection with the authorized operation of the Equipment during the Lease Term. Lessee shall not reverse engineer, decompile, disassemble, modify, or create derivative works of the Embedded IP.
SECTION 7: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE
7.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or business-sensitive data disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party") relating to this Agreement, pricing terms, technical specifications, operational methods, and financial condition. 7.2 Obligations of Confidentiality. The Receiving Party shall protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential data (but not less than reasonable care), shall not disclose it to any third party (except to legal counsel, accountants, and financing partners under binder of confidentiality), and shall use it solely for the purpose of performing its obligations under this Agreement. 7.3 Exclusions. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or court order, provided prompt written notice is given to the Disclosing Party.
SECTION 8: REPRESENTATIONS AND WARRANTIES
8.1 Lessor Representations. Lessor represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization; (b) it has full corporate power and authority to enter into and perform its obligations under this Agreement; and (c) it holds clear title to the Equipment, free and clear of all liens, security interests, and encumbrances created by Lessor. 8.2 Lessee Representations. Lessee represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization; (b) the execution and performance of this Agreement have been duly authorized by all necessary corporate action; and (c) the Equipment will be used exclusively for commercial, business purposes and not for personal, family, or household use. 8.3 DISCLAIMER OF WARRANTIES. EXCEPT AS EXPRESSLY SET FORTH HEREIN, LESSOR LEASES THE EQUIPMENT TO LESSEE "AS-IS," "WHERE-IS," AND WITH ALL FAULTS. LESSOR MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, REGARDING THE EQUIPMENT, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, DESIGN, CONDITION, OR QUALITY.
SECTION 9: LIMITATION OF LIABILITY & INDEMNIFICATION
9.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF REVENUE, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LESSOR’S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL UNDER NO CIRCUMSTANCES EXCEED THE TOTAL RENT ACTUALLY PAID BY LESSEE TO LESSOR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. 9.2 Lessee Indemnification. Lessee shall defend, indemnify, and hold harmless Lessor, its officers, directors, employees, agents, and assigns from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) the delivery, installation, possession, use, maintenance, operation, or return of the Equipment; (b) any negligent act or omission of Lessee or its employees, agents, or invitees; or (c) any breach by Lessee of any covenant, representation, or warranty contained in this Agreement.
SECTION 10: TERMINATION
10.1 Termination for Convenience. Lessee may terminate this Agreement prior to the expiration of the Initial Term only upon payment of the Early Termination Fee set forth in Schedule B, alongside all accrued Rent and an amount equal to the present value of all remaining Rent payments discounted at a rate of five percent (5%) per annum. 10.2 Termination for Cause (Default). If either Party commits a material breach of any provision of this Agreement and fails to cure such breach within thirty (30) days (or ten (10) days in the case of monetary default) after receipt of written notice specifying the breach, the non-defaulting Party may terminate this Agreement immediately by delivering written notice of termination. 10.3 Rights and Obligations Upon Termination. Upon expiration or termination of this Agreement (and failure to exercise the Purchase Option): (a) Lessee’s right to use the Equipment shall immediately cease; (b) Lessee shall, at its sole expense, immediately return the Equipment to Lessor in the same condition as when received, ordinary wear and tear excepted, to a location designated by Lessor; and (c) all accrued financial obligations shall become immediately due and payable.
SECTION 11: DISPUTE RESOLUTION & ARBITRATION
11.1 Negotiation and Mediation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the Parties shall first attempt in good faith to resolve the matter through senior management negotiations. If the dispute is not resolved within thirty (30) days, either Party may submit the matter to non-binding mediation administered by the American Arbitration Association (AAA) under its Commercial Mediation Procedures.
11.2 Binding Arbitration. If mediation fails to resolve the dispute within sixty (60) days of commencement, the dispute shall be settled by binding arbitration administered by the AAA in accordance with its Commercial Arbitration Procedures. The arbitration shall be conducted by a single neutral arbitrator in [City, State]. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.
SECTION 12: GOVERNING LAW & JURISDICTION
12.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Jurisdiction], without regard to its conflict of laws principles.
12.2 Consent to Jurisdiction. Subject to Section 11, each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County] County, [State]`, for any legal action, suit, or proceeding arising out of or relating to this Agreement.
SECTION 13: MISCELLANEOUS
13.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect. 13.2 Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic facsimile or PDF signature shall be equally effective as delivery of an original manual signature. 13.3 Entire Agreement. This Agreement, together with Schedules A, B, and C attached hereto, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of both Parties.
