3. Substantive Terms & Obligations

3.1 Lease of Equipment and Term

Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor, the Equipment described in Schedule A, subject to the terms and conditions of this Agreement. The term of this Agreement (the "Lease Term") shall commence on the Effective Date and shall continue for a period of [Number] ([Written Number]) months, terminating on [End Date] (the "Scheduled Expiry Date"), unless sooner terminated in accordance with the provisions hereof.

3.2 Delivery, Inspection, and Acceptance

  1. Delivery of the Equipment shall be made to Lessee at [Delivery Location Address] on or before [Delivery Date]. All transportation, transit, and rigging costs associated with delivery shall be borne solely by [Lessor/Lessee].
  2. Upon delivery, Lessee (or its designated agent) shall immediately inspect the Equipment. Unless Lessee delivers a detailed written notice of rejection to Lessor within forty-eight (48) hours of delivery specifying any material defect, damage, or non-conformance, Lessee shall be deemed to have irrevocably accepted the Equipment in its "AS IS, WHERE IS" condition and executed an Acceptance Certificate, acknowledging that the Equipment is fully operational and compliant with all operational specifications.

3.3 Rent and Payment Terms

  1. Lessee shall pay to Lessor the Base Rent in the amount of [Dollar Amount] ($[0.00]) per [month/week], payable in advance on or before the [Day] day of each successive [calendar month/week] throughout the Lease Term.
  2. All payments shall be made via electronic funds transfer (ACH/Wire) to the designated bank account of Lessor specified in writing, or by check delivered to Lessor’s principal place of business. Time is of the essence with respect to all payment obligations.
  3. Any Base Rent or other sum not paid within five (5) business days of its due date shall incur a late charge of five percent (5%) of the overdue amount or [Dollar Amount], whichever is greater, to compensate Lessor for administrative overhead, plus interest accruing at the Default Rate from the due date until the date of actual receipt by Lessor.

3.4 Operational Compliance, Permits, and Licensing

  1. Lessee shall, at its sole cost and expense, obtain and maintain all necessary operating authorities, permits, licenses, registrations, and decals required by federal, state, and local regulatory bodies, including the FMCSA, DOT, and state departments of motor vehicles, necessary to lawfully operate the Equipment.
  2. Lessee covenants that the Equipment shall be operated exclusively by drivers who possess valid Commercial Driver's Licenses (CDLs) with appropriate endorsements, who meet all DOT qualification requirements, drug and alcohol testing mandates, and hours-of-service regulations.
  3. Lessee shall display all required identification markings, placarding, and permits on the Equipment as mandated by law.

3.5 Maintenance, Repair, and Inspection

  1. Lessee shall, at its sole cost and expense, maintain the Equipment in good mechanical condition, running order, and appearance, strictly adhering to the OEM specifications and the Maintenance Schedule set forth in Schedule B.
  2. Lessee shall ensure that all structural, mechanical, electrical, and pneumatic systems, tires, brakes, and safety devices are inspected, serviced, and repaired by certified mechanics utilizing OEM or OEM-equivalent replacement parts.
  3. Lessor reserves the right, upon twenty-four (24) hours' prior written notice to Lessee, to enter upon Lessee's premises or operational yards during normal business hours to inspect the physical condition, maintenance logs, and operational records of the Equipment.

3.6 Taxes, Tolls, and Operating Expenses

  1. Lessee shall bear, pay, and discharge when due all operational expenses associated with the use of the Equipment, including but not limited to fuel, oil, lubricants, tolls, weight-distance taxes, bridge tolls, parking fees, and fines or citations arising from the operation of the Equipment during the Lease Term.
  2. Lessee shall pay all sales, use, excise, personal property, and ad valorem taxes levied or assessed upon or with respect to the Equipment, its lease, possession, or use during the Lease Term, excluding taxes based solely upon Lessor’s net income.

3.7 Security Deposit

Upon the execution of this Agreement, Lessee shall deposit with Lessor the sum of [Dollar Amount] ($[0.00]) as a Security Deposit. The Security Deposit shall be held by Lessor as security for the faithful performance by Lessee of all terms, covenants, and conditions of this Agreement, without liability for interest. If Lessee defaults with respect to any provision of this Agreement, Lessor may, but shall not be obligated to, apply all or part of the Security Deposit to cure such default or compensate Lessor for any resulting loss or damage. Upon the expiration of the Lease Term and the return of the Equipment in compliance with Section 5.1, any unapplied balance of the Security Deposit shall be returned to Lessee within thirty (30) days.

3.8 Insurance Requirements

  1. Throughout the Lease Term, Lessee shall, at its sole cost and expense, maintain comprehensive commercial automobile liability insurance, physical damage insurance (comprehensive and collision), and motor truck cargo insurance with financially sound and reputable insurers rated "A- VII" or better by A.M. 2. Automobile Liability Insurance: Combined single limit liability coverage of not less than [Dollar Amount] ($[0.00]) per occurrence for bodily injury, death, and property damage arising out of the ownership, maintenance, or use of the Equipment.

  4. Additional Insured & Loss Payee: All liability policies shall name Lessor as an "Additional Insured." All physical damage policies shall name Lessor as "Loss Payee." Policies shall include a waiver of subrogation in favor of Lessor and shall provide that coverage cannot be canceled or materially altered without thirty (30) days' prior written notice to Lessor.
  5. Lessee shall deliver certificates of insurance evidencing such coverage to Lessor prior to delivery of the Equipment and annually thereafter upon policy renewal.

4. Default, Termination, and Remedies

4.1 Events of Default

The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Agreement:

  1. Monetary Default: Failure by Lessee to pay any installment of Base Rent, Security Deposit, taxes, or other financial obligations within ten (10) business days after the same becomes due.
  2. Covenant Default: Failure by Lessee to observe, perform, or comply with any other covenant, condition, or agreement contained in this Agreement (including insurance requirements and maintenance mandates) and the continuation of such failure for a period of thirty (30) business days after written notice thereof has been given by Lessor to Lessee.
  3. Insolvency and Bankruptcy: The filing by or against Lessee of a petition in bankruptcy or insolvency, or for reorganization or arrangement under bankruptcy laws; the appointment of a receiver, trustee, or liquidator for all or a substantial part of Lessee's assets; or the execution by Lessee of an assignment for the benefit of creditors.
  4. Seizure or Attachment: The attachment, execution, levy, or other judicial seizure of the Equipment, or Lessee's business assets, which is not released or discharged within ten (10) business days.
  5. Loss of Authority: The suspension, revocation, or termination of Lessee's operating authority by the FMCSA, DOT, or any state regulatory agency necessary for the lawful operation of the Equipment.

4.2 Notice and Cure Periods

Except for monetary defaults (which shall have a ten (10) business day cure period) and events of insolvency, seizure, or loss of operating authority (which shall constitute immediate Events of Default with no cure period), Lessor shall provide written notice of default to Lessee. Lessee shall have thirty (30) business days from the date of receipt of such notice to cure the specified default.

4.3 Remedies upon Default

Upon the occurrence of an Event of Default and at any time thereafter while such default is continuing, Lessor may exercise any one or more of the following remedies, concurrently or successively, at Lessor's sole option:

  1. Termination: Terminate this Agreement and Lessee's right to possess the Equipment by providing written notice of termination.
  2. Repossession: Enter upon any premises where the Equipment may be located and, without judicial process, notice, or legal liability, take immediate possession of and remove the Equipment. Lessee hereby expressly waives any right of action, trespass, or damage occasioned by such repossession.
  3. Acceleration: Declare all unpaid Base Rent and other sums for the remainder of the Lease Term to be immediately due and payable.
  4. Damages: Recover from Lessee all direct, incidental, and consequential damages incurred by Lessor as a result of the default, including past-due rent, the present value of all future rent discounted at the Prime Rate, repossession costs, storage fees, repair expenses, and reasonable attorneys' fees and legal costs.
  5. Mitigation: Lease or sell the Equipment, or any part thereof, at public or private sale, and apply the net proceeds thereof against Lessee's obligations hereunder, with Lessee remaining fully liable for any deficiency.

5. Boilerplate Legal Provisions

5.1 Return of Equipment

Upon the expiration or earlier termination of this Agreement, Lessee shall, at its sole cost and expense, return the Equipment to Lessor at [Return Facility Address] in the same condition as when received, ordinary wear and tear excepted, clean, fully operational, and with all required maintenance performed. If Lessee fails to return the Equipment, Lessor may retake possession thereof, and Lessee shall pay a daily holding-over charge equal to two hundred percent (200%) of the pro-rated daily Base Rent, without prejudice to Lessor's other legal rights.

5.2 Disclaimer of Warranties

LESSOR LEASES THE EQUIPMENT TO LESSEE "AS IS, WHERE IS" AND WITH ALL FAULTS. LESSOR MAKES NO WARRANTY, EXPRESS OR IMPLIED, AS TO THE DESIGN, COMPLIANCE, CONDITION, MERCHANTABILITY, CAPACITY, DURABILITY, OR SUITABILITY OF THE EQUIPMENT FOR ANY PARTICULAR PURPOSE. LESSEE ACKNOWLEDGES THAT IT HAS SELECTED THE EQUIPMENT BASED ON ITS OWN JUDGMENT AND DISCLAIMS ANY RELIANCE UPON ANY STATEMENTS OR REPRESENTATIONS OF LESSOR.

5.3 Indemnification

Lessee shall defend, indemnify, and hold harmless Lessor, its parent corporations, subsidiaries, affiliates, directors, officers, employees, agents, and assigns from and against any and all claims, actions, suits, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or connected with: (a) the selection, delivery, possession, operation, maintenance, condition, or return of the Equipment; (b) any breach or default by Lessee of its obligations under this Agreement; or (c) any negligent, reckless, or wrongful act or omission of Lessee, its drivers, agents, or employees.

5.4 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

5.5 Entire Agreement

This Agreement, together with Schedules A and B attached hereto, constitutes the entire agreement between Lessor and Lessee regarding the subject matter hereof and supersedes all prior oral or written negotiations, representations, understandings, or agreements. No modification, amendment, or waiver of any provision of this Agreement shall be binding unless executed in writing by authorized representatives of both Parties.

5.6 Force Majeure

Neither Party shall be liable for any failure or delay in the performance of its obligations under this Agreement (excluding payment obligations) if such failure or delay is caused by acts of God, war, terrorism, civil unrest, natural disasters, epidemics, strikes, or governmental embargoes beyond the reasonable control of the affected Party, provided that the affected Party provides prompt written notice to the other Party and uses commercially reasonable efforts to mitigate the effects thereof.

5.7 Governing Law and Venue

This Agreement, and all claims or causes of action arising out of or relating to it, shall be governed by, construed, and enforced in accordance with the substantive laws of the State of [Jurisdiction], without regard to its conflict of laws principles. The Parties irrevocably submit to the exclusive personal jurisdiction of the state and federal courts located in [County] County, [State], and waive any objection based on forum non conveniens.

The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with said rules. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.
