This Policy applies to all Covered Individuals as defined herein.
- General Duty of Loyalty: Each Covered Individual owes a duty of loyalty to the Company. This duty requires that all decisions and actions be taken solely in the Company's best interest, and that no Covered Individual shall use their position, corporate information, or Company assets for personal gain or to advance the interests of a Related Party.
- Identification of Conflicts of Interest: A Conflict of Interest may arise in various situations, including but not limited to:

- Family Relationships: Situations where a Covered Individual is in a position to supervise, audit, or make decisions regarding a Related Party employed by or seeking to be employed by the Company, or otherwise has influence over Company transactions involving a Related Party.
- IRS Specific Concerns (for relevant entities): For organizations subject to IRS Regulations (e.g., tax-exempt entities), any transaction or arrangement that could result in private inurement, private benefit, or an excess benefit transaction to a Covered Individual or Related Party is strictly prohibited and constitutes a grave Conflict of Interest.

- Management may, in its sole discretion, request additional information or documentation from the Covered Individual.

Such waivers are rare and require explicit approval by the Board of Directors or its authorized committee.
- Monitoring: The Conflict may be permitted to continue subject to strict monitoring and controls.
- Confidentiality: All Disclosures and related information will be treated with appropriate confidentiality to the extent practicable, consistent with the need to investigate and resolve the Conflict of Interest and comply with legal obligations.
