INTERNSHIP AGREEMENT

This Internship Agreement (the "Agreement") is entered into as of this [Day] day of [Month], [Year] (the "Effective Date") by and between:

RECITALS

WHEREAS, the Company desires to provide the Intern with educational and professional experience in the field of [Industry/Field]; and

WHEREAS, the Intern desires to perform services for the Company under the terms and conditions set forth herein, acknowledging that this engagement is primarily for the benefit of the Intern’s professional development.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

1. OPERATIONAL DEFINITIONS

1.1. "Confidential Information" shall mean all non-public, proprietary, or sensitive information, whether oral or written, concerning the business, finances, technology, or trade secrets of the Company, including but not limited to customer lists, software code, and strategic plans.

1.2. "Internship Period" shall mean the term commencing on [Start Date] and terminating on [End Date], unless terminated earlier pursuant to Section 4.

1.3. "Work Product" shall mean all inventions, designs, reports, software, data, and documentation created, developed, or discovered by the Intern, either alone or jointly with others, during the Internship Period.

1.4. "Stipend" shall mean the amount of [Dollar Amount] to be paid in accordance with the Company’s standard payroll cycle, subject to applicable tax withholdings.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1. Scope of Services: The Intern shall perform the duties and responsibilities as described in Exhibit A (Job Description). The Intern shall report to [Supervisor Name/Title].

2.2. Professional Conduct: The Intern agrees to comply with all Company policies, procedures, and safety regulations. The Intern shall conduct themselves in a professional manner at all times.

2.3. Ownership of Work Product: The Intern acknowledges that all Work Product is the sole and exclusive property of the Company. The Intern hereby assigns all right, title, and interest in and to the Work Product to the Company.

2.4. Confidentiality: The Intern shall maintain the strictest confidence regarding all Confidential Information and shall not disclose or use such information for any purpose outside the scope of the internship without prior written consent.

2.5. Status: The Intern acknowledges that this is an internship and not an offer of employment. No rights to future employment are created by this Agreement.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1. Termination for Cause: The Company may terminate this Agreement immediately upon written notice for any material breach of this Agreement, including but not limited to, breach of confidentiality, gross negligence, or illegal conduct.

3.2. Termination for Convenience: Either party may terminate this Agreement upon [Number] days’ prior written notice.

3.3. Cure Period: In the event of a curable breach, the breaching party shall have a period of thirty (30) business days following receipt of written notice detailing the breach to remedy such default.

3.4. Remedies: In the event of a breach of the confidentiality or intellectual property clauses, the Company shall be entitled to seek injunctive relief in addition to any other legal remedies available at law or in equity.

4. BOILERPLATE LEGAL PROVISIONS

4.1. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

4.2. Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes all prior negotiations, understandings, or agreements, whether written or oral.

4.3. Force Majeure: Neither party shall be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond the reasonable control of that party, including acts of God, war, or governmental regulation.
