1.7 "Stipend" means the financial compensation or allowance paid by the Company to the Intern during the Extended Term in the amount of [Dollar Amount] per [Week/Month/Hour], subject to all applicable federal, state, and local withholdings and deductions.

SECTION 2: SUBSTANTIVE TERMS & OBLIGATIONS

2.1 Extension of Term. The Parties hereby agree to extend the Internship for the duration of the Extended Term. All terms and conditions of the Original Agreement shall remain in full force and effect except as expressly modified by this Agreement. In the event of any direct conflict between the terms of the Original Agreement and this Agreement, the terms of this Agreement shall control.

2.2 Duties and Responsibilities. During the Extended Term, the Intern shall faithfully, industriously, and to the best of their skill, ability, experience, and talent, perform all duties and services assigned by the Company, as outlined in Exhibit A attached hereto, reporting directly to [Supervisor Name/Title] or such other designee as the Company may designate.

2.3 Compensation and Benefits. (a) As full consideration for the services rendered during the Extended Term, the Company shall pay the Intern the Stipend. (b) The Intern acknowledges and agrees that, as an intern, they are not eligible for employee benefits, including but not limited to health insurance, retirement plans, paid time off, or disability insurance, unless mandated by applicable law.

2.4 Performance Metrics and Evaluations. The Intern’s performance during the Extended Term shall be evaluated against specific milestones, competencies, and KPIs established by the Company. Failure to maintain satisfactory performance, as determined in the sole discretion of the Company, shall constitute grounds for immediate remedial action or termination pursuant to Section 4.

2.5 Representations and Warranties. The Intern represents and warrants that: (a) The Intern is legally authorized to work in [Jurisdiction] for the duration of the Extended Term; (b) Entering into and performing obligations under this Agreement does not violate any other agreement, covenant, or restriction to which the Intern is a party; and (c) All educational credentials, background information, and application materials submitted by the Intern to the Company are true, accurate, and complete in all material respects.

SECTION 3: INTELLECTUAL PROPERTY & CONFIDENTIALITY

3.1 Assignment of Inventions. The Intern agrees that all Intellectual Property conceived, developed, or created by the Intern, solely or jointly with others, during the Extended Term and within the scope of the Internship or utilizing Company resources, shall be the sole and exclusive property of the Company. The Intern hereby irrevocably assigns to the Company all right, title, and interest worldwide in and to such Intellectual Property.

3.2 Non-Disclosure of Confidential Information. The Intern shall hold all Confidential Information in strict confidence, exercising a standard of care no less than reasonable care, and shall not disclose such information to any third party or use it for any purpose other than the performance of the Internship without the prior written consent of an authorized officer of the Company.

SECTION 4: DEFAULT, TERMINATION, AND REMEDIES

4.1 Termination at Will / Without Cause. Notwithstanding the establishment of the Extended Term, the Company reserves the right to terminate the Internship and this Agreement at any time, with or without cause, and with or without prior notice, subject only to the payment of any accrued and unpaid Stipend up to the effective date of termination.

4.2 Termination for Cause (Material Breach). The Company may terminate this Agreement immediately upon written notice to the Intern for "Cause." Cause shall include, but is not limited to: (a) Any material breach of this Agreement, the Original Agreement, or Company policies; (b) Gross negligence, willful misconduct, or insubordination; (c) Conviction of, or plea of guilty or nolo contendere to, any felony or any crime involving moral turpitude, dishonesty, or theft; (d) Violation of the Company's anti-harassment, anti-discrimination, or safety policies.

4.3 Cure Period. In the event of a remediable material breach of this Agreement by either Party, the non-breaching Party shall provide written notice detailing the specific nature of the default. The breaching Party shall have thirty (30) business days from the receipt of such notice to cure said default to the reasonable satisfaction of the non-breaching Party, failing which this Agreement shall automatically terminate upon the expiration of the cure period.

4.4 Legal Recourse and Injunctive Relief. The Intern acknowledges that a breach of Section 3 (Intellectual Property & Confidentiality) will cause irreparable harm to the Company for which monetary damages alone would be inadequate. Accordingly, in the event of any such breach, the Company shall be entitled to seek injunctive relief, specific performance, and any other equitable remedies available under the law, in addition to any monetary damages and reasonable attorney's fees.

SECTION 5: BOILERPLATE LEGAL PROVISIONS

5.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be deemed excised, and the remaining provisions of this Agreement shall remain in full force and effect.

5.2 Entire Agreement. This Agreement, together with the Original Agreement (to the extent not modified herein), constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior oral or written negotiations, representations, understandings, or agreements.

5.3 Force Majeure. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay arises from causes beyond its reasonable control, including acts of God, war, terrorism, pandemics, natural disasters, utility failures, or governmental restrictions (each a "Force Majeure Event").

5.4 Governing Law and Venue. This Agreement shall be construed, interpreted, and governed by the laws of the Jurisdiction of [Jurisdiction], without regard to its conflict of laws principles. Any legal action, suit, or proceeding arising out of or relating to this Agreement shall be instituted exclusively in the state or federal courts located within [County, State], and each Party irrevocably submits to the exclusive personal jurisdiction of such courts.

5.5 Dispute Resolution. Any dispute, controversy, or claim arising out of or relating to this contract, including its formation or breach, shall be settled by binding arbitration administered by [Arbitration Body, e.g., American Arbitration Association] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and the proceedings shall be conducted in the English language before a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

5.6 Amendments and Waivers. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument executed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof.
