INTERNSHIP AGREEMENT

RECITALS

1. OPERATIONAL DEFINITIONS

"Confidential Information" means all non-public, proprietary, or sensitive information disclosed by the Company to the Intern, including but not limited to trade secrets, client lists, software, business strategies, and financial data. 1.2. "Work Product" means all inventions, designs, documents, software, and materials created, developed, or discovered by the Intern during the Term, whether or not patentable or copyrightable. 1.3. "Supervisor" means the individual designated by the Company to oversee the Intern’s day-to-day performance and professional development.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1. Nature of Engagement: The Intern agrees to perform duties as assigned by the Supervisor, which are primarily educational in nature. This Agreement does not create an employment relationship under the Fair Labor Standards Act or applicable local labor laws, as the Intern is a trainee. 2.2. Compensation: The Intern shall receive [Stipend/Hourly Amount] as a stipend for services rendered, payable [Weekly/Monthly]. 2.3. Work Performance: The Intern shall devote [Number] hours per week to the Company.
