INTERNSHIP AGREEMENT

This Internship Agreement ("Agreement") is entered into as of this [Day] day of [Month], [Year] (the "Effective Date"), by and between:

[Company Name], a company incorporated under the Companies Act, 2013, having its registered office at [Registered Address] (hereinafter referred to as the "Company", which expression shall, unless repugnant to the context or meaning thereof, be deemed to mean and include its successors and permitted assigns);

(The Company and the Intern are collectively referred to as the "Parties" and individually as a "Party").

1. OPERATIONAL DEFINITIONS

1.1. "Confidential Information" shall mean all non-public, proprietary, or sensitive information disclosed by the Company to the Intern, including but not limited to trade secrets, client lists, software code, financial data, and business strategies. 1.2. "Intellectual Property" shall mean all inventions, designs, copyrightable materials, improvements, and know-how developed, created, or discovered by the Intern during the course of the Internship. 1.3. "Internship Period" shall mean the term commencing on [Start Date] and concluding on [End Date], subject to early termination as provided herein. 1.4. "Stipend" shall mean the monthly gross amount of [Rupees Amount] payable to the Intern, subject to applicable statutory deductions, including Tax Deducted at Source (TDS).

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1. Nature of Engagement: The Intern agrees to perform the duties assigned by the Company’s designated supervisor. This engagement is purely an internship and does not constitute an offer of permanent employment. 2.2. Performance Metrics: The Intern shall adhere to the performance standards communicated periodically. The Intern is expected to exhibit professional conduct, punctuality, and commitment to the Company’s internal policies. 2.3. Non-Disclosure: The Intern shall maintain absolute confidentiality regarding all information accessed during the Internship. This obligation survives the expiry or termination of this Agreement for a period of [Number] years. 2.4. IP Assignment: The Intern acknowledges that all work product created during the Internship is "work-for-hire" and the exclusive property of the Company. The Intern hereby assigns all rights, title, and interest in such IP to the Company. 2.5. Statutory Compliance: The Intern shall comply with all internal policies, including but not limited to the Code of Conduct, Anti-Sexual Harassment Policy (POSH), and IT security protocols.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1. Termination for Cause: The Company reserves the right to terminate this Agreement immediately upon written notice if the Intern engages in misconduct, insubordination, breach of confidentiality, or gross negligence. 3.2. Termination for Convenience: Either Party may terminate this Agreement by providing [Number] days’ prior written notice. 3.3. Cure Period: In the event of a remediable breach, the breaching Party shall be granted a period of 30 (thirty) business days to cure such breach following receipt of a formal written notice detailing the breach. 3.4. Remedies: In the event of a breach of the confidentiality or intellectual property clauses, the Company shall be entitled to seek injunctive relief, specific performance, and damages in addition to any other legal remedies available under Indian law.

4. BOILERPLATE LEGAL PROVISIONS

4.1. Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions, agreements, or understandings, whether written or oral. 4.2. Severability: If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. 4.3. Force Majeure: Neither Party shall be liable for any failure to perform its obligations hereunder if such failure results from circumstances beyond its reasonable control, including acts of God, war, or government-mandated lockdowns. 4.4. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India. 4.5. Dispute Resolution: Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996.
