3. SUBSTANTIVE TERMS & OBLIGATIONS
Section 3.1 Purpose and Mission
The Internal Audit Activity is an independent, objective assurance and consulting activity designed to add value and improve the Organization’s operations. It helps the Organization accomplish its objectives by bringing a systematic, disciplined approach to evaluate and improve the effectiveness of governance, risk management, and control processes.
Section 3.2 Professional Standards and Compliance
The Internal Audit Activity shall govern its operations by adhering to the mandatory elements of The Institute of Internal Auditors’ International Professional Practices Framework, including the Core Principles for the Professional Practice of Internal Auditing, the Code of Ethics, the International Standards for the Professional Practice of Internal Auditing, and the Definition of Internal Auditing. These standards represent the operating baseline for all audit engagements.
Section 3.3 Authority and Access
- Full Access: The CAE and designated internal audit personnel are authorized full, free, and unrestricted access to any and all of the Organization’s records, physical properties, electronic data systems, software, assets, and personnel relevant to the performance of any Engagement.
- Management Meetings: The CAE shall have unrestricted access to and communicate directly with the Audit Committee, the Chief Executive Officer (CEO), the Chief Financial Officer (CFO), and other executive leadership, including attendance at Executive Sessions of the Audit Committee.
- Resource Allocation: Management shall allocate sufficient financial, technological, and human resources to the Internal Audit Activity to ensure the execution of the annual internal audit plan approved by the Audit Committee.
Section 3.4 Independence and Objectivity
- Organizational Independence: The CAE shall report functionally to the Audit Committee and administratively to the [CEO / CFO / Designated Executive]. This dual reporting structure ensures organizational independence, enabling the Internal Audit Activity to maintain the requisite unbiased posture necessary for uncompromised reviews.
- Prohibition of Operational Duties: Internal auditors shall have no direct operational responsibility or authority over any of the activities or operations they review. Accordingly, internal auditors shall not implement internal controls, develop procedures, install systems, prepare records, or engage in any other activity that may impair internal audit judgment or objectivity.
- Safeguarding Objectivity: If the CAE determines that independence or objectivity is impaired in fact or appearance, the details of the impairment shall be disclosed immediately to the Audit Committee.
Section 3.5 Scope of Work and Responsibilities
The scope of work of the Internal Audit Activity encompasses the systematic evaluation of the adequacy and effectiveness of the governance, risk management, and internal control processes of the Organization. Responsibilities include, but are not limited to:
- Risk Assessment: Annually developing and executing a comprehensive, risk-based internal audit plan, including any risks or control concerns identified by management or the Audit Committee.
- Control Evaluation: Evaluating the reliability and integrity of financial and operational information, and the means used to identify, measure, classify, and report such information.
- Asset Protection: Reviewing the systems established to safeguard Organization assets from losses of all kinds, including theft, fraud, misuse, or unauthorized disposition.
- Compliance Review: Reviewing the operations or programs to ascertain whether results are consistent with established objectives and goals and whether the operations or programs are being carried out as planned.
- Fraud Investigation: Assessing the potential for the occurrence of fraud and managing the Organization's fraud risk exposure, including conducting independent investigations into suspected fraudulent activities upon notification by the Audit Committee or executive leadership.
Section 3.6 Performance Metrics and Reporting
- Audit Plan Execution: The CAE shall submit an annual internal audit plan to the Audit Committee for formal review and approval no later than [Day/Month] of each fiscal year.
- Reporting Deficiencies: The CAE shall report periodically to executive management and the Audit Committee regarding significant risk exposures and control issues, corporate governance issues, and other matters requested by the Audit Committee.
- Follow-Up Process: The Internal Audit Activity shall maintain a follow-up mechanism to monitor and ensure that management has properly implemented corrective action plans for all reported audit findings within mutually agreed-upon timeframes.
4. DEFAULT, TERMINATION, AND REMEDIES
Section 4.1 Breach and Classification of Default
A breach of this Charter shall occur if either Party fails to perform, observe, or comply with any material covenant, obligation, restriction, or representation contained herein. Material breaches include, but are not limited to:
- Scope Impairment: Management intentionally restricting access to critical records, personnel, facilities, or information systems required for the execution of the internal audit plan.
- Independence Violation: Executive management assigning operational responsibilities to internal audit personnel that compromise their objectivity under Section 3.4.
- Resource Deprivation: Unilateral, arbitrary reduction of the approved internal audit budget or headcount designed to obstruct audit operations.
Section 4.2 Notice and Cure Period
In the event of an alleged material breach of this Charter, the non-defaulting Party (specifically the Audit Committee or CAE on behalf of the Internal Audit Activity) shall provide written notice of default to the defaulting Party, detailing the specific nature of the violation. The defaulting Party shall have a period of thirty (30) business days from the date of receipt of such notice to cure the default.
Section 4.3 Legal Recourse and Remedies
- Immediate Escalation: If a breach involving Scope Impairment or Independence Violation is not cured within the thirty (30) business day period, the CAE is legally mandated to escalate the matter directly to the full Board of Directors and, where applicable, notify external regulatory bodies as mandated by [Jurisdiction] securities or corporate governance laws.
- Injunctive Relief: Due to the irreplaceable nature of corporate governance and compliance mandates, the Organization and the Audit Committee acknowledge that any breach of the independence or access provisions will cause irreparable harm to the Organization. Therefore, the Audit Committee shall be entitled to seek injunctive relief, specific performance, or other equitable remedies in a court of competent jurisdiction without the necessity of posting a bond.
- Termination of Outsourced Function: If the Internal Audit Activity is executed via an external third-party service provider under a Master Services Agreement, the Organization may terminate said service agreement for cause upon thirty (30) days' written notice following an uncured material breach of contract performance standards.
5. BOILERPLATE LEGAL PROVISIONS
Section 5.1 Severability
If any provision of this Charter is held to be invalid, illegal, or unenforceable by a court or regulatory body of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be deemed severed from this Charter, and the remaining provisions shall remain in full force and effect, continuing to bind the Parties.
Section 5.2 Entire Agreement
This Charter, inclusive of all referenced appendices and the approved annual internal audit plan, constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous negotiations, understandings, representations, and agreements, whether written or oral.
Section 5.3 Force Majeure
Neither Party shall be liable for any failure or delay in the performance of its obligations under this Charter if such failure or delay is caused by acts of God, natural disasters, war, terrorism, civil unrest, labor strikes, pandemics, cyber-attacks of unprecedented scale, or other catastrophic events beyond the reasonable control of the affected Party, provided that the affected Party uses commercially reasonable efforts to mitigate the effects of the force majeure event.
Section 5.4 Governing Law and Venue
This Charter shall be governed by, construed, and enforced in accordance with the internal laws of the State of [Jurisdiction], without regard to its conflict of laws principles. Any legal action, suit, or proceeding arising out of or relating to this Charter shall be instituted exclusively in the state or federal courts located within [County, State/Jurisdiction], and each Party irrevocably submits to the exclusive personal jurisdiction of such courts.
Section 5.5 Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to this Charter, the Parties shall first attempt in good faith to resolve the matter through senior executive negotiation. If the dispute remains unresolved within thirty (30) days of initial written notice of the dispute, the Parties agree to submit the dispute to binding arbitration administered by the [American Arbitration Association / JAMS] in accordance with its commercial arbitration rules, conducted in [City, State], before a single neutral arbitrator. The award rendered by the arbitrator shall be final and judgment may be entered upon it in any court having jurisdiction thereof.
Section 5.6 Amendments and Modifications
No amendment, modification, waiver, or discharge of any provision of this Charter shall be valid unless executed in writing and signed by an authorized representative of the Organization's Audit Committee and the Chief Audit Executive.
