EFFECTIVE DATE: [Effective Date]
VERSION: 1.0 (Enterprise Standard)
GOVERNING JURISDICTION: State of [Governing State], United States

1. STATUTORY & LEGAL COMPLIANCE NOTICE

NOTICE: This document is an institutional-grade, legally binding contract of carriage governed by applicable federal and state transportation laws, including the Carmack Amendment (49 U.S.C. § 14706) where applicable to interstate motor carriage, and the Uniform Commercial Code (UCC Article 7). 2. PARTIES & RECITALS

This Inland Bill of Lading and Contract of Carriage ("Bill of Lading" or "Agreement") is entered into and made effective as of [Effective Date] ("Effective Date"), by and between:

CARRIER: [Carrier Full Legal Name], a [State of Incorporation] [Corporation / LLC] having its principal place of business at [Carrier Principal Address] (hereinafter referred to as the "Carrier"), and

SHIPPER: [Shipper Full Legal Name], a [State of Incorporation] [Corporation / LLC] having its principal place of business at [Shipper Principal Address] (hereinafter referred to as the "Shipper").

RECITALS: WHEREAS, the Shipper desires to tender certain goods, freight, and merchandise to the Carrier for transportation via inland motor or rail transport; and WHEREAS, the Carrier is authorized, licensed, and equipped to provide safe and reliable transportation services in accordance with applicable federal and state regulations; and WHEREAS, the parties intend for this document to serve simultaneously as a receipt of goods, a document of title (where applicable), and an exhaustive contract governing the terms of carriage, liability, and compensation.

NOW, THEREFORE, in consideration of the mutual covenants, promises, and considerations set forth herein, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: SCOPE OF SERVICES & TENDER OF FREIGHT

1.1 Scope of Carriage. The Shipper shall tender the goods to the Carrier packaged, marked, and labeled in compliance with all applicable Department of Transportation (DOT), Occupational Safety and Health Administration (OSHA), and hazardous materials regulations. The Carrier’s driver or authorized agent shall sign a receipt acknowledging the physical receipt of the freight in apparent good order and condition, except as noted. 1.3 Routing and Equipment. Unless explicitly agreed upon in writing prior to dispatch, the Carrier reserves absolute discretion regarding the selection of routes, resting points, and transit schedules, provided that delivery is executed with reasonable dispatch. The Carrier warrants that all equipment furnished shall be clean, watertight, structurally sound, and fit for the transport of the specific commodities tendered.

SECTION 2: COMPENSATION, INVOICING & PAYMENT TERMS

2.1 Freight Charges and Rates. The Shipper shall pay the Carrier the freight charges, accessorial fees, and fuel surcharges set forth in Rate Confirmation No. [Rate Confirmation Number], totaling [Amount in USD] (USD), subject to any adjustments authorized under this Agreement. 2.2 Invoicing. The Carrier shall submit an invoice to the Shipper upon completion of delivery, accompanied by a signed copy of this Bill of Lading, clean Proof of Delivery (POD), and any required accessorial receipts. 2.3 Payment Terms. Net terms are strictly [Number] days from the date of receipt of the Carrier’s undisputed invoice. The Shipper shall be liable for all reasonable costs of collection, including attorney’s fees and court costs incurred by the Carrier in recovering delinquent balances. 2.5 Set-Off Restrictions. The Shipper shall not withhold, deduct, or set off any disputed claims for cargo loss, damage, or delay against freight charges owed to the Carrier, without the express written consent of the Carrier.

SECTION 3: TERM, TRANSIT, & TERMINATION

3.1 Term of Agreement. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the specific carriage described herein, or until terminated in accordance with this Section. 3.2 Termination for Convenience. Either party may terminate this underlying master carriage arrangement (if applicable beyond a single shipment) upon providing thirty (30) days prior written notice to the other party; provided, however, that any shipments already in transit at the time of notice delivery shall remain fully governed by the terms of this Bill of Lading until final delivery and settlement. 3.3 Termination for Cause (Breach). If either party materially breaches any provision of this Agreement, the non-breaching party may provide written notice specifying the nature of the breach. The breaching party shall have a cure period of ten (10) days from receipt of such notice to remedy the breach. Failure to cure within the designated period shall result in immediate termination of this Agreement, without prejudice to any other legal or equitable remedies available to the non-breaching party. 3.4 Force Majeure. Neither party shall be liable for any failure to perform its obligations under this Agreement if such failure stems from acts of God, war, acts of terrorism, public enemy, insurrections, riots, fire, flood, earthquake, extreme weather conditions officially declared as emergencies, labor strikes affecting public transportation networks, or governmental regulations or decrees, provided that the affected party provides prompt written notice to the other party and uses commercially reasonable efforts to mitigate the delay.

SECTION 4: INTELLECTUAL PROPERTY & DATA RIGHTS

4.1 Proprietary Logistics Data. All routing data, pricing schedules, operational workflows, software interfaces, and proprietary tracking mechanisms utilized or generated by the Carrier in the performance of this Agreement shall remain the exclusive intellectual property of the Carrier. 4.2 Shipper Data. Data provided by the Shipper concerning inventory, destination specifics, and proprietary product specifications shall remain the exclusive property of the Shipper and shall not be disclosed to third parties except as strictly necessary to execute the transportation services herein.

SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

5.1 Definition of Confidential Information. "Confidential Information" includes all non-public information, rate structures, trade secrets, business plans, customer lists, and operational methodologies disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") in connection with this carriage arrangement. 5.2 Obligations. The Receiving Party agrees to hold all Confidential Information in strict confidence, utilizing the same degree of care it uses to protect its own proprietary information (but no less than reasonable care). Confidential Information shall not be disclosed to any third party without the prior written consent of the Disclosing Party, except to employees, legal counsel, and financial advisors who have a direct need to know and who are bound by confidentiality obligations at least as restrictive as those contained herein. 5.3 Exclusions. Confidentiality obligations shall not apply to information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to the Disclosing Party’s information; or (d) is required to be disclosed by law, court order, or governmental agency subpoena, provided the Receiving Party gives prompt written notice to the Disclosing Party.

  • The goods are properly and safely packed, labeled, and braced to withstand ordinary hazards of transportation.
  • The shipment does not contain undisclosed contraband, illegal substances, or hazardous materials requiring special placarding unless explicitly declared and agreed upon in writing prior to transit.

SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Carrier Cargo Liability. Unless a higher value is declared in writing by the Shipper on the face of this Bill of Lading prior to pickup and an additional agreed charge is assessed, the Carrier’s liability for loss, damage, destruction, or delay of cargo shall be governed by the Carmack Amendment (49 U.S.C. § 14706) or, where applicable, standard inland transit liability limits not to exceed [Liability Limit, e.g., $2.00 per pound] per pound of affected cargo, or a maximum aggregate cap of [Maximum Claim Cap, e.g., $100,000] per shipment. 7.2 Claims Procedures. Any claims for cargo loss, damage, or shortage must be filed in writing with the Carrier within nine (9) months from the date of delivery (or, in the case of failure to make delivery, within nine (9) months after a reasonable time for delivery has elapsed). Lawsuits or judicial proceedings for the enforcement of claims must be instituted within two (2) years from the day written notice is given by the Carrier that the Carrier has disallowed the claim in whole or in part. 7.3 Mutual Indemnification.

  • Carrier Indemnity: The Carrier agrees to defend, indemnify, and hold harmless the Shipper, its officers, directors, and employees from and against any and all direct claims, liabilities, losses, damages, fines, and reasonable attorney's fees arising out of bodily injury, death, or physical property damage caused by the negligence or willful misconduct of the Carrier, its agents, or employees during the performance of this Agreement.
  • Shipper Indemnity: The Shipper agrees to defend, indemnify, and hold harmless the Carrier from and against any and all claims, liabilities, losses, damages, fines, and reasonable attorney's fees arising out of the Shipper's breach of warranties, improper packaging, undeclared hazardous materials, or violation of environmental and safety laws.

SECTION 8: DISPUTE RESOLUTION & ARBITRATION

8.1 Negotiation and Escalation. In the event of any dispute, controversy, or claim arising out of or relating to this Bill of Lading, the authorized representatives of the parties shall first attempt to resolve the matter through good-faith negotiations for a period of thirty (30) days. 8.2 Binding Arbitration. If the dispute remains unresolved following the negotiation period, the matter shall be settled through binding arbitration administered by the [Arbitration Body, e.g., American Arbitration Association (AAA)] in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitrator(s) shall issue a reasoned written award, and judgment upon the award rendered may be entered in any court having competent jurisdiction. 8.3 Class Action Waiver. The parties agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

SECTION 9: GOVERNING LAW & JURISDICTION

9.1 Choice of Law. This Bill of Lading, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [Governing State], United States, without regard to its conflict of laws principles, and, where applicable, federal transportation laws of the United States. 9.2 Jurisdiction and Venue. Delivery of an executed counterpart of a signature page by electronic mail (PDF) or digital signature platform (e.g., DocuSign, Adobe Sign) shall be as effective as delivery of a manually executed original signature. 10.3 Entire Agreement. This Bill of Lading, together with any referenced Rate Confirmations, load tenders, and shipping manifests, constitutes the final, complete, and exclusive statement of the agreement between the parties with respect to the subject matter hereof, superseding all prior oral or written negotiations, representations, understandings, or agreements. 10.4 Waiver.
