1. PARTIES

This Influencer Services Agreement (“Agreement”) is entered into as of the Effective Date by and between: Company: [Company Name], a [State of Incorporation] corporation, located at [Company Address] (“Company”), and Influencer: [Legal Name], an individual/entity located at [Influencer Address] (“Influencer”).

2. SERVICES

• Originality: Influencer warrants that all Content is original, does not infringe on third-party intellectual property rights, and does not violate any platform’s Terms of Service.
• Brand Safety: Influencer agrees not to post content that is defamatory, obscene, or harmful to Company’s reputation.

5. INTELLECTUAL PROPERTY RIGHTS

• Work for Hire: All Content created under this Agreement shall be deemed “work made for hire.”
• Assignment: In the event Content is not considered “work made for hire,” Influencer hereby assigns all worldwide right, title, and interest in the Content to Company, including perpetual usage rights.

6. TERMINATION

• For Cause: Company may terminate immediately upon breach by Influencer.
• For Convenience: Either party may terminate with [Number] days’ written notice. In the event of convenience termination, Company shall pay for all deliverables completed and approved prior to the termination date.

STEP-BY-STEP EXECUTION GUIDE
