NOW, THEREFORE, in consideration of the mutual covenants, promises, and obligations contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
2. OPERATIONAL DEFINITIONS
For purposes of this Agreement, the following terms shall have the meanings ascribed below, and such definitions shall be equally applicable to both the singular and plural forms of the terms defined:
- "Administrative Controls" means policy-based measures, scheduling adjustments, and procedural rules implemented by the Facility to reduce the likelihood of exposure to Infectious Agents by altering the manner in which work is performed.
- "Bloodborne Pathogens" means pathogenic microorganisms that are present in human blood and can cause disease in humans, including, but not limited to, Hepatitis B virus (HBV), Hepatitis C virus (HCV), and Human Immunodeficiency Virus (HIV).
- "Engineering Controls" means controls (such as sharps disposal containers, self-sheathing needles, safer medical devices, and biological safety cabinets) that isolate or remove the hazard of Bloodborne Pathogens and other Infectious Agents from the workplace.
- "Exposure Incident" means a specific eye, mouth, other mucous membrane, non-intact skin, or parenteral contact with blood or other potentially infectious materials that results from the performance of an individual's duties.
- "Infectious Agent" means any microorganism, bacteria, fungus, parasite, prion, or virus capable of invading bodily tissues and causing infectious disease, nosocomial infection, or public health hazard.
- "Personal Protective Equipment (PPE)" means specialized clothing or equipment worn by Personnel for protection against infectious hazards (e.g., gloves, gowns, face shields, masks, and eye protection), as regulated by OSHA and CDC standards.
- "Standard Precautions" means an integrative approach to infection control designed to treat all human blood, body fluids, secretions, excretions (except sweat), non-intact skin, and mucous membranes as potential sources of infection, regardless of the perceived or confirmed infection status of the subject.
- "Standard Operating Procedures (SOPs)" means the documented, mandatory step-by-step operational directives established by the Facility governing sanitary practices, sterilization, waste management, and contamination response.
3. SUBSTANTIVE TERMS & OBLIGATIONS
3.1 Mandatory Compliance with Standards
Personnel shall strictly adhere to all Facility SOPs, CDC guidelines, and OSHA regulations regarding infection control. Compliance with this Agreement is an essential condition of Personnel’s continued engagement, employment, or contractual relationship with the Facility.
3.2 Utilization of Personal Protective Equipment (PPE)
- Provision: The Facility shall supply appropriate, certified PPE to Personnel at no cost.
- Mandatory Use: Personnel are legally obligated to utilize appropriate PPE whenever exposure to Bloodborne Pathogens, airborne pathogens, or other Infectious Agents is reasonably anticipated during the performance of duties.
- Inspection and Maintenance: Personnel shall inspect all PPE prior to use. Defective, torn, or compromised PPE must be discarded immediately and replaced.
3.3 Engineering and Work Practice Controls
- Sharps Handling: Personnel shall not recap, bend, shear, or manually manipulate used needles or other contaminated sharps, except in strict accordance with approved safety devices. All sharps must be immediately disposed of in designated, puncture-resistant, leak-proof containers.
- Hand Hygiene: Personnel are strictly required to perform mandatory hand hygiene—utilizing soap and water or an alcohol-based hand rub—immediately before and after patient contact, after removing PPE, and after any potential contamination event.
- Work Area Sanitation: Work surfaces, instruments, and equipment must be decontaminated and sanitized using Environmental Protection Agency (EPA)-registered disinfectants immediately after use and following any spill of potentially infectious materials.
3.4 Mandatory Reporting and Exposure Incidents
- Immediate Notification: In the event of an Exposure Incident, Personnel must report the incident to the Facility’s designated Infection Control Officer within [two (2)] hours of occurrence.
- Post-Exposure Evaluation: Personnel involved in an Exposure Incident shall immediately submit to confidential medical evaluation, baseline testing, and post-exposure prophylaxis as mandated by Facility protocol and applicable occupational health laws.
3.5 Training, Vaccination, and Performance Metrics
- Mandatory Training: Personnel shall complete all initial and annual recurring infection control training programs designated by the Facility. Failure to complete training by the stipulated deadline constitutes a material breach of this Agreement.
- Immunization Requirements: Unless a legally recognized medical or religious exemption is approved in writing by the Facility, Personnel shall maintain up-to-date immunizations for vaccine-preventable diseases (including Influenza, Hepatitis B, and others as mandated by public health directives).
- Performance Metrics: Compliance with infection control protocols constitutes a core performance metric. Non-compliance shall be documented and may result in immediate operational restrictions.
4. DEFAULT, TERMINATION, AND REMEDIES
4.1 Classification of Breaches
- Minor Breach: Any inadvertent, non-systemic failure to follow administrative documentation or non-critical hygiene logs that does not create an immediate, imminent threat of biological contamination or exposure.
- Material Breach: Any intentional, willful, or grossly negligent violation of mandatory safety protocols, failure to utilize required PPE, unauthorized disposal of biohazardous waste, failure to report an Exposure Incident, or non-compliance with mandatory vaccination/training mandates.
4.2 Notice and Cure Periods
- Cure for Minor Breaches: The Facility shall provide written notice of a minor breach specifying the nature of the violation. Personnel shall have [thirty (30)] business days from receipt of such notice to cure the deficiency and provide proof of compliance to the Facility's satisfaction.
- Immediate Termination for Material Breaches: Due to the severe public health and liability risks associated with biological contamination, a Material Breach shall permit the Facility to terminate this Agreement and any underlying operational relationship immediately upon written notice, without the benefit of a cure period.
4.3 Legal Recourse and Remedies
In the event of a Material Breach or failure to cure a Minor Breach within the stipulated timeframe, the Facility reserves all legal and equitable remedies, including but not limited to:
- Immediate suspension of operational privileges, access credentials, and contractual duties.
- Injunctive relief to prevent ongoing violations or mitigate public health threats, pursued in a court of competent jurisdiction without the requirement of posting a bond.
- Recovery of actual damages, statutory penalties, and reasonable attorney's fees incurred by the Facility as a result of the breach.
5. BOILERPLATE LEGAL PROVISIONS
5.1 Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions of this Agreement shall remain in full force and effect.
5.2 Entire Agreement
This Agreement, together with any referenced SOPs and underlying employment or service contracts, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral.
5.3 Force Majeure
Neither party shall be liable for any failure or delay in performance under this Agreement if such failure or delay is caused by acts of God, extreme public health emergencies, pandemics, acts of government, civil unrest, natural disasters, or other causes beyond the reasonable control of the affected party, provided that the affected party uses commercially reasonable efforts to mitigate the effects of such event.
5.4 Governing Law
This Agreement shall be construed, interpreted, and governed by the laws of the State of [Jurisdiction], without regard to its conflict of laws principles.
5.5 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity, shall be resolved through binding arbitration administered by the [American Arbitration Association / JAMS] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
