INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement (the "Agreement") is entered into as of this ______ day of __________________, 20____ (the "Effective Date"), by and between:

1. SERVICES TO BE PERFORMED

2. TERM AND TERMINATION

4. INDEPENDENT CONTRACTOR STATUS

The Contractor is solely responsible for all taxes, withholdings, and other statutory obligations. The Contractor shall not be entitled to any employee benefits, including but not limited to health insurance, retirement plans, or paid time off.

5. CONFIDENTIALITY

The Contractor acknowledges that in the course of performing the Services, they may have access to confidential information of the Client. The Contractor agrees to keep all such information strictly confidential and shall not disclose or use it for any purpose other than the performance of the Services.

6. WORK PRODUCT AND INTELLECTUAL PROPERTY

Any work product, designs, documents, or other materials created by the Contractor during the course of this Agreement shall be considered "work made for hire" and shall remain the sole and exclusive property of the Client upon full payment of the agreed-upon fees.

7. INDEMNIFICATION

The Contractor agrees to indemnify, defend, and hold harmless the Client from any and all claims, damages, losses, or expenses arising out of the Contractor’s performance of the Services, including any acts or omissions of the Contractor or their agents.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State/Province of ________________________________________________.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior understandings, whether written or oral. Any amendments to this Agreement must be made in writing and signed by both Parties.
