INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement (the "Agreement") is entered into as of [___________] (the "Effective Date"), by and between:

CLIENT: [___________], with a principal place of business located at [___________] ("Client"), and

CONTRACTOR: [___________], an individual/entity with a principal place of business located at [___________] ("Contractor").

The Client and the Contractor may be referred to individually as a "Party" and collectively as the "Parties."

1. SERVICES TO BE PERFORMED

2. TERM OF AGREEMENT

This Agreement shall commence on the Effective Date and shall continue in full force and effect until [___________] (the "Termination Date"), unless terminated earlier in accordance with the provisions herein.

3. COMPENSATION

As full compensation for the Services rendered, the Client shall pay the Contractor as follows:

4. INDEPENDENT CONTRACTOR STATUS

The Parties agree that the Contractor is an independent contractor and not an employee, agent, or partner of the Client. The Contractor shall have no authority to bind the Client to any contract or obligation. The Contractor is solely responsible for all federal, state, and local taxes, as well as any social security or self-employment taxes applicable to payments received under this Agreement.

5. CONFIDENTIALITY

The Contractor acknowledges that they may have access to the Client’s proprietary information, including but not limited to trade secrets, client lists, and business strategies. The Contractor agrees to maintain the strict confidentiality of all such information and shall not disclose it to any third party without the Client’s prior written consent.

6. WORK PRODUCT & INTELLECTUAL PROPERTY

The Parties agree that all work product, deliverables, or other materials created by the Contractor in connection with the Services (the "Work Product") shall be the sole and exclusive property of the Client. The Contractor hereby assigns all right, title, and interest in the Work Product to the Client upon payment in full.

7. TERMINATION

Either Party may terminate this Agreement upon [___________] days' written notice to the other Party. In the event of such termination, the Client shall pay the Contractor for all Services performed up to the effective date of termination.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of [___________].
