INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement (“Agreement”) is entered into as of this ______ day of __________________, 20____ (the “Effective Date”), by and between:

1. SERVICES

The Company hereby engages the Contractor, and the Contractor hereby accepts such engagement, to provide the following services (the “Services”): ____________________________________________________________________________________________________ ____________________________________________________________________________________________________

2. TERM

This Agreement shall commence on the Effective Date and shall continue in full force and effect until __________________, 20____, unless terminated earlier in accordance with the provisions set forth herein.

3. COMPENSATION

In consideration for the Services rendered, the Company shall pay the Contractor as follows:

4. INDEPENDENT CONTRACTOR STATUS

The Contractor acknowledges and agrees that they are an independent contractor and not an employee, agent, or partner of the Company. The Contractor shall be solely responsible for the payment of all federal, state, and local taxes, as well as any self-employment taxes, insurance, and benefits. The Contractor is not eligible for any employee benefits, including but not limited to health insurance, retirement plans, or paid leave.

5. CONFIDENTIALITY

During the term of this Agreement and at all times thereafter, the Contractor shall hold in strict confidence all proprietary information, trade secrets, and non-public information disclosed by the Company to the Contractor (“Confidential Information”). The Contractor shall not disclose or use such information for any purpose outside the scope of this Agreement without the prior written consent of the Company.

6. WORK PRODUCT AND INTELLECTUAL PROPERTY

The Contractor agrees that all work product, inventions, designs, and materials created by the Contractor in the performance of the Services (“Work Product”) shall be the sole and exclusive property of the Company. The Contractor hereby assigns all right, title, and interest in such Work Product to the Company as a “work made for hire.”

7. TERMINATION

Either party may terminate this Agreement upon ______ days’ written notice to the other party. In the event of a material breach of this Agreement, the non-breaching party may terminate the Agreement immediately upon written notice.

8. INDEMNIFICATION

The Contractor agrees to indemnify, defend, and hold harmless the Company and its officers, directors, and employees from and against any and all claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to the Contractor’s performance of the Services, or any breach of this Agreement by the Contractor.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of __________________. Any disputes arising under this Agreement shall be resolved in the courts located in __________________ County.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or agreements, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by both parties.
