1. SCOPE OF SERVICES

The Contractor agrees to maintain the strict confidentiality of all such information and shall not disclose it to any third party without the prior written consent of the Client, both during and after the term of this Agreement.

6. INTELLECTUAL PROPERTY

All work product, deliverables, and materials created by the Contractor specifically for the Client under this Agreement shall be considered "work made for hire" and shall remain the exclusive property of the Client upon full payment of fees.

7. TERMINATION

Either party may terminate this Agreement upon ______ days' written notice to the other party. In the event of early termination, the Client shall pay the Contractor for all services rendered up to the date of termination.
