WHEREAS, the Parties intend for this document to constitute a legally binding and enforceable obligation governed by the laws of [Jurisdiction].
NOW, THEREFORE, in consideration of the mutual covenants, promises, and legal considerations set forth herein, the receipt and sufficiency of which are hereby acknowledged, the Parties covenant and agree as follows:

1.2. "Confidential Information" means all non-public information, including but not limited to trade secrets, proprietary software, source code, data structures, financial models, business plans, and operational protocols disclosed by one Party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
1.3. "Deliverables" means the specific work products, documentation, software configurations, and operational outputs to be generated and delivered by Licensor to Licensee pursuant to the execution of this IEPS Format.
1.4. "Effective Date" has the meaning ascribed in the Preamble of this Agreement.
1.5. 1.7. "Service Level Agreement (SLA)" means the quantifiable performance metrics, uptime guarantees, and response times set forth in Schedule A of this Agreement.
2. SUBSTANTIVE TERMS & OBLIGATIONS
2.1. Grant of Rights. Subject to the terms and conditions of this IEPS Format, Licensor hereby grants to Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license to utilize the IEPS Format and associated Deliverables solely for Licensee's internal business operations within [Territory/Jurisdiction].
2.2. Payment and Financial Terms. Licensee shall pay to Licensor the sum of [Dollar Amount] ([Written Amount]) as the primary consideration for the rights granted herein. Payments shall be remitted via wire transfer in accordance with the invoicing schedule detailed in Exhibit B within thirty (30) calendar days of receipt of a valid, undisputed invoice. Late payments shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower.
2.3. Performance Metrics and Delivery. Licensor shall execute all operational duties in a professional and workmanlike manner, conforming to the highest industry standards. Licensor shall achieve the performance milestones and uptime thresholds specified in the SLA. Failure to meet said performance metrics for two (2) consecutive reporting periods shall constitute a material performance failure.
2.4. Representations and Warranties. Each Party represents and warrants that: (a) it possesses full corporate power and authority to enter into and perform its obligations under this IEPS Format; (b) the execution and performance of this Agreement do not violate any other contractual commitments, charter documents, or applicable laws; and (c) all Deliverables provided by Licensor shall not infringe upon, misappropriate, or violate any third-party Intellectual Property Rights.
2.5. Compliance with Laws. Both Parties shall comply with all applicable local, state, federal, and international laws, regulations, and ordinances in the execution of their respective duties under this Agreement, including anti-corruption, data privacy, and export control regulations.
3. DEFAULT, TERMINATION, AND REMEDIES
3.1. Events of Default. The occurrence of any of the following shall constitute a material Event of Default under this IEPS Format: (a) Failure of Licensee to pay any undisputed financial obligation when due; (b) Breach by either Party of any material representation, warranty, or covenant contained herein; (c) The filing of a petition in bankruptcy or insolvency by or against a Party, the appointment of a receiver for a Party's assets, or an assignment for the benefit of creditors.
3.2. Notice and Cure Periods. In the event of a material breach, the non-defaulting Party shall provide written notice detailing the specific nature of the default. The defaulting Party shall have a period of thirty (30) business days from the receipt of such notice to cure said default to the reasonable satisfaction of the non-defaulting Party.
3.3. Termination Rights. If the defaulting Party fails to cure the default within the designated thirty (30) business day cure period, the non-defaulting Party may immediately terminate this IEPS Format upon written notice. Licensor may also terminate this Agreement immediately without prior notice if Licensee breaches Section 2.1 or Section 4.
3.4. Legal Recourse and Remedies. Upon termination for default, all rights and licenses granted under this IEPS Format shall immediately cease. The non-defaulting Party reserves all legal and equitable remedies available under the law, including but not limited to injunctive relief, specific performance, and the recovery of provable monetary damages, attorneys' fees, and court costs.
4. BOILERPLATE LEGAL PROVISIONS
4.1. Severability. If any provision of this IEPS Format is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
4.2. Entire Agreement. This IEPS Format, including any attached exhibits, schedules, and referenced documents, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, representations, and agreements, whether written or oral.
4.3. Force Majeure. Neither Party shall be held liable or deemed in default for any failure or delay in fulfilling or performing-terms of this Agreement when such failure or delay is caused by a Force Majeure Event, provided that the affected Party gives prompt written notice to the other Party and uses commercially reasonable efforts to resume performance as soon as practicable.
4.4. Governing Law. This IEPS Format, and all claims or causes of action arising out of or related hereto, shall be governed by, construed, and enforced in accordance with the substantive laws of [Jurisdiction], without regard to its conflict of laws principles.
