SECTION 5: INTELLECTUAL PROPERTY RIGHTS AND WORK PRODUCT
5.1 Pre-Existing Intellectual Property. Each Party retains all right, title, and ownership interest in and to its Pre-Existing IP. Nothing contained in this Agreement shall be construed to transfer, assign, or divest any Party of its proprietary rights, patents, copyrights, or trade secrets existing prior to the Effective Date.
5.2 Custom Deliverables (Work Made for Hire). Subject to full payment of all undisputed fees due under this Agreement, all original, bespoke Deliverables created exclusively for Client under this Agreement shall constitute a "work made for hire" under the United States Copyright Act (17 U.S.C. § 101 et seq.) to the extent applicable. If, for any legal reason, such Deliverables are determined not to constitute a work made for hire, Contractor hereby conditionally assigns and transfers to Client, upon full receipt of final payment, all worldwide right, title, and interest in and to the copyrights and patent rights solely embedded within such bespoke Deliverables.
5.3 Contractor Core Technology and Embedded IP. To the extent that any Deliverable incorporates, embodies, or relies upon Contractor Pre-Existing IP, proprietary software components, core architectural frameworks, standard design libraries, or non-bespoke algorithms ("Contractor Core Technology"), Contractor retains sole ownership of such Contractor Core Technology. Contractor grants to Client a perpetual, non-exclusive, worldwide, royalty-free, irrevocable, non-transferable (except in connection with an authorized assignment of this entire Agreement) license to use, display, execute, and internally reproduce such Contractor Core Technology solely as an integrated component of the completed Deliverables.
5.4 Reservation of Rights. All rights not expressly granted to Client herein are expressly reserved by Contractor. Contractor retains the unfettered right to utilize its general institutional know-how, technical expertise, general design patterns, and programming knowledge developed during this engagement to provide services to any other third-party clients.
SECTION 6: CONFIDENTIALITY AND PROPRIETARY INFORMATION
6.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or trade secret information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally, visually, electronically, or in tangible documentary form, including without limitation business operations, customer lists, pricing structures, technical schematics, software source code, specifications, and the terms of this Agreement. Confidential Information does not include information that:
- (a) Is or becomes publicly known through no breach or fault of the Receiving Party;
- (b) Was demonstrably known to the Receiving Party prior to disclosure without an obligation of confidentiality;
- (c) Is independently developed by the Receiving Party without reference to, reliance upon, or use of the Disclosing Party's Confidential Information; or

6.2 Duty of Non-Disclosure and Protection. The Receiving Party agrees:
- (a) To hold the Disclosing Party’s Confidential Information in strict confidence;
- (b) To apply at least the same degree of care to safeguard such information as it utilizes for its own confidential data of like nature, but never less than a reasonable degree of institutional care; and
- (c) Not to disclose, disseminate, or distribute such Confidential Information to any third party, except to its direct employees, legal counsel, accountants, and approved subcontractors who have an operational "need to know" and who are legally bound by confidentiality covenants at least as protective as those set forth herein.
6.3 Compelled Disclosure. If the Receiving Party is legally ordered to disclose any portion of the Disclosing Party’s Confidential Information pursuant to a valid judicial subpoena, civil investigative demand, regulatory directive, or court order, the Receiving Party shall:
- (a) Provide prompt written notice to the Disclosing Party (where legally permissible) to enable the Disclosing Party to seek a protective order; and
- (b) Disclose only that portion of the Confidential Information that is strictly legally required to be produced.
6.4 Duration of Confidentiality. The non-disclosure covenants set forth in this Section 6 shall survive the termination or expiration of this Agreement for a period of five (5) years; provided, however, that with respect to any Confidential Information constituting a trade secret under applicable statutory law (e.g., the Defend Trade Secrets Act or Uniform Trade Secrets Act), such obligations shall survive in perpetuity for as long as the information retains its legal trade secret status.
SECTION 7: REPRESENTATIONS AND WARRANTIES
7.1 Mutual Representations. Each Party represents, warrants, and covenants to the other that:
- (a) It is a corporation or entity validly organized, duly incorporated, and in good standing under the laws of its jurisdiction of formation;

- (c) The Deliverables, as delivered to Client, will not knowingly contain any trojan horses, viruses, worms, backdoors, or malicious software designed to compromise, wipe, or disrupt the operation of Client’s technical infrastructure.
7.3 Warranty Remedies. In the event of a verified breach of the warranty provided in Section 7.2(b), Contractor’s sole liability, and Client’s exclusive contractual remedy, shall be the correction, repair, or replacement of the non-conforming Deliverable within thirty (30) business days. If Contractor proves commercially incapable of curing such defect, Contractor shall refund the total fees paid by Client for the non-conforming Deliverable.
7.4 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 7, BOTH PARTIES DISCLAIM ALL OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND TITLE. CONTRACTOR DOES NOT WARRANT THAT THE OPERATION OF THE DELIVERABLES WILL BE ENTIRELY UNINTERRUPTED OR ERROR-FREE.
SECTION 8: INDEMNIFICATION AND INSURANCE

Contractor shall defend, indemnify, and hold harmless Client, its corporate affiliates, directors, officers, and employees from and against any and all third-party legal claims, suits, judgments, losses, damages, liabilities, and direct costs (including reasonable outside attorneys' fees) arising out of or resulting from any claim that the custom Deliverables infringe or misappropriate any valid United States copyright, trademark, or trade secret.
8.2 Exclusions from IP Indemnification. Contractor shall have no liability or indemnification obligation under Section 8.1 to the extent an infringement claim arises from:
- (a) Modifications or alterations made to the Deliverable by any party other than Contractor or its authorized subcontractors;
- (b) Client’s combination, operation, or use of the Deliverable with any software, hardware, or network components not supplied, prescribed, or approved in writing by Contractor; or
- (c) Client’s continued unauthorized use of an alleged infringing Deliverable following receipt of a non-infringing replacement provided by Contractor.
8.3 Client Indemnification. Client shall defend, indemnify, and hold harmless Contractor, its affiliates, directors, officers, and employees from and against any third-party claims, demands, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from:
- (a) Client’s breach of this Agreement;
- (b) Any data, specifications, materials, or software supplied by Client to Contractor for incorporation into the Deliverables; or
- (c) Client's gross negligence or willful misconduct in the use of the Deliverables.
8.4 Indemnification Procedure. The indemnified Party must:
- (a) Promptly notify the indemnifying Party in writing of the claim (provided, failure to give prompt notice does not relieve the indemnifying Party except to the extent materially prejudiced thereby);
- (b) Grant the indemnifying Party sole control over the legal defense and settlement of the claim (provided the indemnifying Party shall not settle any claim that admits fault or imposes financial liability on the indemnified Party without prior written consent); and
- (c) Provide reasonable assistance and cooperation at the indemnifying Party's expense.
8.5 Insurance Coverage. Contractor shall maintain throughout the duration of this Agreement the following policies:
- (a) Commercial General Liability Insurance: Minimum limit of $1,000,000 per occurrence / $2,000,000 aggregate;

9.2 Aggregate Liability Ceiling. EXCEPT FOR BREACHES OF CONFIDENTIALITY UNDER SECTION 6, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS UNDER SECTION 8, EACH PARTY'S MAXIMUM AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CLIENT TO CONTRACTOR UNDER THIS AGREEMENT WITHIN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE ACT OR OMISSION GIVING RISE TO THE FIRST CLAIM.
SECTION 10: DISPUTE RESOLUTION AND GOVERNING LAW
10.1 Escalation and Mandatory Negotiation. In the event of any operational dispute, controversy, or claim arising out of or relating to this Agreement, the Parties shall initially seek to resolve the dispute informally. Within ten (10) business days of written notice of a dispute, the project managers of each Party shall meet to negotiate in good faith. If unresolved within fifteen (15) business days thereafter, the dispute shall be elevated to the Senior Vice President (or executive peer) level of both Parties.
10.2 Binding Arbitration. If informal escalation fails to fully resolve the dispute within thirty (30) business days, the dispute shall be resolved by final, binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.

This Agreement, its interpretation, and all legal disputes arising hereunder shall be governed by, interpreted, and construed strictly in accordance with the substantive laws of the State of [State/Commonwealth], without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is hereby expressly excluded.
SECTION 11: MISCELLANEOUS PROVISIONS
11.1 Independent Contractor Status. The relationship between Contractor and Client is that of an independent contractor. Nothing in this Agreement shall be interpreted to create a partnership, joint venture, agency, employer-employee relationship, or fiduciary duty between the Parties. Neither Party holds legal authority to execute commitments, assume liabilities, or make legal representations on behalf of the other.
11.2 Force Majeure. Neither Party shall be deemed in default or held legally responsible for any delay or failure to perform its contractual duties (excluding payment obligations) caused by an event beyond its reasonable control, including acts of God, armed conflict, civil warfare, national emergencies, labor strikes, embargoes, fire, flood, hurricane, severe meteorological phenomena, pandemic, systemic grid outages, or governmental statutory bans. The affected Party must give prompt written notice of the Force Majeure event and use diligent, commercially reasonable efforts to resume performance immediately upon resolution of the event.
11.3 Severability. If any provision of this Agreement is held to be invalid, void, or unenforceable by an arbitrator or court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions. The Parties shall negotiate in good faith to reform the invalid provision to reflect the original economic and operational intent as closely as permissible under applicable law.
11.4 Assignment. Neither Party may assign, transfer, delegate, or sublicense this Agreement or any of its operational rights or obligations without the prior written consent of the other Party; provided, however, that either Party may assign this Agreement in its entirety without consent to a corporate affiliate, or in connection with a corporate merger, acquisition, corporate reorganization, or sale of substantially all of its assets, provided the acquiring entity possesses the financial and operational capacity to fulfill the assignor's duties.
11.5 Non-Waiver. The failure or delay of either Party to enforce any covenant or provision of this Agreement shall not operate as a general waiver of that provision, nor shall it preclude the subsequent enforcement of that or any other provision.
