This Binding Legal Agreement and Operative Notice Protocol (hereinafter, the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between [Landlord/Lessor Legal Name], having a principal place of business or residence at [Landlord Address] (hereinafter referred to as the "Landlord"), and [Tenant/Lessee Legal Name], currently occupying the real property located at [Property Address including Unit Number] (hereinafter referred to as the "Tenant").
WHEREAS, Landlord and Tenant are parties to a certain lease, rental agreement, or tenancy-at-will governing the real property described above, dated [Lease Execution Date] (the "Master Lease"); and
WHEREAS, Landlord elects to terminate said tenancy and requires the Tenant to vacate and surrender possession of the Premises in strict accordance with the terms herein and applicable statutory notice periods; and
WHEREAS, the Parties intend for this document to serve simultaneously as a legally binding protocol for notice generation and a formal operational notice under the laws of [Jurisdiction];
NOW, THEREFORE, in consideration of the mutual covenants, statutory obligations, and recitals contained herein, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
SECTION 1: OPERATIONAL DEFINITIONS
For the purposes of this Agreement, the following terms shall have the meanings ascribed below, and such definitions shall apply equally to the singular and plural forms of the terms defined:
1.1. "Business Day" means any calendar day other than a Saturday, Sunday, or any legal holiday observed by the courts or government offices within the jurisdiction of [Jurisdiction].
1.2. "Cure Period" means the precise duration of thirty (30) Business Days granted to the Tenant from the date of formal service to rectify any remediable default or, alternatively, to unconditionally surrender possession of the Premises.
1.3. "Default" means the failure of the Tenant to perform, keep, or observe any material covenant, condition, obligation, or provision of the Master Lease or this Agreement, including but not limited to the failure to pay rent or the expiration of a periodic tenancy.
1.4. "Effective Date of Notice" means the date upon which formal service of this 30 Day Eviction Notice is legally deemed completed upon the Tenant pursuant to the service methods authorized in Section 3 of this Agreement.
1.5. "Master Lease" means the underlying written or oral contract for leasehold interest, tenancy, or occupancy of the Premises executed by the Parties on [Lease Execution Date].
1.6. "Premises" means the real property, including all appurtenances, fixtures, and improvements, located at [Property Address including Unit Number], within the County of [County Name], State of [State Name].
1.7. "Service" or "Served" means the lawful delivery of this 30 Day Eviction Notice to the Tenant via personal delivery, substituted service, or certified mail as mandated by the laws of [Jurisdiction].
SECTION 2: SUBSTANTIVE TERMS & OBLIGATIONS
2.1. Notice of Termination. Landlord hereby formally notifies Tenant that the Master Lease, and any periodic tenancy arising therefrom, shall terminate upon the expiration of thirty (30) Business Days following the complete and lawful execution and service of this Agreement (the "Termination Date").
2.2. Mandatory Surrender of Possession. Tenant covenants, warrants, and is legally obligated to fully vacate, abandon, and surrender the Premises to the Landlord no later than 11:59 PM local time on the Termination Date. Surrender shall include the complete removal of all personal property, debris, and occupants, and the delivery of all operational keys, security passes, and access codes to the Landlord.
2.3. Condition of Premises upon Surrender. Tenant shall deliver the Premises to Landlord in substantially the same clean, undamaged condition as existed on the commencement date of the Master Lease, reasonable wear and tear excepted. Tenant remains strictly liable for any structural, cosmetic, or fixture damage caused during the tenancy or the moving process.
2.4. Accrued Rent and Financial Obligations. The issuance and service of this Agreement does not relieve Tenant of the legal obligation to pay all accrued, unpaid rent, late fees, utility charges, or other financial assessments due under the Master Lease up to and including the actual date of surrender. The amount of [Dollar Amount] is currently due and outstanding as of the Effective Date.
2.5. Representations and Warranties of Landlord. Landlord represents and warrants that it possesses the lawful legal right, title, and authority to issue this eviction notice and demand possession of the Premises, and that such issuance complies with all local, municipal, state, and federal housing statutes.
2.6. Representations and Warranties of Tenant. Tenant represents and warrants that they are the lawful occupant of record, that no unauthorized subtenants or assignees occupy the Premises, and that they possess the legal capacity to execute this document and surrender the Premises accordingly.
SECTION 3: DEFAULT, TERMINATION, AND REMEDIES
3.1. Classification of Breach. Tenant’s failure to surrender the Premises on or before the Termination Date, or failure to cure any underlying monetary or non-monetary default within the designated notice period, shall constitute an immediate, material, and incurable default of this Agreement and the Master Lease.
3.2. Cure Period and Statutory Compliance. In strict compliance with statutory mandates, Tenant is hereby granted a period of thirty (30) Business Days from the Effective Date of Notice to either:
(a) Completely cure the underlying default (if curable by law, such as payment of past-due rent totaling [Dollar Amount]), or
(b) Vacate and surrender the Premises to Landlord.
3.3. Landlord’s Legal Recourse. If Tenant fails to vacate the Premises or cure the identified default upon the expiration of the thirty (30) Business Day Cure Period, Landlord shall immediately possess the absolute legal right to:
(a) Initiate formal unlawful detainer or summary eviction proceedings in a court of competent jurisdiction within [Jurisdiction];
(b) Recover statutory damages, double or treble damages where permitted by law, court costs, and reasonable attorney's fees incurred in the enforcement of this Agreement; and
(c) Pursue all other civil remedies available at law or in equity.
3.4. Holdover Penalties. Any occupancy of the Premises by Tenant beyond the Termination Date shall be construed as an unlawful holdover tenancy. During any holdover period, Tenant shall be liable for holdover damages calculated at the rate of [Dollar Amount] per diem, independent of Landlord's right to seek immediate eviction.
SECTION 4: BOILERPLATE LEGAL PROVISIONS
4.1. Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions of this Agreement shall remain in full force and effect and shall not be affected thereby.
4.2. Entire Agreement. This Agreement, inclusive of the Master Lease incorporated herein by reference, constitutes the final, complete, and exclusive expression of the agreement between the Parties regarding the termination of the tenancy. No oral statements, representations, or prior written understandings shall alter, amend, or modify the terms hereof unless executed in a formal written addendum signed by both Parties.
4.3. Force Majeure. Neither Party shall be held liable for any failure or delay in the performance of their obligations under this Agreement if such failure arises from acts of God, war, terrorism, civil unrest, natural disasters, or governmental embargoes beyond the reasonable control of the affected Party, provided that such acts do not excuse Tenant’s obligation to pay undisputed rent or surrender possession upon notice expiration.
4.4. Governing Law and Venue. This Agreement, and all claims or disputes arising out of or in connection with it, shall be interpreted, construed, and governed by the laws of the State of [State Name], without regard to its conflict of laws principles. Exclusive venue for any legal action, proceeding, or litigation arising herefrom shall be vested in the municipal, county, or superior courts located in [County Name], [State Name].
4.5. Dispute Resolution and Arbitration Waiver. Except for summary eviction and unlawful detainer actions initiated by Landlord to recover possession of the Premises, any other dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by binding arbitration administered in accordance with the commercial arbitration rules of [Arbitration Association Name]. Judgment on the award rendered by the arbitrator(s) may be entered in any court having competent jurisdiction.
