Provider Disclaimer: THE TEMPLATE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PROVIDER DOES NOT WARRANT THAT THE TEMPLATE WILL MEET ALL REGULATORY STANDARDS IN EVERY JURISDICTION.

4. DEFAULT, TERMINATION, AND REMEDIES

Section 4.1 Classification of Breaches

Breaches of this Agreement are classified as follows:

1. Material Breach: Includes unauthorized commercial redistribution of the Template, breach of confidentiality provisions, violation of Intellectual Property Rights, or mishandling of PHI.
2. Non-Material Breach: Includes administrative delays in reporting, minor formatting non-conformities, or technical transmission errors that do not compromise data security or clinical integrity.

Section 4.2 Notice and Cure Periods

In the event of any default or breach of this Agreement, the non-defaulting Party shall provide written notice to the defaulting Party detailing the nature of the breach.

5. BOILERPLATE LEGAL PROVISIONS

Section 5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

Section 5.2 Entire Agreement

Section 5.3 Force Majeure
