1.2 If the Affiant executes this document on behalf of a corporate entity, partnership, or other legal structure, the Affiant warrants that they are duly authorized by the governing body of said entity to bind the entity to the terms of this Affidavit.

Section 2. Nature and Purpose of Remuneration

2.1 Any and all commissions, referral fees, administrative payments, or financial considerations (collectively, "Commissions") paid or to be paid by the Principal to the Affiant are strictly compensation for bona fide, legitimate services actually performed, or authorized commercial arrangements recognized under applicable safe harbors.
2.2 The Affiant expressly affirms that no Commission paid or received is, or shall be construed as, a kickback, bribe, rebate, or direct/indirect payment for the referral of patients, ordering of tests, prescribing of pharmaceuticals, or generation of healthcare business reimbursable by federal or state healthcare programs (including Medicare and Medicaid).

Section 3. Fair Market Value and Arm’s-Length Calculation

3.2 The compensation structure does not exceed commercial reasonableness and is fully documented within the underlying master services agreement, fee schedule, or operational contract dated [Underlying Contract Date], attached hereto as Exhibit A.

Section 4. Regulatory Compliance and Disclosure

Section 6. Indemnification and Liability

6.1 The Affiant agrees to defend, indemnify, and hold harmless the Principal, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, regulatory fines, civil monetary penalties, or legal fees arising out of or resulting from any material breach of the representations, warranties, or covenants contained within this Affidavit.

Section 7. Governing Law and Severability

7.1 This Affidavit and all matters arising out of or relating to it shall be governed by, and construed in accordance with, the laws of the State of [Jurisdiction], without regard to its conflict of laws principles.
