2. OPERATIONAL DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings ascribed below, and such definitions shall apply equally to the singular and plural forms of the terms defined:

  1. "Applicable Law" means all federal, state, provincial, and local statutes, laws, ordinances, regulations, rules, codes, executive orders, and agency guidance documents governing commercial motor vehicle operations, occupational safety and health, hazardous materials transport, and labor standards, including but not limited to those promulgated by the Federal Motor Carrier Safety Administration (FMCSA), the Department of Transportation (DOT), and the Occupational Safety and Health Administration (OSHA).
  2. "Commercial Motor Vehicle (CMV)" means any self-propelled or towed motor vehicle used on a highway in interstate or intrastate commerce to transport passengers or property that meets any of the statutory weight, size, or placarding thresholds under Applicable Law.
  3. "Compliance Officer" means the individual designated by the Company to oversee, administer, and enforce the health and safety policies set forth herein, or their authorized delegate.
  4. "Corrective Action Plan (CAP)" means a formal, written remedial plan developed by the Operator and approved by the Company to rectify safety deficiencies, operational non-compliance, or audit failures.
  5. "Defect" means any mechanical, electrical, structural, or operational malfunction, abnormality, or wear that impairs, or has the potential to impair, the safe operation of a CMV or related transport equipment.
  6. "Fatigue Management Rules" means the mandatory hours-of-service (HOS) regulations, rest period requirements, and fitness-for-duty standards established by Applicable Law and Company policy.
  7. "Hazard" means any condition, practice, behavior, or physical state that possesses the potential to cause injury, illness, environmental damage, or property destruction in connection with transport operations.
  8. "Incident" means any unplanned, undesired event arising out of or in the course of transport operations that results in personal injury, fatality, environmental contamination, cargo loss, or property damage, including "Accidents" and "Near Misses" as defined herein.
  9. "Personal Protective Equipment (PPE)" means specialized clothing, gear, or devices worn or used by operators to minimize exposure to hazards that cause serious workplace injuries and illnesses.
  10. "Safety Violations" means any breach of Applicable Law, Company safety protocols, standard operating procedures, or the terms of this Agreement.

3. SUBSTANTIVE TERMS & OBLIGATIONS

3.1 Regulatory Compliance and Statutory Adherence

The Operator covenants and warrants that all transport operations conducted on behalf of or in conjunction with the Company shall strictly comply with all Applicable Law. The Operator shall maintain all required commercial driver's licenses (CDLs), medical certifications, endorsements, and permits in good standing at all times during the term of this Agreement. The Operator shall immediately notify the Company in writing of any suspension, revocation, restriction, or citation affecting their driving credentials or operational permits within twenty-four (24) hours of occurrence.

3.2 Vehicle Inspection and Maintenance Protocols

  1. Pre-Trip Inspections: The Operator shall conduct a comprehensive pre-trip inspection of the assigned CMV prior to the commencement of each route or shift, in strict accordance with DOT and Company inspection checklists. The results of the pre-trip inspection must be recorded in the electronic logging device (ELD) or designated inspection log.
  2. Post-Trip Inspections: At the end of each work period, the Operator shall execute a post-trip inspection documenting any Defects encountered during operation.
  3. Prohibition on Unsafe Operations: The Operator is strictly prohibited from operating any CMV that exhibits a mechanical or safety Defect. If a Defect is identified, the Operator shall immediately tag out the vehicle, notify the Company’s fleet maintenance department, and await formal clearance before resuming operations.

3.3 Hours of Service (HOS) and Fatigue Management

  1. Mandatory Compliance: The Operator shall strictly adhere to all statutory Hours of Service limitations, mandatory break schedules, and electronic logging device (ELD) mandates without exception.
  2. Fitness for Duty: The Operator shall not operate any CMV while impaired by fatigue, illness, lack of rest, prescription or over-the-counter medications that cause drowsiness, or any other physiological condition that compromises safe operation.
  3. Reporting Fatigue: If the Operator experiences acute fatigue rendering continued operation unsafe, the Operator has the affirmative duty to pull the CMV over at a safe, designated location and immediately notify dispatch.

3.4 Zero-Tolerance Substance Policy

The Company enforces a strict zero-tolerance policy regarding alcohol, controlled substances, and illicit drugs. The Operator shall not possess, consume, be under the influence of, or test positive for alcohol, cannabis, narcotics, hallucinogens, or any other controlled substance while on duty, on call, or operating a CMV. The Operator expressly consents to pre-employment, random, post-accident, and reasonable-suspicion drug and alcohol testing in accordance with DOT and Company protocols. Refusal to submit to testing shall be treated as an immediate positive test result and a material breach of this Agreement.

3.5 Operational Safety Standards and PPE

  1. Speed and Road Conditions: The Operator shall operate CMVs at safe speeds appropriate for weather, traffic, road conditions, and posted limits, never exceeding maximum authorized velocity.
  2. Distracted Driving Prohibition: The use of hand-held mobile telephones, texting, interacting with non-navigational electronic applications, or engaging in any activity that diverts attention from the primary task of driving is strictly prohibited. Hands-free devices may only be used where explicitly permitted by Applicable Law and Company policy, provided such use does not create a safety distraction.
  3. Mandatory PPE: The Operator shall utilize required PPE—including high-visibility vests, steel-toed footwear, hard hats, and eye protection—during loading, unloading, coupling/uncoupling, and terminal operations.

3.6 Incident Reporting and Emergency Protocol

  1. Immediate Notification: In the event of any collision, spill, injury, or major Incident, the Operator shall immediately secure the scene (if safe to do so), contact emergency services (911) where applicable, and notify the Company’s 24/7 Dispatch and Safety Hotline within thirty (30) minutes of the occurrence.
  2. Post-Incident Cooperation: The Operator shall not make admissions of liability, compromise claims, or leave the scene of an Incident (unless directed by law enforcement or medical necessity). The Operator shall fully cooperate with the Company, law enforcement, and insurance investigators, including submitting to mandatory post-accident drug and alcohol testing within the statutory timeframes.

4. DEFAULT, TERMINATION, AND REMEDIES

  3. Critical Breaches: Critical Breaches are incurable. No cure period shall apply.

4.3 Remedies and Termination

  1. Immediate Suspension: Upon the occurrence of a Material or Critical Breach, or upon a good-faith determination that the Operator poses an immediate hazard to public safety, the Company reserves the unilateral right to suspend the Operator's operational privileges immediately without prior notice.
  2. Termination for Cause: The Company may terminate this Agreement and any underlying Principal Agreement immediately upon written notice for any Material or Critical Breach, or upon the failure of the Operator to cure a Minor Breach within the stipulated thirty (30) business day cure period.
  3. Financial and Legal Recourse: Termination for safety non-compliance shall be without prejudice to any other rights or remedies available to the Company at law or in equity. The Operator shall be liable for all direct damages, regulatory fines, towing expenses, cargo loss, and reasonable legal fees incurred by the Company resulting from the Operator's safety breaches. Furthermore, the Company reserves the right to withhold compensation or indemnification offsets up to [Dollar Amount] ($[0.00]) to cover verified losses resulting from Operator negligence.

5. BOILERPLATE LEGAL PROVISIONS

If such modification is not possible, the affected provision shall be deemed stricken, and the remaining provisions of this Agreement shall remain in full force and effect.

No modification or amendment to this Agreement shall be valid unless executed in writing by authorized representatives of both Parties.

5.3 Force Majeure

Neither Party shall be liable for any failure or delay in performance under this Agreement (excluding payment obligations and mandatory incident reporting) if such failure or delay is caused by acts of God, war, terrorism, natural disasters, severe weather events, strikes, or widespread governmental lockdowns that directly impede transport operations (each, a "Force Majeure Event"). The affected Party shall notify the other Party in writing within forty-eight (48) hours of the commencement of a Force Majeure Event.
