RECITALS:

WHEREAS, the Principal engages in, commissions, and manages complex construction, engineering, and infrastructure development projects requiring rigorous occupational health and safety standards;

WHEREAS, the Counterparty desires to provide labor, materials, equipment, and/or professional services in connection with the construction project located at [Project Site Address] (the "Project Site");

WHEREAS, the Parties acknowledge that construction operations inherently involve elevated risks of serious bodily injury, property damage, and environmental contamination, necessitating strict adherence to statutory, regulatory, and contractual safety protocols;

WHEREAS, the Parties intend by this Agreement to establish a binding, comprehensive health and safety framework, compliance matrix, and allocation of liability to eliminate workplace hazards and ensure strict compliance with applicable occupational safety laws within the jurisdiction of [Jurisdiction];

NOW, THEREFORE, in consideration of the mutual covenants, promises, and obligations contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

2. Operational Definitions

For purposes of this Agreement, the following terms shall have the meanings ascribed below, and such definitions shall apply equally to the singular and plural forms of the terms defined:

  1. "Applicable Health and Safety Laws" means all federal, state, provincial, territorial, and local statutes, ordinances, codes, rules, regulations, orders, and decrees relating to occupational health, safety, and environmental protection, including, without limitation, the Occupational Safety and Health Act (OSHA), equivalent state or provincial acts, and all amendments thereto.
  2. "Authorized Person" means any individual who has successfully completed all mandatory safety orientations, holds the requisite certifications, and is expressly authorized by the Principal to enter or perform work within the Project Site.
  3. "Competent Person" means an individual designated by the Counterparty who is capable of identifying existing and predictable hazards in the surroundings or working conditions which are unsanitary, hazardous, or dangerous to employees, and who has authorization to take prompt corrective measures to eliminate them, as defined under applicable regulatory standards.
  4. "Defect" or "Safety Hazard" means any condition, practice, equipment, material, structure, or operational method that creates a potential or actual risk of injury, illness, death, or property damage at the Project Site.
  5. "Effective Date" means the date first written above, upon which all operational, financial, and legal obligations under this Agreement become fully binding and enforceable.
  6. "Incident" means any unplanned, uncontrolled event arising out of or in connection with work performance that results in, or has the potential to result in, occupational injury, illness, fatality, property damage, environmental release, or "near-miss" status.
  7. "Personal Protective Equipment (PPE)" means all specialized clothing, gear, harnesses, respirators, eyewear, footwear, and hard hats designed to protect the wearer from bodily injury or infection, certified to meet or exceed relevant ANSI, NIOSH, or equivalent regulatory standards.
  8. "Project Site" means the physical location, real property, structures, staging areas, and access routes designated for the execution of the construction works, as specifically described in Recital B.

3. Substantive Terms & Obligations

3.1 Statutory and Regulatory Compliance

The Counterparty shall strictly comply with all Applicable Health and Safety Laws, industry standards, and the Principal’s site-specific safety manuals, instructions, and directives. Where standards overlap, the strictest standard shall apply.

3.2 Appointment of Competent Person

The Counterparty shall designate and appoint at least one full-time, on-site "Competent Person" prior to the commencement of any work at the Project Site. The Competent Person must possess documented certifications and experience commensurate with the scope of work and shall maintain continuous authority to halt operations immediately upon the identification of any Safety Hazard.

3.3 Mandatory Safety Training and Certifications

The Counterparty warrants that all personnel, agents, and subcontractors deployed to the Project Site are fully trained, qualified, and certified to perform their assigned tasks. Prior to site entry, personnel must complete:

  • OSHA 10-Hour or 30-Hour Construction Outreach training (or local statutory equivalent).
  • Site-specific safety induction and orientation conducted by the Principal.
  • Specialized training for high-risk activities (e.g., fall protection, confined space entry, hot work, crane operation, electrical lockout/tagout).

3.4 Personal Protective Equipment (PPE) Enforcement

The Counterparty shall enforce a 100% mandatory PPE policy at the Project Site. At a minimum, all individuals must wear ANSI-approved hard hats, high-visibility vests, safety glasses with side shields, and steel-toe safety footwear. Specialized PPE (such as harnesses, face shields, and respirators) must be provided by the Counterparty, inspected daily, and utilized in strict accordance with manufacturer specifications.

3.5 Hazard Identification, Mitigation, and JSA

The Counterparty shall perform a Job Safety Analysis (JSA) or Job Hazard Analysis (JHA) prior to commencing any new or non-routine task. JSAs must be reviewed daily with all affected workers. If an unaddressed hazard is identified, work must cease immediately until effective engineering, administrative, or personal protective controls are implemented.

3.6 Incident Reporting and Investigation

  1. Immediate Notification: In the event of any Incident resulting in injury, fatality, structural collapse, or significant property damage, the Counterparty shall notify the Principal’s designated safety representative verbally within one (1) hour, followed by a written preliminary report within twelve (12) hours.
  2. Cooperation: The Counterparty shall fully cooperate with the Principal, regulatory authorities, and insurance investigators in any root-cause analysis or legal inquiry arising from an Incident.

3.7 Right to Inspect and Audit

The Principal, its designated safety directors, and insurance underwriters reserve the unconstrained right to enter, inspect, audit, and monitor the Project Site and the Counterparty’s safety records, logs, and equipment at any time without prior notice. Such inspections do not relieve the Counterparty of its sole responsibility for safety compliance.

4. Default, Termination, and Remedies

4.1 Classification of Breaches

Breaches of this Agreement are classified as follows:

  1. Minor Breach: Any administrative failure to maintain paperwork, logs, or routine non-safety documentation that does not create an immediate physical danger.
  2. Material Breach: Any willful, repeated, or gross violation of Applicable Health and Safety Laws, failure to utilize mandatory PPE, unauthorized alteration of safety systems, failure to maintain a Competent Person on-site, or any action/omission resulting in an Incident or immediate threat of severe injury or death.

4.2 Notice and Cure Periods for Minor Breaches

In the event of a Minor Breach, the Principal shall issue a written Notice of Default specifying the deficiency. The Counterparty shall have thirty (30) business days from receipt of such notice to cure the deficiency to the reasonable satisfaction of the Principal and provide written proof of remediation.

4.3 Immediate Termination for Material Breaches

Upon the occurrence of any Material Breach, the Principal may, at its sole discretion and without prejudice to any other legal rights, issue an immediate stop-work order and/or terminate this Agreement with immediate effect by delivering written notice to the Counterparty. Upon termination, the Counterparty shall immediately vacate the Project Site, forfeit all claims to unearned project compensation, and remain fully liable for all resulting damages, delays, and remediation costs.

4.4 Indemnification and Hold Harmless

The Counterparty agrees to defend, indemnify, and hold harmless the Principal, its officers, directors, agents, employees, and affiliates from and against any and all claims, liabilities, losses, damages, fines, penalties, assessments, legal fees, and expenses arising out of or resulting from:

  • Any breach of this Agreement by the Counterparty or its subcontractors.
  • Any act, omission, negligence, or willful misconduct of the Counterparty in connection with health and safety obligations at the Project Site.
  • Any citation, fine, or stop-work order issued by regulatory bodies due to the Counterparty’s safety violations.

5. Boilerplate Legal Provisions

5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions of this Agreement shall remain in full force and effect.

5.2 Entire Agreement

This Agreement, together with any referenced exhibits, safety manuals, and underlying construction contracts, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior oral or written negotiations, representations, understandings, or agreements.

5.3 Force Majeure

Neither Party shall be held liable for any delay or failure in performance under this Agreement if such delay or failure arises from an act of God, war, natural disaster, pandemic, civil unrest, or other catastrophic event beyond the reasonable control of the affected Party, provided that the affected Party gives prompt written notice and uses commercially reasonable efforts to mitigate the impact. Lack of financial resources or labor disputes specific to the Counterparty shall not constitute a Force Majeure event.

5.4 Governing Law and Jurisdiction

This Agreement, and all claims or causes of action arising out of or relating to it, shall be governed by, construed, and enforced in accordance with the laws of the State/Country of [Jurisdiction], without regard to its conflict of law principles. The Parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located within [County, State/Jurisdiction].

5.5 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity, shall be resolved through mandatory, binding arbitration administered by [Arbitration Association, e.g., American Arbitration Association] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and the proceedings shall be conducted in the English language before a single neutral arbitrator. The award rendered by the arbitrator shall be final and binding, and judgment may be entered upon it in any court having jurisdiction.
