5.3 Exclusions: Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party’s Confidential Information; or (d) is required to be disclosed by applicable law, court order, or governmental regulation.

8.2 Binding Arbitration: If the dispute remains unresolved following the expiration of the thirty (30) day negotiation window, the controversy shall be settled exclusively by binding arbitration administered by the [American Arbitration Association / JAMS] in accordance with its commercial arbitration rules. The arbitration shall be conducted before a single neutral arbitrator in [City, State/Country], and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction.
